Sales never took off, the job description drifted, trust broke down, or your French subsidiary simply needs a smaller team. You live in London, New York, Dubai or Singapore, you run the company from abroad, and you discover that ending a French employment contract from a distance is a procedure where every envelope, every waiting period and every sentence counts. This guide explains, for a foreign employer, how a lawful dismissal works, what an unfair dismissal really costs under the statutory compensation scale, when a state-approved negotiated separation is the safer road, and how to answer a labour court claim filed in Paris without moving back to France. French terms appear with a plain-English explanation each time, and every decisive rule is quoted from the statute or the court decision that states it.<\/p>\n<h2>I. How do you lawfully dismiss your French employee when you manage the company from abroad?<\/h2>\n<p>A dismissal in France is not a decision you announce; it is a procedure you execute. The French Labour Code (Code du travail) imposes a fixed sequence: a written invitation to a preliminary meeting, the meeting itself, a cooling-off period, then a dismissal letter sent by registered post stating the reasons. Miss one step, shorten one waiting period, or write a vague letter, and the dismissal can be declared without real and serious cause even if the underlying reason was legitimate. Distance makes each step harder \u2014 post takes longer, the employee cannot simply walk into your office, and time-zone gaps slow every signature \u2014 so foreign employers should treat the timetable below as a checklist, not as guidance.<\/p>\n<h3>A. What steps must you complete before sending the dismissal letter?<\/h3>\n<p>Everything starts with a formal invitation. The statute provides: &#8220;L&#8217;employeur qui envisage de licencier un salari\u00e9 le convoque, avant toute d\u00e9cision, \u00e0 un entretien pr\u00e9alable.&#8221; The invitation must be sent by registered letter or handed over in person against a signed receipt, and it must state its purpose. Then comes the first mandatory wait: &#8220;L&#8217;entretien pr\u00e9alable ne peut avoir lieu moins de cinq jours ouvrables apr\u00e8s la pr\u00e9sentation de la lettre recommand\u00e9e ou la remise en main propre de la lettre de convocation.&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006901000\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006901000\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1232-2 of the Labour Code<\/a>). Five full working days, counted from presentation of the registered letter, is a floor, not a target. From abroad, send the letter early and keep the postal proof, because the employee will count those days and a labour court will count them again.<\/p>\n<p>The preliminary meeting itself matters more than foreign managers expect. It is the moment when the employee hears the envisaged grounds and can respond, and it is also where many cases are won or lost. The employee has a right to be accompanied: &#8220;Lors de son audition, le salari\u00e9 peut se faire assister par une personne de son choix appartenant au personnel de l&#8217;entreprise.&#8221; Where the company has no staff representative body \u2014 the usual situation in a small French subsidiary with one or two employees \u2014 the employee may instead bring an outside staff adviser chosen from an official list drawn up by the authorities (&#8220;un conseiller du salari\u00e9 choisi sur une liste dress\u00e9e par l&#8217;autorit\u00e9 administrative&#8221;) (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006901002\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006901002\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1232-4 of the Labour Code<\/a>). As the employer, you may be assisted too, but you cannot hold the meeting by surprise and you cannot skip it: a dismissal notified without a preliminary meeting is procedurally irregular, and that irregularity alone costs money.<\/p>\n<p>Practically, a foreign director has three options for the meeting: fly in, mandate a representative in France with a clear written authority, or hold it by video link. The statute does not expressly bless video meetings, so the safest course for a contested file remains a physical meeting or a duly mandated representative, with minutes kept. Whatever you choose, never announce the dismissal at the meeting itself. After the interview, a second waiting period applies: the dismissal letter &#8220;ne peut \u00eatre exp\u00e9di\u00e9e moins de deux jours ouvrables apr\u00e8s la date pr\u00e9vue de l&#8217;entretien pr\u00e9alable au licenciement auquel le salari\u00e9 a \u00e9t\u00e9 convoqu\u00e9&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036762096\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036762096\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1232-6 of the Labour Code<\/a>). Sending the letter the next morning from abroad because you want the matter closed is one of the most common and most expensive mistakes.<\/p>\n<p>The dismissal letter is the centrepiece of the whole file. The same article requires: &#8220;Cette lettre comporte l&#8217;\u00e9nonc\u00e9 du ou des motifs invoqu\u00e9s par l&#8217;employeur.&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036762096\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036762096\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1232-6 of the Labour Code<\/a>). Those stated reasons then freeze the dispute. The Court of Cassation (Cour de cassation, France&#8217;s highest civil court) holds: &#8220;Il r\u00e9sulte de ce texte que c&#8217;est le motif de la rupture mentionn\u00e9 dans la lettre de licenciement qui d\u00e9termine le caract\u00e8re disciplinaire ou non du licenciement, peu important la proposition faite par l&#8217;employeur d&#8217;une r\u00e9trogradation disciplinaire, impliquant une modification du contrat de travail refus\u00e9e par le salari\u00e9.&#8221; (<a href=\"https:\/\/www.courdecassation.fr\/decision\/6228523a590661fa1d597cc9\">Cass. soc., 9 March 2022, No 20-17.005, published in the Bulletin<\/a>). In plain terms, the judge reads your letter, not your intentions. A letter that says &#8220;poor performance&#8221; when the file shows a disciplinary demotion attempt, or a letter with one vague paragraph where three documented facts were needed, defines what you are allowed to prove later. Foreign employers should therefore have the letter drafted or reviewed in France before it is posted, because once the registered letter is gone, the grounds cannot be widened. The official English-language procedure guide confirms each of these stages for dismissals on personal grounds (<a href=\"https:\/\/www.service-public.gouv.fr\/particuliers\/vosdroits\/F2839?lang=en\">service-public.fr: dismissal procedure for personal reasons<\/a>).<\/p>\n<p>Two frequent borderline situations deserve a warning. First, the trial period (p\u00e9riode d&#8217;essai) at the start of the contract is not a dismissal: either side can end the relationship during that period without stating reasons, but the employer must give advance notice (d\u00e9lai de pr\u00e9venance) that grows with time spent \u2014 &#8220;le salari\u00e9 est pr\u00e9venu dans un d\u00e9lai qui ne peut \u00eatre inf\u00e9rieur \u00e0&#8221; twenty-four hours below eight days of presence, forty-eight hours between eight days and one month, two weeks after one month of presence, and one month after three months of presence (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000029144958\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000029144958\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1221-25 of the Labour Code<\/a>). What will an unfair dismissal cost you if the reason or the letter fails?<\/h3>\n<p>French dismissal law prices every mistake. Three layers of cost stack on top of each other: the statutory severance pay due for most dismissals, the notice period (pr\u00e9avis) and paid leave balance, and \u2014 if the dismissal is judged without real and serious cause \u2014 damages within a statutory scale, plus reimbursement of unemployment benefits to the state. A foreign employer who budgets only the severance line understands half the bill.<\/p>\n<p>Start with the statutory severance (indemnit\u00e9 l\u00e9gale de licenciement). The rule states: &#8220;Le salari\u00e9 titulaire d&#8217;un contrat de travail \u00e0 dur\u00e9e ind\u00e9termin\u00e9e, licenci\u00e9 alors qu&#8217;il compte 8 mois d&#8217;anciennet\u00e9 ininterrompus au service du m\u00eame employeur, a droit, sauf en cas de faute grave, \u00e0 une indemnit\u00e9 de licenciement.&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000035644154\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000035644154\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1234-9 of the Labour Code<\/a>). CDI means the standard open-ended permanent contract. The minimum amount is set by regulation: &#8220;Un quart de mois de salaire par ann\u00e9e d&#8217;anciennet\u00e9 pour les ann\u00e9es jusqu&#8217;\u00e0 dix ans&#8221; and &#8220;Un tiers de mois de salaire par ann\u00e9e d&#8217;anciennet\u00e9 pour les ann\u00e9es \u00e0 partir de dix ans.&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000035644692\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000035644692\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R1234-2 of the Labour Code<\/a>). So an employee with three years of service and a gross monthly reference salary of 3,500 euros receives at least 2,625 euros, before any collective agreement top-up \u2014 and most sector agreements pay more than the legal floor, so the applicable convention collective must be checked line by line. No statutory severance is due for serious misconduct (faute grave) or intentional gross misconduct (faute lourde), but those labels require proof of facts that make continued presence impossible, and judges read them narrowly.<\/p>\n<p>Then comes the notice period. Unless serious misconduct removes it, the employee either works the notice or receives pay in lieu, and unused paid leave is paid out. These sums are due even when the dismissal is fair. They must appear in the final balance receipt (solde de tout compte), the document in which &#8220;fait l&#8217;inventaire des sommes vers\u00e9es au salari\u00e9 lors de la rupture du contrat de travail&#8221;, with the well-known sting in its tail: &#8220;Le re\u00e7u pour solde de tout compte peut \u00eatre d\u00e9nonc\u00e9 dans les six mois qui suivent sa signature, d\u00e9lai au-del\u00e0 duquel il devient lib\u00e9ratoire pour l&#8217;employeur pour les sommes qui y sont mentionn\u00e9es.&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071122\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071122\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1234-20 of the Labour Code<\/a>). A signed receipt therefore protects you only after six months and only for the sums listed on it. From abroad, make sure your payroll provider itemises everything \u2014 severance, notice, leave, bonuses pro rata \u2014 because an omission on that receipt stays contestable.<\/p>\n<p>The heavy layer is the compensation for dismissal without real and serious cause, governed by the statutory scale known as the Macron scale (bar\u00e8me Macron). The statute sets the frame: &#8220;Si l&#8217;une ou l&#8217;autre des parties refuse cette r\u00e9int\u00e9gration, le juge octroie au salari\u00e9 une indemnit\u00e9 \u00e0 la charge de l&#8217;employeur, dont le montant est compris entre les montants minimaux et maximaux fix\u00e9s dans le tableau ci-dessous.&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036762052\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036762052\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1235-3 of the Labour Code<\/a>). The table runs from a maximum of one month&#8217;s salary at zero seniority to three months minimum and twenty months maximum beyond thirty years, with a reduced minimum scale for companies that usually employ fewer than eleven staff. Two examples make it concrete: an employee with one year of service faces between one and two months; with five years, between three and six months. On top of that, the judge orders the employer to reimburse the unemployment agency for benefits paid, which is a separate public-law bill many foreign directors discover at the hearing.<\/p>\n<p>Can the judge simply step outside the scale when the employee&#8217;s situation looks harsh? The Court of Cassation answered no, twice. In the leading full-bench ruling, it held: &#8220;Il en r\u00e9sulte que les dispositions de l&#8217;article L. 1235-3 du code du travail sont compatibles avec les stipulations de l&#8217;article 10 de la Convention pr\u00e9cit\u00e9e.&#8221; \u2014 meaning the scale satisfies the International Labour Organization&#8217;s Convention No. 158 on adequate compensation \u2014 and it added, quashing an appeal court that had exceeded the ceiling for a 53-year-old employee: &#8220;alors qu&#8217;il lui appartenait seulement d&#8217;appr\u00e9cier la situation concr\u00e8te de la salari\u00e9e pour d\u00e9terminer le montant de l&#8217;indemnit\u00e9 due entre les montants minimaux et maximaux d\u00e9termin\u00e9s par l&#8217;article L. 1235-3 du code du travail, la cour d&#8217;appel a viol\u00e9 les textes susvis\u00e9s.&#8221; (<a href=\"https:\/\/www.courdecassation.fr\/decision\/627b537f4d359c057dd01cf4\">Cass. soc., 11 May 2022, No 21-14.490, published in the Bulletin and the Report<\/a>). The court confirmed the same reading in 2025, recalling first that &#8220;si le licenciement d&#8217;un salari\u00e9 survient pour une cause qui n&#8217;est pas r\u00e9elle et s\u00e9rieuse, le juge octroie au salari\u00e9 une indemnit\u00e9 \u00e0 la charge de l&#8217;employeur, dont le montant est compris entre des montants minimaux et maximaux fix\u00e9s par ce texte&#8221; (<a href=\"https:\/\/www.courdecassation.fr\/decision\/67f615f23b0cdae54cf3d848\">Cass. soc., 9 April 2025, No 24-13.958<\/a>). For a foreign employer, the message is two-sided and useful: the scale caps the risk, which helps you budget, but it also guarantees the employee a minimum, so a botched procedure always has a price. Only dismissals tainted with nullity \u2014 discrimination, harassment, violation of a fundamental freedom \u2014 escape the scale, and those cases cost far more.<\/p>\n<h2>II. Should you offer a negotiated separation instead of forcing a dismissal through?<\/h2>\n<p>Many foreign-run companies in France end employment without a dismissal at all. The French negotiated separation (rupture conventionnelle) lets employer and employee agree together on the end of a permanent contract, with a specific minimum payment and a state approval that makes the breakup secure. It is often faster, calmer and cheaper than a dismissal followed by a lawsuit \u2014 but only if the consent is genuine and the approval is obtained. Used as a shortcut to push out an employee who never truly agreed, it collapses, and the collapse converts into an unfair dismissal with the full scale attached. The choice between dismissing and negotiating is therefore the strategic heart of this guide.<\/p>\n<h3>A. How does the state-approved settlement process work when you live abroad?<\/h3>\n<p>The defining principle is freedom of consent on both sides: &#8220;La rupture conventionnelle, exclusive du licenciement ou de la d\u00e9mission, ne peut \u00eatre impos\u00e9e par l&#8217;une ou l&#8217;autre des parties.&#8221; It &#8220;r\u00e9sulte d&#8217;une convention sign\u00e9e par les parties au contrat&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071187\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071187\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1237-11 of the Labour Code<\/a>). At least one meeting must be held, the employee may be assisted, and the signed agreement must set the separation payment and the end date. The payment has a legal floor: &#8220;le montant de l&#8217;indemnit\u00e9 sp\u00e9cifique de rupture conventionnelle qui ne peut pas \u00eatre inf\u00e9rieur \u00e0 celui de l&#8217;indemnit\u00e9 pr\u00e9vue \u00e0 l&#8217;article L. 1234-9&#8221;, and the end date &#8220;ne peut intervenir avant le lendemain du jour de l&#8217;homologation&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071182\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071182\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1237-13 of the Labour Code<\/a>). In practice, employers routinely offer more than the floor \u2014 often the equivalent of the notice period plus a few months \u2014 because the employee compares the offer with what a lawsuit might bring.<\/p>\n<p>Then the calendar takes over, and it cannot be compressed. From signature, &#8220;chacune d&#8217;entre elles dispose d&#8217;un d\u00e9lai de quinze jours calendaires pour exercer son droit de r\u00e9tractation&#8221;, exercised &#8220;sous la forme d&#8217;une lettre adress\u00e9e par tout moyen attestant de sa date de r\u00e9ception par l&#8217;autre partie&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071182\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071182\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1237-13 of the Labour Code<\/a>). Only after those fifteen calendar days may the approval request go to the labour authority (the DDETSPP, the local arm of the DREETS regional labour administration), filed online through the T\u00e9l\u00e9RC portal. The authority then has its own time: &#8220;L&#8217;autorit\u00e9 administrative dispose d&#8217;un d\u00e9lai d&#8217;instruction de quinze jours ouvrables, \u00e0 compter de la r\u00e9ception de la demande, pour s&#8217;assurer du respect des conditions pr\u00e9vues \u00e0 la pr\u00e9sente section et de la libert\u00e9 de consentement des parties.&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071180\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071180\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L1237-14 of the Labour Code<\/a>). Count a minimum of five to six weeks from signature to the earliest possible end date, longer if the file needs corrections. The English-language official guide walks through each filing step and confirms that the contract ends at the earliest the day after approval (<a href=\"https:\/\/www.service-public.gouv.fr\/particuliers\/vosdroits\/F19030?lang=en\">service-public.fr: negotiated termination of a permanent contract<\/a>).<\/p>\n<p>Three traps catch foreign employers specifically. First, consent defects destroy everything. Fraud, pressure or a context of moral harassment can annul the agreement, and the annulment reclassifies the breakup as a dismissal without real and serious cause \u2014 with the scale applied. The protection runs both ways: in a 2024 Bulletin decision, an employee who had deliberately hidden decisive information to obtain the employer&#8217;s signature saw the agreement annulled for deceit (dol), and the Court held: &#8220;Lorsque le contrat de travail est rompu en ex\u00e9cution d&#8217;une convention de rupture ensuite annul\u00e9e en raison d&#8217;un vice du consentement de l&#8217;employeur, la rupture produit les effets d&#8217;une d\u00e9mission.&#8221; (<a href=\"https:\/\/www.courdecassation.fr\/decision\/66728101f7ab5c00087309e1\">Cass. soc., 19 June 2024, No 23-10.817, published in the Bulletin<\/a>). So document the negotiation honestly, hold real meetings, and never sign with an employee in the middle of an unresolved harassment complaint or a conflict that suggests constrained consent. Second, protected employees \u2014 pregnant employees, staff representatives, employees on certain leaves \u2014 cannot use the standard approval route and need the labour inspector&#8217;s authorisation instead; signing a standard agreement with them is void. Third, the separation payment has tax and contribution consequences above certain thresholds, and the employee&#8217;s right to unemployment benefits (France Travail, the public employment and benefits agency) depends on a proper approval \u2014 another reason the filing must be clean. Handled correctly from abroad through a French counsel or payroll partner with a power of attorney, the procedure needs no travel; handled hastily over email, it produces an annullable agreement and a lawsuit.<\/p>\n<h3>B. How do you defend a Paris labour court claim without living in France?<\/h3>\n<p>Despite your best efforts, the registered letter from the labour court (conseil de prud&#8217;hommes, the elected labour tribunal that hears employment disputes) may arrive at your French office: the former employee contests the dismissal, claims the scale maximum, and adds procedural penalties. Do not ignore it.
