French law says the opposite: a loss-making company must still file, still meet deadlines, and still organise its payments, but a properly declared loss becomes a valuable tax asset that cuts future bills and can even generate a refund claim. The imp\u00f4t sur les soci\u00e9t\u00e9s (IS, French corporate income tax) runs on advance instalments, strict filing dates and automatic penalties, and every one of these mechanics has a specific first-year version that foreign founders misunderstand. This guide walks you through the two questions that matter: what your loss-making first year still obliges you to file and pay, and how you then reduce the year-two burden, recover overpaid amounts and contest assessments without living in France. Every rule below is tied to its exact article in the Code g\u00e9n\u00e9ral des imp\u00f4ts (CGI, the French tax code) and to the official doctrine of the administration, so you can act, instruct your accountant precisely, and know when to call a lawyer.<\/p>\n<h2>I. Your first French financial year closes at a loss: what must you still file and pay?<\/h2>\n<p>You created a SAS in France from London, New York or Dubai, you funded the first months from your own pocket, and at year-end the accountant tells you the company made no profit. Many foreign founders hear this as good news for tax: no profit, no tax, nothing to do. That reading is wrong, and it is expensive. France taxes companies through the imp\u00f4t sur les soci\u00e9t\u00e9s, universally shortened to IS (corporate income tax), and the system imposes filing duties even when nothing is owed, rewards a documented loss, and punishes silence with automatic surcharges. This article explains, for a foreign owner living abroad, what a loss-making first year really requires: the return you must still file, the value hidden inside your deficit, how to pay less in advance in year two, and how to recover money and contest bills from abroad.<\/p>\n<h3>A. The return you must file even with zero profit: who is liable, which form, which deadline<\/h3>\n<p>French corporate income tax applies broadly. Your SAS (soci\u00e9t\u00e9 par actions simplifi\u00e9e, the flexible joint-stock company most foreign founders choose) is liable by law, from its first day, whether it makes money or not. Liability to the tax and the duty to report are two different things, and the reporting duty does not disappear when the result is negative.<\/p>\n<p>The annual reporting package is known as the liasse fiscale (the bundle of tax returns, whose core company form is numbered 2065). Article 223 of the CGI states the deadline rule: &#8220;la d\u00e9claration du b\u00e9n\u00e9fice ou du d\u00e9ficit est faite dans les trois mois de la cl\u00f4ture de l&#8217;exercice. Si l&#8217;exercice est clos le 31 d\u00e9cembre ou si aucun exercice n&#8217;est clos au cours d&#8217;une ann\u00e9e, la d\u00e9claration est \u00e0 d\u00e9poser au plus tard le deuxi\u00e8me jour ouvr\u00e9 suivant le 1er mai&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000034387974\/\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000034387974\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 223 CGI, L\u00e9gifrance<\/a>). Read that sentence twice, because it contains the trap most foreign founders fall into: the declaration covers the profit <em>or the deficit<\/em>. A loss-making year must be declared exactly like a profitable one, within three months of closing, or by the second working day after 1 May for a 31 December year-end. Filing nothing because &#8220;there is no tax to pay&#8221; is treated as a missing declaration, not as a zero declaration.<\/p>\n<p>The second document to know is the relev\u00e9 de solde (the balance-settlement form, numbered 2572-SD), on which the company settles the final IS balance by the 15th of the fourth month after closing. In a loss year there is usually no balance to pay, but the form remains the vehicle for claiming refunds, as explained below: &#8220;Les demandes de restitution de cr\u00e9ances remboursables sont formul\u00e9es sur ce relev\u00e9.&#8221;<\/p>\n<p>One piece of genuine relief exists for year one, and it concerns the acomptes (the quarterly advance instalments of IS, paid during the year on account of the final bill). Article 1668 of the CGI, which governs them, states that &#8220;L&#8217;imp\u00f4t sur les soci\u00e9t\u00e9s donne lieu au versement, au comptable public comp\u00e9tent, d&#8217;acomptes trimestriels d\u00e9termin\u00e9s \u00e0 partir des r\u00e9sultats du dernier exercice clos&#8221; and that &#8220;Les soci\u00e9t\u00e9s nouvellement cr\u00e9\u00e9es ou nouvellement soumises, de plein droit ou sur option, \u00e0 l&#8217;imp\u00f4t sur les soci\u00e9t\u00e9s sont dispens\u00e9es du versement d&#8217;acomptes au cours de leur premier exercice d&#8217;activit\u00e9&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000033836779\/\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000033836779\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 1668 CGI, L\u00e9gifrance<\/a>). A newly created company therefore pays no instalments in its very first financial year: there is no previous closed year to compute them from. The same article fixes the calendar you will live under from year two onward: &#8220;Les paiements doivent \u00eatre effectu\u00e9s au plus tard les 15 mars, 15 juin, 15 septembre et 15 d\u00e9cembre de chaque ann\u00e9e.&#8221; Mark those four dates now, because from the second year the system assumes you are profitable and collects in advance.<\/p>\n<p>Practical consequences for a founder abroad follow directly. First, give your French accountant a mandate and access to the company&#8217;s espace professionnel (the secure online account on impots.gouv.fr, the portal of the DGFIP, the Direction g\u00e9n\u00e9rale des finances publiques, the French tax administration) before the first closing, because everything is filed and paid electronically. Second, never instruct &#8220;no filing, we lost money&#8221;: an undeclared deficit is a deficit you cannot use, and a missing return starts the penalty clock described in Part II. Third, keep the SIE (Service des imp\u00f4ts des entreprises, the local corporate tax office) correspondence address current, ideally your accountant&#8217;s, since notices go to the French address while you live abroad. Why a loss is an asset: carrying it forward, carrying it back, and the five-year claim<\/h3>\n<p>A declared deficit (the tax loss of the year) is not wasted money. It is a legal right to pay less tax later, and sometimes to recover tax already paid. The standard mechanism is the report en avant (carryforward of the loss onto future profits). Article 209, I of the CGI provides: &#8220;en cas de d\u00e9ficit subi pendant un exercice, ce d\u00e9ficit est consid\u00e9r\u00e9 comme une charge de l&#8217;exercice suivant et d\u00e9duit du b\u00e9n\u00e9fice r\u00e9alis\u00e9 pendant ledit exercice dans la limite d&#8217;un montant de 1 000 000 \u20ac major\u00e9 de 50 % du montant correspondant au b\u00e9n\u00e9fice imposable dudit exercice exc\u00e9dant ce premier montant. Si ce b\u00e9n\u00e9fice n&#8217;est pas suffisant pour que la d\u00e9duction puisse \u00eatre int\u00e9gralement op\u00e9r\u00e9e, l&#8217;exc\u00e9dent du d\u00e9ficit est report\u00e9 dans les m\u00eames conditions sur les exercices suivants&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048847486\/\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048847486\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 209 CGI, L\u00e9gifrance<\/a>). In plain English: each year&#8217;s profit can absorb past losses without any time limit, but the absorption is capped per year at 1 million euros plus 50% of the profit above that million. A startup that loses 300,000 euros in year one and earns 400,000 euros in year two wipes out the year-two taxable base entirely; a company returning to very large profits uses at least 1 million of old losses per year plus half the surplus. The unused remainder keeps rolling forward indefinitely.<\/p>\n<p>The second mechanism, less known and strictly optional, is the report en arri\u00e8re, called carry-back: offsetting the loss against the previous year&#8217;s profit to create a refundable claim against the Treasury. Article 220 quinquies of the CGI states that &#8220;le d\u00e9ficit constat\u00e9 au titre d&#8217;un exercice ouvert \u00e0 compter du 1er janvier 1984 par une entreprise soumise \u00e0 l&#8217;imp\u00f4t sur les soci\u00e9t\u00e9s peut, sur option, \u00eatre consid\u00e9r\u00e9 comme une charge d\u00e9ductible du b\u00e9n\u00e9fice de l&#8217;exercice pr\u00e9c\u00e9dent, dans la limite de la fraction non distribu\u00e9e de ce b\u00e9n\u00e9fice&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053560738\/\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053560738\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 220 quinquies CGI, L\u00e9gifrance<\/a>). The option is capped: &#8220;L&#8217;option mentionn\u00e9e au premier alin\u00e9a n&#8217;est admise qu&#8217;\u00e0 la condition qu&#8217;elle porte sur le d\u00e9ficit constat\u00e9 au titre de l&#8217;exercice, dans la limite du montant le plus faible entre le b\u00e9n\u00e9fice d\u00e9clar\u00e9 au titre de l&#8217;exercice pr\u00e9c\u00e9dent et un montant de 1 000 000 \u20ac.&#8221; The resulting overpaid tax becomes a formal claim: &#8220;L&#8217;exc\u00e9dent d&#8217;imp\u00f4t sur les soci\u00e9t\u00e9s r\u00e9sultant de l&#8217;application du premier alin\u00e9a fait na\u00eetre au profit de l&#8217;entreprise une cr\u00e9ance non imposable d&#8217;\u00e9gal montant.&#8221; That cr\u00e9ance (receivable) is in principle used against future IS bills and refunded after five years. For a foreign-owned group that had one profitable French year followed by a loss, carry-back converts a dead loss into a scheduled cash recovery, but the election must be made on time with the return, it cannot exceed the undistributed share of the prior profit, and it permanently consumes the carried-back fraction, which can no longer be carried forward. Ask your adviser to model both routes before the filing deadline, because the choice is hard to undo.<\/p>\n<p>Two frequent founder errors deserve explicit warnings. First, the loss must be declared to exist. A deficit that never appeared on a timely 2065 return cannot be carried forward later by simple assertion; the administration will deny it during any audit, and reconstruction years afterward is painful. Second, keep the supporting evidence in France: invoices, bank statements, payroll records, contracts. The loss is only as solid as its proof, and a foreign founder whose documents sit in a personal mailbox abroad discovers this at the worst moment, during a v\u00e9rification de comptabilit\u00e9 (tax audit) three years later. Store everything with your French accountant from day one.<\/p>\n<p>When profits return, the rate structure works in a small company&#8217;s favour. The standard IS rate is set by Article 219, I of the CGI: &#8220;Le taux normal de l&#8217;imp\u00f4t est fix\u00e9 \u00e0 25 %&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053542939\/\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053542939\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 219 CGI, L\u00e9gifrance<\/a>). But small independent companies access a reduced 15% band: &#8220;pour les redevables ayant r\u00e9alis\u00e9 un chiffre d&#8217;affaires n&#8217;exc\u00e9dant pas 10 millions d&#8217;euros au cours de l&#8217;exercice ou de la p\u00e9riode d&#8217;imposition, ramen\u00e9 s&#8217;il y a lieu \u00e0 douze mois, le taux de l&#8217;imp\u00f4t applicable au b\u00e9n\u00e9fice imposable est fix\u00e9, dans la limite de 42 500 \u20ac de b\u00e9n\u00e9fice imposable par p\u00e9riode de douze mois, \u00e0 [&#8230;] 15 % pour les exercices ouverts \u00e0 compter du 1er janvier 2002&#8221; (same article). Three cumulative conditions apply in practice: turnover under 10 million euros, fully paid-up capital, and at least 75% held directly or indirectly by individuals. Most foreign-founder SAS structures with individual shareholders qualify, but a subsidiary held by a foreign holding company must check the ownership chain carefully, because the 75% individual-holding test looks through intermediate companies. How do you cut the year-two tax bill and recover overpaid tax from abroad?<\/h2>\n<p>Year two is where the system bites: the first-year instalment holiday ends, and the administration computes your four acomptes from the last closed result. If year one was loss-making, the mechanical base is zero, but growth, new profitable activity, or a mid-year reassessment can restart instalments fast. The good news is that French law lets you steer the advances yourself, and lets you recover anything overpaid, provided you follow the forms and accept the price of an unjustified reduction.<\/p>\n<h3>A. Paying less in advance: modulation, suspension and the SME 15 percent band<\/h3>\n<p>The official impots.gouv.fr guidance states the principle plainly: companies may adjust each instalment up or down to match the tax they actually expect to owe for the year (<a href=\"https:\/\/www.impots.gouv.fr\/professionnel\/questions\/puis-je-modifier-mes-acomptes-dimpot-sur-les-societes\">Moduler ses acomptes d&#8217;IS, impots.gouv.fr<\/a>). Modulation (adjusting instalments up or down to match the tax you actually expect) and dispense (skipping an instalment entirely) are done online in the professional account, before each due date of 15 March, 15 June, 15 September and 15 December. Three situations matter most for a young foreign-owned company. First, if the last closed profit will clearly exceed the year before, you may increase advances voluntarily to avoid a large balance plus late interest later. Second, if you expect lower profit in the current year, where a lower profit and therefore a lower tax bill is expected for the current year, the normally due instalments may be reduced accordingly Third, if advances already paid cover the whole expected bill, an instalment may even be reduced to zero where advances already paid are expected to cover the full tax bill for the current year A company whose year-one loss shelters year-two profit through carryforward is the textbook case for lawful reduction: the expected final tax is genuinely lower, so the advances should be too.<\/p>\n<p>The administration also handles the mechanical transition between years. The guidance recalls that the first instalment of a year is generally computed provisionally from the result of the year closed two years earlier, with a catch-up on the second instalment once the last closed result is known And where last year&#8217;s advances exceeded the final tax, the first instalment may be skipped up to the amount of the surplus the company expects Concretely: an overpaid year generates a credit that directly funds the next year&#8217;s first instalment, without any separate claim. This is cash management, not litigation, and your accountant should reconcile it every March.<\/p>\n<p>But modulation is a bet, and a wrong bet is fined. Article 1727 adds the baseline rule: &#8220;Toute cr\u00e9ance de nature fiscale, dont l&#8217;\u00e9tablissement ou le recouvrement incombe aux administrations fiscales, qui n&#8217;a pas \u00e9t\u00e9 acquitt\u00e9e dans le d\u00e9lai l\u00e9gal donne lieu au versement d&#8217;un int\u00e9r\u00eat de retard&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051213330\/\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051213330\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 1727 CGI, L\u00e9gifrance<\/a>). Modulate only on documented forecasts: interim accounts, signed contracts, credible budgets. A founder who zeroes instalments on optimism alone converts a cash-flow gain into a 5% surcharge plus monthly late interest on the shortfall.<\/p>\n<p>Alongside modulation, verify the 15% SME band every year, since it compounds the saving: the first 42,500 euros of profit taxed at 15% instead of 25% saves over 4,000 euros annually, and the carryforward described in Part I can push taxable profit down into that band. Check the three conditions (turnover, paid-up capital, 75% individual ownership) at each closing, especially after any capital increase reserved to a foreign parent company, which can silently break the ownership test.<\/p>\n<h3>B. Missed, late or excessive: penalties, refunds and contesting from abroad<\/h3>\n<p>Foreign founders miss deadlines for ordinary reasons: the notice went to an unmonitored French address, the accountant waited for documents stuck abroad, or nobody realised a loss year had a filing duty at all. French tax penalties for missing returns are mechanical and graduated. Article 1728 of the CGI provides: &#8220;Le d\u00e9faut de production dans les d\u00e9lais prescrits d&#8217;une d\u00e9claration ou d&#8217;un acte comportant l&#8217;indication d&#8217;\u00e9l\u00e9ments \u00e0 retenir pour l&#8217;assiette ou la liquidation de l&#8217;imp\u00f4t entra\u00eene l&#8217;application, sur le montant des droits mis \u00e0 la charge du contribuable ou r\u00e9sultant de la d\u00e9claration ou de l&#8217;acte d\u00e9pos\u00e9 tardivement, d&#8217;une majoration de : a. 10 % en l&#8217;absence de mise en demeure ou en cas de d\u00e9p\u00f4t de la d\u00e9claration ou de l&#8217;acte dans les trente jours suivant la r\u00e9ception d&#8217;une mise en demeure d&#8217;avoir \u00e0 le produire dans ce d\u00e9lai ; b. 40 % lorsque la d\u00e9claration ou l&#8217;acte n&#8217;a pas \u00e9t\u00e9 d\u00e9pos\u00e9 dans les trente jours suivant la r\u00e9ception d&#8217;une mise en demeure d&#8217;avoir \u00e0 le produire dans ce d\u00e9lai&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053546784\/\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053546784\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 1728 CGI, L\u00e9gifrance<\/a>). The same article raises the surcharge to 80% where an undeclared business activity is discovered. Two practical points follow. First, in a genuine loss year the &#8220;droits&#8221; (duties) are zero, so the percentage surcharge has little to bite on, but the missing return still destroys the evidentiary value of the deficit and can trigger an ex officio assessment procedure that the founder must then unwind from abroad. Second, once a mise en demeure (formal demand to file) arrives, the thirty-day clock decides whether you stay at 10% or jump to 40%: act within the month, always. Late-payment interest under Article 1727 runs on top, month by month, until payment.<\/p>\n<p>If you overpaid, the system refunds without drama, provided you claim through the right channel. Excess instalments first offset the final balance automatically on the relev\u00e9 de solde; any remaining surplus becomes a restituable credit.
