You live in London, New York, Dubai or Singapore, and the question sounds simple: do you pay yourself a salary, do you vote dividends, and how much does the French state keep on the way out? The answer decides your social cover, your French tax bill and the paperwork your company must file. A salary means payslips, social contributions collected by URSSAF (the French body that collects social contributions) and a specific withholding tax when the director is not a French tax resident. Dividends mean a formal vote by the shareholders, a profit that the law allows to distribute, and a different withholding tax with treaty relief. Mixing the two channels without understanding the boundary is the most common and the most expensive mistake foreign owners make: salary reclassified as a disguised distribution, dividends voted without distributable profit and cancelled by a court, withholding applied twice because no residence certificate was filed.<\/p>\n<p>This guide explains, in plain business English, the two lawful channels for taking money out of a French SAS (soci\u00e9t\u00e9 par actions simplifi\u00e9e, the flexible company form most foreign founders choose), SARL (soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e, the limited liability company with stricter rules) or SASU (the one-person SAS). Part I covers management pay: which social regime covers you, what a payslip costs, and the withholding tax on wages paid to non-residents. Part II covers dividends: when the law lets you vote them, what the courts cancel, and how the withholding tax, European exemptions and tax treaties reduce the bill. Every decisive rule is quoted from the official text in force, with the court decisions that show how judges apply them.<\/p>\n<h2>I. How a foreign owner takes a salary from a French company<\/h2>\n<h3>A. Which social regime covers your pay: assimilated employee or self-employed director<\/h3>\n<p>French law does not let you simply wire yourself money and call it a salary. Pay presupposes a legal basis, and the social regime follows the office you hold, not the passport you carry. Two opposite regimes share the landscape. The president of a SAS, including a one-person SASU, belongs to the general social security scheme as an assimilated employee. The Social Security Code lists them expressly: &#8220;Les pr\u00e9sidents et dirigeants des soci\u00e9t\u00e9s par actions simplifi\u00e9es et des soci\u00e9t\u00e9s d&#8217;exercice lib\u00e9ral par actions simplifi\u00e9es&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051284232\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051284232\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Social Security Code, art. L311-3, 23\u00b0<\/a>). The same article covers the chair, chief executive and deputy chief executive of a SA (soci\u00e9t\u00e9 anonyme, the public-company form): &#8220;Les pr\u00e9sidents du conseil d&#8217;administration, les directeurs g\u00e9n\u00e9raux et les directeurs g\u00e9n\u00e9raux d\u00e9l\u00e9gu\u00e9s des soci\u00e9t\u00e9s anonymes&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051284232\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051284232\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Social Security Code, art. L311-3, 12\u00b0<\/a>). In a SARL, a manager who does not control the company is treated the same way: &#8220;Les g\u00e9rants de soci\u00e9t\u00e9s \u00e0 responsabilit\u00e9 limit\u00e9e et de soci\u00e9t\u00e9s d&#8217;exercice lib\u00e9ral \u00e0 responsabilit\u00e9 limit\u00e9e \u00e0 condition que lesdits g\u00e9rants ne poss\u00e8dent pas ensemble plus de la moiti\u00e9 du capital social&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051284232\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051284232\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Social Security Code, art. L311-3, 11\u00b0<\/a>), with family shares counted together, since shares held by a spouse, a civil partner or minor children count as held by the manager.<\/p>\n<p>Assimilated employee means your remuneration runs through payroll: a monthly payslip, employer and employee contributions declared to URSSAF, and coverage for health, family benefits and basic pension under the general scheme, without unemployment insurance, which company directors never get. The company must register the hire, issue compliant payslips and pay the contributions on time. Use them before fixing your pay, because the gap between gross cost for the company and net in your pocket is wide, and it is the employer&#8217;s contributions that make French payroll expensive.<\/p>\n<p>The mirror regime applies to the majority manager of a SARL: if the managers together hold more than half of the capital, counting family shares, they are self-employed (travailleurs ind\u00e9pendants, often shortened to TNS). Their contributions are not computed on a payslip but on professional income: &#8220;Les cotisations de s\u00e9curit\u00e9 sociale dues par les travailleurs ind\u00e9pendants non agricoles ne relevant pas du dispositif pr\u00e9vu \u00e0 l&#8217;article L. 613-7 sont assises sur l&#8217;assiette d\u00e9finie \u00e0 l&#8217;article L. 136-3&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048683707\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048683707\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Social Security Code, art. L131-6<\/a>). No payslip, no employer share, but quarterly or monthly calls directly to the director, a different health and pension coverage, and no assimilation to employee status. Choosing between SAS and SARL is therefore also choosing between these two social worlds, a point our formation guide develops alongside the bank account, the Kbis (the official company identity certificate issued by the greffe, the court registry) and VAT registration (<a href=\"https:\/\/kohenavocats.fr\/en\/2026\/09\/03\/setting-up-company-france-foreign-founder-bank-account-kbis-vat-first-hire\/\">Setting Up a Company in France as a Foreign Founder<\/a>).<\/p>\n<p>Three practical consequences follow for an owner living abroad. First, an assimilated-employee director who truly works from another country stays affiliated in France on French-source remuneration, and any claim of foreign cover needs a secondment or multi-state form, not a private statement. Second, a president who also signs an employment contract with his own company cumulates two hats that courts examine strictly: the contract must correspond to real technical duties performed under subordination, distinct from the corporate office, or it will be set aside when it matters, at dismissal or at retirement. Third, unpaid contributions trigger the URSSAF chain fast: formal demand, then an enforceable collection order (contrainte) that can be challenged only within short deadlines, a procedure we detail step by step (<a href=\"https:\/\/kohenavocats.fr\/en\/2026\/09\/21\/foreign-company-france-urssaf-formal-demand-contrainte-oppose-pay-abroad\/\">URSSAF formal demand and contrainte<\/a>). Fix the regime before the first payslip, not after the first audit.<\/p>\n<h3>B. French payroll withholding when you are not a French tax resident<\/h3>\n<p>Living abroad changes the income-tax collection on your salary but does not remove it. Wages of French source paid to a person who is not domiciled in France for tax purposes go through a dedicated withholding: &#8220;les traitements, salaires, pensions et rentes viag\u00e8res, de source fran\u00e7aise, servis \u00e0 des personnes qui ne sont pas fiscalement domicili\u00e9es en France donnent lieu \u00e0 l&#8217;application d&#8217;une retenue \u00e0 la source&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054373628\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054373628\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Tax Code, art. 182 A, I<\/a>). Your French company withholds it when it pays you, on the net amount computed under income-tax rules but without deducting real professional expenses: &#8220;La base de cette retenue est constitu\u00e9e par le montant net des sommes vers\u00e9es, d\u00e9termin\u00e9 conform\u00e9ment aux r\u00e8gles applicables en mati\u00e8re d&#8217;imp\u00f4t sur le revenu, \u00e0 l&#8217;exclusion de celles qui pr\u00e9voient la d\u00e9duction des frais professionnels r\u00e9els&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054373628\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054373628\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Tax Code, art. 182 A, II<\/a>).<\/p>\n<p>The scale is annual and progressive in two bands: &#8220;en appliquant \u00e0 la fraction des sommes soumises \u00e0 retenue qui exc\u00e8de 17 275 \u20ac le taux de : a) 12 % pour la fraction sup\u00e9rieure \u00e0 17 275 \u20ac et inf\u00e9rieure ou \u00e9gale \u00e0 50 112\u20ac ; b) 20 % pour la fraction sup\u00e9rieure \u00e0 50 112\u20ac&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054373628\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054373628\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Tax Code, art. 182 A, III<\/a>), with reduced 8 % and 14.4 % bands in the overseas departments and yearly indexation of the thresholds. Take a concrete case: a non-resident president paid a net 60,000 euros for the year. The band between 17,275 and 50,112 euros is 32,837 euros at 12 %, which is 3,940.44 euros; the band above 50,112 euros is 9,888 euros at 20 %, which is 1,977.60 euros. The company withholds 5,918.04 euros in total. This withholding is not always final: &#8220;La retenue s&#8217;impute sur le montant de l&#8217;imp\u00f4t sur le revenu \u00e9tabli dans les conditions pr\u00e9vues \u00e0 l&#8217;article 197 A&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054373628\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054373628\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Tax Code, art. 182 A, V<\/a>), meaning it is credited against the French income tax computed for non-residents, with a refund if the withholding exceeds the tax and a balance to pay if the reverse holds. The applicable tax treaty may also shift the taxing right on employment income to your home country when you work there, which is why the certificate of residence and the treaty article on salaries belong in the file before the first payment, not after the first notice.<\/p>\n<p>The calendar is unforgiving and entirely manageable. Each month or quarter, the company declares and pays the withholding through payroll filings; once a year, the non-resident director files a French return reporting worldwide French-source income so the administration computes the final tax and offsets the withholding. Keep every payslip, every bank transfer showing the French source, the board minutes fixing the remuneration, and proof of your foreign tax residence. If the administration reassesses the salary, disputes the residence or denies the treaty benefit, the reply follows the standard tax dispute track: discussion during the audit, then a formal claim for discharge or reduction, which &#8220;rel\u00e8vent de la juridiction contentieuse lorsqu&#8217;elles tendent \u00e0 obtenir soit la r\u00e9paration d&#8217;erreurs commises dans l&#8217;assiette ou le calcul des impositions, soit le b\u00e9n\u00e9fice d&#8217;un droit r\u00e9sultant d&#8217;une disposition l\u00e9gislative ou r\u00e9glementaire&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000045917153\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000045917153\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Tax Procedure Book, art. L190<\/a>). Such actions &#8220;se prescrivent par deux ans, selon le cas, \u00e0 compter de la mise en recouvrement du r\u00f4le, de la notification de l&#8217;avis de mise en recouvrement&#8221; or, without collection, from payment of the disputed tax (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000045917153\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000045917153\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Tax Procedure Book, art. L190<\/a>). Two years run fast when you live abroad and mail goes to an old Paris address, so designate a reliable French correspondence address and diary every deadline.<\/p>\n<h2>II. How a foreign owner takes dividends from a French company<\/h2>\n<h3>A. When dividends are legally available: distributable profit and the vote that releases them<\/h3>\n<p>Dividends are not a withdrawal. They are a legal decision taken on a profit the law allows to distribute, and each missing step can destroy the payment. The starting point is the distributable profit: &#8220;Le b\u00e9n\u00e9fice distribuable est constitu\u00e9 par le b\u00e9n\u00e9fice de l&#8217;exercice, diminu\u00e9 des pertes ant\u00e9rieures, ainsi que des sommes \u00e0 porter en r\u00e9serve en application de la loi ou des statuts, et augment\u00e9 du report b\u00e9n\u00e9ficiaire&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229026\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229026\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Commercial Code, art. L232-11<\/a>). The shareholders may also distribute available reserves, but the decision must name the reserve accounts used, dividends come first from the year&#8217;s distributable profit, and &#8220;aucune distribution ne peut \u00eatre faite aux actionnaires lorsque les capitaux propres sont ou deviendraient \u00e0 la suite de celle-ci inf\u00e9rieurs au montant du capital augment\u00e9 des r\u00e9serves que la loi ou les statuts ne permettent pas de distribuer&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229026\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229026\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Commercial Code, art. L232-11<\/a>). Only the annual meeting that approves the accounts can release the dividend: &#8220;Apr\u00e8s approbation des comptes annuels et constatation de l&#8217;existence de sommes distribuables, l&#8217;assembl\u00e9e g\u00e9n\u00e9rale d\u00e9termine la part attribu\u00e9e aux associ\u00e9s sous forme de dividendes&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229031\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229031\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Commercial Code, art. L232-12<\/a>). Interim dividends during the year are possible only on certified interim accounts showing a real profit after depreciation, provisions, prior losses and mandatory reserves, and &#8220;Tout dividende distribu\u00e9 en violation des r\u00e8gles ci-dessus \u00e9nonc\u00e9es est un dividende fictif&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229031\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229031\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Commercial Code, art. L232-12<\/a>), which shareholders must repay.<\/p>\n<p>For tax purposes the net is wide. The Tax Code treats as distributed income &#8220;Tous les b\u00e9n\u00e9fices ou produits qui ne sont pas mis en r\u00e9serve ou incorpor\u00e9s au capital&#8221; and &#8220;Toutes les sommes ou valeurs mises \u00e0 la disposition des associ\u00e9s, actionnaires ou porteurs de parts et non pr\u00e9lev\u00e9es sur les b\u00e9n\u00e9fices&#8221; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006302651\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006302651\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Tax Code, art. 109<\/a>). Money quietly taken by a shareholder, an unjustified current-account debit, a benefit in kind never voted: all of it can be caught as distributed income even without a dividend resolution. This is why owner-managers who fund the company from abroad and repay themselves informally should structure every movement as a documented shareholder loan with interest and a repayment schedule, as explained in our funding guide (<a href=\"https:\/\/kohenavocats.fr\/en\/2026\/09\/21\/foreign-owner-france-fund-company-shareholder-loan-capital-repay-abroad\/\">Shareholder loans and getting your cash back<\/a>). Informal drawings are the raw material of reassessments.<\/p>\n<p>The courts apply these distribution rules strictly, including against shareholders who bought the company after the profits were earned. In a February 2025 published ruling, the Commercial Chamber of the Court of Cassation recalled that &#8220;Aux termes de l&#8217;article L. 232-11, alin\u00e9a 1er, du code de commerce, le b\u00e9n\u00e9fice distribuable est constitu\u00e9 par le b\u00e9n\u00e9fice de l&#8217;exercice, diminu\u00e9 des pertes ant\u00e9rieures, ainsi que des sommes \u00e0 porter en r\u00e9serve en application de la loi ou des statuts, et augment\u00e9 du report b\u00e9n\u00e9ficiaire&#8221; and that &#8220;Aux termes de l&#8217;article L. 232-12, alin\u00e9a 1er, de ce code, apr\u00e8s approbation des comptes annuels et constatation de l&#8217;existence de sommes distribuables, l&#8217;assembl\u00e9e g\u00e9n\u00e9rale d\u00e9termine la part attribu\u00e9e aux associ\u00e9s sous forme de dividendes&#8221; (Cass. com., 12 February 2025, no. 23-11.410, published in the Bulletin: <a href=\"https:\/\/www.courdecassation.fr\/decision\/67ac552f91acc6fabdb2cf1b\">full decision<\/a>). From these mandatory texts the Court drew the consequence: &#8220;le report b\u00e9n\u00e9ficiaire d&#8217;un exercice est inclus dans le b\u00e9n\u00e9fice distribuable de l&#8217;exercice suivant et que, par voie de cons\u00e9quence, seule l&#8217;assembl\u00e9e approuvant les comptes de cet exercice pourra d\u00e9cider son affectation et, le cas \u00e9ch\u00e9ant, sa distribution&#8221;, so that &#8220;encourt la nullit\u00e9 la d\u00e9lib\u00e9ration d&#8217;une assembl\u00e9e g\u00e9n\u00e9rale autre que celle approuvant les comptes de l&#8217;exercice et d\u00e9cidant la distribution d&#8217;un dividende pr\u00e9lev\u00e9 sur le report \u00e0 nouveau b\u00e9n\u00e9ficiaire d&#8217;un exercice pr\u00e9c\u00e9dent&#8221; (same ruling: <a href=\"https:\/\/www.courdecassation.fr\/decision\/67ac552f91acc6fabdb2cf1b\">motifs, paras. 14-16<\/a>). In that case, the shareholders had parked the 2016 profit to retained earnings, sold their shares, then voted the old retained earnings as dividends at a later meeting: the distribution was void. The lesson for a foreign buyer is sharp: negotiate the price on stated accounts, but never assume a later meeting can freely sweep old retained earnings. Conversely, regularity protects directors. The Paris Court of Appeal confirmed that a shareholder&#8217;s personal action against directors over a dividend failed &#8220;\u00e0 d\u00e9faut de violation des articles L. 232-11 et suivants code de commerce&#8221; (CA Paris, P\u00f4le 5, ch. 9, 30 January 2025, no. 22\/17478: <a href=\"https:\/\/www.courdecassation.fr\/decision\/679c6bfbe498d62cfdde0fc5\">full decision<\/a>). Clean accounts, a real vote, named reserves: the dividend stands.<\/p>\n<p>The practical sequence for an owner abroad is therefore fixed. Close the accounts with the accountant, hold the annual meeting within six months of year-end, approve the accounts, record the distributable profit, vote the dividend with its payment date, and file the required registrations with the greffe (the court registry keeping the trade register, the RCS). Only then comes the tax question.<\/p>\n<h3>B. Dividend tax for owners living abroad: withholding, treaties and getting the excess back<\/h3>\n<p>Once the dividend is validly voted, France taxes it at payment, and residence decides the mechanism. Dividends reward the shares: they require a distributable profit, a vote by the meeting that approves the accounts, and named reserves, on pain of nullity as the Court of Cassation confirmed in February 2025; once validly voted, they bear the 12.8 % levy or withholding mechanics, softened by the 40 % abatement option for residents, the European parent-subsidiary exemption at 10 % held two years, and treaty relief claimed with the 5000 certificate.
