Then the email arrived: your filing is incomplete, non-compliant or rejected, and there will be no Kbis until you fix it. Without that single page, your French company barely exists in daily life. The bank will not release the blocked capital, no client contract looks serious, you cannot hire through the URSSAF the social security collection agency, and your VAT number stays out of reach. Your papers do not prove what the clerk is legally required to check<\/h3>\n<p>French company registration starts with a principle that surprises foreign founders: the RCS is a declared register, but a verified one. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000049876790\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000049876790\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 123-1 of the Commercial Code<\/a> states that &#8220;Il est tenu un registre du commerce et des soci\u00e9t\u00e9s auquel sont immatricul\u00e9s, sur leur d\u00e9claration&#8221;, meaning companies are registered on the basis of their own filings, and the same article covers both companies with their seat in France and, in its third paragraph, &#8220;Les soci\u00e9t\u00e9s commerciales dont le si\u00e8ge est situ\u00e9 hors d&#8217;un d\u00e9partement fran\u00e7ais et qui ont un \u00e9tablissement dans l&#8217;un de ces d\u00e9partements&#8221;, which is the branch route foreign groups often prefer. Declaration does not mean blind trust. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006257090\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006257090\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 123-94 of the Commercial Code<\/a> provides that &#8220;Le greffier, sous sa responsabilit\u00e9, s&#8217;assure de la r\u00e9gularit\u00e9 de la demande&#8221;, so the clerk stakes his own liability on the regularity of your file, and <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000030264785\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000030264785\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 123-95 of the Commercial Code<\/a> details the check: &#8220;Il v\u00e9rifie que les \u00e9nonciations sont conformes aux dispositions l\u00e9gislatives et r\u00e9glementaires, correspondent aux pi\u00e8ces justificatives et actes d\u00e9pos\u00e9s en annexe et sont compatibles, dans le cas d&#8217;une demande de modification ou de radiation, avec l&#8217;\u00e9tat du dossier.&#8221; Every mismatch between what you declare and what your exhibits prove is therefore a lawful ground for a request for correction, and a file from abroad multiplies mismatches: foreign names transliterated differently across documents, dates in foreign formats, powers signed under foreign law, and exhibits the clerk cannot read.<\/p>\n<p>The first rejection family concerns who you are and whether you may act. The portal asks for the identity and capacity of every shareholder and director, and for a foreign founder that means a passport, a proof of address, and, where a foreign company subscribes the capital, its own existence and representation: certificate of incorporation, register extract, board resolution authorising the investment, and powers of attorney for the person signing in Paris. Each foreign public document must arrive in a form the clerk can accept. Within the European Union, Regulation 2016-1191 removed legalisation for many civil status documents, but outside that simplification, a foreign public act normally needs either an apostille under the Hague Convention of 5 October 1961, published in France by Decree No. 65-67 of 22 January 1965, or full consular legalisation where the issuing State is not party to that convention. The service-public.fr official guidance on <a href=\"https:\/\/www.service-public.fr\/particuliers\/vosdroits\/F1400\">legalisation and apostille of public acts<\/a> describes the two tracks, and founders from the United States, the United Kingdom, the Gulf or Asia constantly underestimate the chain: notary, then county or state authority, then apostille, then sworn translation into French by a traducteur asserment\u00e9 a translator sworn before a French court of appeal. A translation done abroad by a non-sworn translator, even a perfect one, is routinely set aside. Build the chain before you file, because each missing link costs you a full correction round with the clock running.<\/p>\n<p>The second rejection family concerns the money. The clerk checks that the subscribed capital was actually paid up as the law requires and properly parked until registration. In a SARL, <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006222923\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006222923\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 223-7 of the Commercial Code<\/a> provides that &#8220;Les parts sociales doivent \u00eatre souscrites en totalit\u00e9 par les associ\u00e9s&#8221; and that &#8220;Les parts repr\u00e9sentant des apports en num\u00e9raire doivent \u00eatre lib\u00e9r\u00e9es d&#8217;au moins un cinqui\u00e8me de leur montant&#8221;, so at least one fifth of cash contributions must be paid on subscription. In a joint-stock company, and therefore in an SAS through the compatibility rule of <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048535177\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048535177\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 227-1 of the Commercial Code<\/a>, <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006223427\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006223427\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 225-3 of the Commercial Code<\/a> raises the bar: &#8220;Le capital doit \u00eatre int\u00e9gralement souscrit&#8221; and &#8220;Les actions de num\u00e9raire sont lib\u00e9r\u00e9es, lors de la souscription, de la moiti\u00e9 au moins de leur valeur nominale.&#8221; The bank must then issue the capital deposit certificate, and foreign founders trip on three details: the certificate must name the company being formed exactly as in the draft articles, it must state the amounts paid by each subscriber, and the funds must come from identified accounts, because anti-money-laundering checks apply to the deposit itself. A certificate in the wrong company name after a last-minute rebrand, a transfer from an unexplained third-party account, or a certificate issued before the articles were finalised all trigger corrections. Keep the wire, the certificate and the subscriber list perfectly aligned, and have the bank reissue the certificate rather than annotating the old one by hand.<\/p>\n<h3>B. Your registered office does not prove a real seat in France<\/h3>\n<p>The third rejection family, and the one that hits foreign founders hardest, concerns the si\u00e8ge social the registered office. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000049876781\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000049876781\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 123-11 of the Commercial Code<\/a> imposes a blunt duty: &#8220;Toute personne morale demandant son immatriculation au registre du commerce et des soci\u00e9t\u00e9s doit justifier de la jouissance du ou des locaux o\u00f9 elle installe, seule ou avec d&#8217;autres, le si\u00e8ge de l&#8217;entreprise, ou, lorsque celui-ci est situ\u00e9 \u00e0 l&#8217;\u00e9tranger, l&#8217;agence, la succursale ou la repr\u00e9sentation \u00e9tablie sur le territoire fran\u00e7ais.&#8221; You must prove you enjoy, legally, the premises where the seat sits, and the same article adds that sharing premises with other companies through a domiciliation provider is allowed only under conditions set by decree, with the equipment and services needed to prove the seat is real. From the clerk&#8217;s desk in Paris, a foreign founder declaring a prestigious Paris address with nothing behind it looks exactly like the abuse this text targets, so the proof of premises is examined with suspicion: lease in the company&#8217;s name or domiciliation contract with an approved provider, plus evidence the premises exist and can actually host the activity.<\/p>\n<p>Four office setups fail in practice, and each fails differently. The friend&#8217;s apartment works only if the shareholder or director genuinely lives there, the lease or the owner authorises professional use, and the address can receive official mail for years; a spare bedroom offered for a month collapses at the first returned letter. The virtual address without a licensed domiciliataire fails outright, because French law requires the provider to hold an pr\u00e9fectoral approval and the contract to include services proving real occupation. The foreign head office address copied into the French file fails because a French seat must be French premises, and declaring the London or Delaware address as the si\u00e8ge while asking for a French Kbis contradicts the filing itself. The borrowed prestigious address with a mail-forwarding slip fails when the clerk asks for the domiciliation contract and receives a simple post-box rental. Choose instead between a commercial lease, even a small one, a domiciliation contract with an approved company that provides meeting rooms and mail handling, or, for a group that already rents offices, a sub-lease or intra-group premises agreement that names the new company. File the full contract, not an extract, with the provider&#8217;s approval number visible, and make sure the company name on the contract matches the articles to the letter.<\/p>\n<p>The stakes go beyond a delayed Kbis, because a fictitious seat poisons later litigation too. The Second Civil Chamber of the Court of Cassation held on 12 June 2025 in case No. 22-24.111, available at <a href=\"https:\/\/www.courdecassation.fr\/decision\/684a6c233ec57bb95fcfd595\">Cour de cassation, 2e civ., 12 June 2025, No. 22-24.111<\/a>, that &#8220;Pour l&#8217;application de ces textes, une soci\u00e9t\u00e9, tant qu&#8217;elle n&#8217;a pas fait choix d&#8217;un nouveau si\u00e8ge social, est r\u00e9put\u00e9e conserver son si\u00e8ge social au lieu fix\u00e9 par les statuts et publi\u00e9 au registre du commerce, sous r\u00e9serve de la preuve de son caract\u00e8re fictif ou frauduleux.&#8221; In plain terms, the published seat is presumed to be the real one until someone proves it is fictitious or fraudulent, which cuts both ways for you: once your Kbis shows a genuine Paris seat, opponents cannot easily claim you are unreachable, but if you registered a convenience address where nothing happens, the first serious dispute will see the other side prove the fiction and serve or sue wherever it hurts you most. Tax authorities and URSSAF inspectors read the same signals, and a seat without substance invites questions about where the company is really managed, which is a debate no foreign founder wants to open over a mail-forwarding contract. Spend the money on a real, provable seat before you file, because it is the cheapest insurance in the whole procedure.<\/p>\n<p>The fourth rejection family concerns the beneficial owners, and it surprises founders who thought transparency was someone else&#8217;s problem. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051559441\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051559441\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 561-46 of the Monetary and Financial Code<\/a> requires companies to declare their beneficial owners to the RCS, and the sanction for silence is criminal: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054141234\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054141234\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 574-5 of the Monetary and Financial Code<\/a> provides that &#8220;Est puni d&#8217;une amende de 200 000 euros&#8221; for failing to supply beneficial ownership information to the persons under vigilance duties, for failing to declare it to the RCS or the relevant register, or for declaring inexact or incomplete information. A 200,000 euro fine for missing or false RBE the Registre des b\u00e9n\u00e9ficiaires effectifs the beneficial ownership register declarations concentrates the mind, and foreign ownership chains make the declaration genuinely hard: trusts, funds, layered holdings and nominees must be traced through to the living individuals who ultimately own or control more than twenty-five percent or exercise control by other means. The Commercial Court of Nanterre&#8217;s attempt to liquidate an astreinte a daily penalty payment against a company over its RBE filing ended in cassation on 18 September 2024 in case No. 22-20.771, published at <a href=\"https:\/\/www.courdecassation.fr\/decision\/66eab8d749e2d93736d98a6d\">Cour de cassation, com., 18 September 2024, No. 22-20.771<\/a>, where the Court recalled that &#8220;Selon l&#8217;article L.561-48 du code mon\u00e9taire et financier, le pr\u00e9sident du tribunal, d&#8217;office ou sur requ\u00eate du procureur de la R\u00e9publique ou de toute personne justifiant y avoir int\u00e9r\u00eat, peut enjoindre, au besoin sous astreinte, \u00e0 toute soci\u00e9t\u00e9 ou entit\u00e9 juridique mentionn\u00e9e au premier alin\u00e9a de l&#8217;article L. 561-46 du m\u00eame code de proc\u00e9der ou faire proc\u00e9der, soit aux d\u00e9clarations des informations relatives au b\u00e9n\u00e9ficiaire effectif, soit \u00e0 la rectification de ces informations lorsqu&#8217;elles sont inexactes ou incompl\u00e8tes. Lorsque la personne ne d\u00e9f\u00e8re pas \u00e0 l&#8217;injonction d\u00e9livr\u00e9e par le pr\u00e9sident, le greffier en avise le procureur de la R\u00e9publique et lui adresse une exp\u00e9dition de la d\u00e9cision.&#8221; File the RBE declaration together with the incorporation, draw the full ownership chain on one page with percentages and control mechanisms, attach the foreign register extracts that prove each layer, and never declare a nominee or a fund as the end of the chain.<\/p>\n<h2>II. How to get your Kbis without flying to Paris<\/h2>\n<h3>A. The fix and refile sequence that the portal accepts<\/h3>\n<p>Since 1 January 2023, France has a single door for business filings. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 123-33 of the Commercial Code<\/a> provides that &#8220;toute entreprise se conforme \u00e0 l&#8217;obligation de d\u00e9clarer sa cr\u00e9ation, la modification de sa situation ou la cessation de ses activit\u00e9s&#8221; through &#8220;le d\u00e9p\u00f4t d&#8217;un seul dossier comportant les d\u00e9clarations qu&#8217;elle est tenue d&#8217;effectuer&#8221;, adding that &#8220;Ce dossier est d\u00e9pos\u00e9 par voie \u00e9lectronique aupr\u00e8s d&#8217;un organisme unique d\u00e9sign\u00e9 \u00e0 cet effet&#8221; and that &#8220;Ce d\u00e9p\u00f4t vaut d\u00e9claration aupr\u00e8s du destinataire d\u00e8s lors que le dossier est r\u00e9gulier et complet \u00e0 l&#8217;\u00e9gard de celui-ci.&#8221; Those last words are the whole game: a single electronic file, and it counts as filed only once it is regular and complete for each recipient. The official service-public.fr guide to <a href=\"https:\/\/entreprendre.service-public.fr\/vosdroits\/F35934\">company registration formalities<\/a> confirms that once the request is processed, the company is entered in the RNE the Registre national des entreprises the national business register and in the RCS, and the Kbis follows. Treat the portal as a demanding counterparty, not a mailbox: every exhibit must be final, consistent and legible, because regular and complete is judged recipient by recipient, tax office, social bodies and greffe alike.<\/p>\n<p>Rebuild the file in the order the clerk reads it, and do it from abroad with a French accountant or lawyer holding a clear power of attorney. First, freeze the identity block: draft articles signed and dated, subscriber list with exact names, capital amounts and payment methods, bank deposit certificate matching them to the euro, and the director&#8217;s acceptance letter with a copy of his criminal record or sworn declaration of non-conviction. Second, assemble the foreign exhibits chain for each non-French party: recent foreign register extract with apostille or legalisation, sworn French translation, corporate authorisation to invest and to appoint the director, and powers for the person signing the articles. Third, lock the seat: full lease or domiciliation contract with the provider&#8217;s approval, proof the premises exist, and company name spelled identically everywhere. Fourth, prepare the beneficial ownership declaration with the chain chart and supporting extracts. Fifth, publish the legal announcement of incorporation in a journal d&#8217;annonces l\u00e9gales an authorised legal notices newspaper of the seat&#8217;s d\u00e9partement, because the portal asks for the publication certificate, and keep the invoice as proof of the date. Upload everything as clean PDFs, one document per slot, with file names that state what each document is, and answer correction requests within days with replacement documents rather than explanatory letters: the clerk verifies papers, not intentions, and a second correction round on the same point signals a file nobody masters.<\/p>\n<p>Three practical disciplines separate the files that pass in two weeks from those that drag on for months. Name discipline means one single spelling of every person and company across articles, certificate, lease, translations and declarations, including accents, hyphens and legal suffixes like Ltd or LLC, because software and clerks both flag variants. Date discipline means a coherent chain: articles signed after the draft stage, capital deposited after subscription, lease starting before or on the seat date, announcement published before or with the filing, and foreign extracts recent enough to be credible, ideally under three months. Signature discipline means every signature is identified, dated and empowered: who signed, in what capacity, under which authorisation attached to the file. Founders who manage the company from abroad should also designate a reachable contact in France, typically their counsel or accountant, with a mandate to receive and answer the portal&#8217;s messages daily, since correction deadlines run while you sleep in another time zone and an unanswered request can end in an express refusal that forces a fresh filing. Challenging a refusal you believe is wrong<\/h3>\n<p>When corrections fail and the greffe maintains an express or implied refusal, French law does not leave you facing an unappealable clerk: it gives you a judge. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051559571\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051559571\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 123-6 of the Commercial Code<\/a> states that &#8220;Le registre du commerce et des soci\u00e9t\u00e9s est tenu par le greffier de chaque tribunal de commerce, sous la surveillance du pr\u00e9sident ou d&#8217;un juge commis \u00e0 cet effet, qui sont comp\u00e9tents pour toutes contestations entre l&#8217;assujetti et le greffier&#8221;, so every dispute between the filer and the clerk belongs to the supervising president or delegated judge, and commercial court jurisdiction over company disputes is confirmed by <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000044078679\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000044078679\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 721-3 of the Commercial Code<\/a>, which provides that commercial courts hear disputes relating to commercial companies. The petition is filed by requ\u00eate a written application to the court, it can be prepared and signed by your French counsel without your presence, and you should attach the full filing, the refusal or correction messages, and the exhibits the clerk claims are missing or defective, so the judge sees exactly what the clerk saw.<\/p>\n<p>The Court of Cassation has mapped this remedy in a long-running saga that every foreign founder should know, because it defines both the sword and its limits. On 9 September 2020 in case No. 19-15.422, published at <a href=\"https:\/\/www.courdecassation.fr\/decision\/5fca4731af6750a4d42a30fd\">Cour de cassation, com., 9 September 2020, No. 19-15.422<\/a>, the Commercial Chamber held that &#8220;Il r\u00e9sulte de ce texte que le juge commis \u00e0 la surveillance du registre du commerce et des soci\u00e9t\u00e9s peut, \u00e0 la requ\u00eate de toute personne, justifiant y avoir int\u00e9r\u00eat, enjoindre \u00e0 toute personne immatricul\u00e9e au registre du commerce et des soci\u00e9t\u00e9s qui ne les aurait pas requises de faire proc\u00e9der soit aux mentions compl\u00e9mentaires ou rectifications qu&#8217;elle doit y faire porter, soit aux mentions ou rectifications n\u00e9cessaires en cas de d\u00e9clarations inexactes ou incompl\u00e8tes, soit \u00e0 la radiation.&#8221; Standing is therefore broad: any person proving an interest, including a shareholder of the registered company, can petition the supervising judge to order missing or corrective entries, and the same logic supports petitions against a clerk who refuses an entry the file justifies.
