You own a French SAS or SARL, everything seemed in order, and then a letter from the greffe arrives at your Paris registered office: your company has not declared its beneficial owners, or the declaration is wrong, and you must fix it now. The letter speaks of the RBE, the RCS, an injonction from the president of the commercial court, a daily penalty and even criminal fines. This guide explains, in plain English, who must declare what in the French Register of Beneficial Owners, how to file or correct the declaration entirely from abroad, what the courts can do if you ignore the problem, and exactly which challenges work and which ones fail. Every decisive statement below is anchored to the statute or the court decision that says it, with the official text one click away.<\/p>\n<p>Four acronyms to master before anything else. The RBE (Registre des B\u00e9n\u00e9ficiaires Effectifs) is the French Register of Beneficial Owners, the file that identifies the real human beings behind every company. The RCS (Registre du Commerce et des Soci\u00e9t\u00e9s) is the Trade and Companies Register kept by the greffe, which is the registry office attached to each commercial court and which issues your Kbis, the official identity card of your company. The INPI (Institut National de la Propri\u00e9t\u00e9 Industrielle) runs the Single Window (guichet unique), the only online portal through which all company filings pass since 1 January 2023. The RNE (Registre National des Entreprises) is the national database that mirrors those filings. Do I Have to Declare Beneficial Owners for My French Company When I Live Abroad?<\/h2>\n<p>Yes, in almost every case. Living abroad changes nothing: the obligation attaches to the French company, not to your residence, and it applies whether you hold the shares directly or through a foreign holding company, whether you are the president of a SAS, the g\u00e9rant of a SARL, or a purely passive investor. The two questions that matter are who counts as a beneficial owner and how the declaration is filed.<\/p>\n<h3>A. Who counts as a beneficial owner in France: the 25 percent rule and control by other means<\/h3>\n<p>French law defines the beneficial owner as a natural person, never a company. The statute says, word for word: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000033517537\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000033517537\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cPour l&#8217;application du pr\u00e9sent chapitre, le b\u00e9n\u00e9ficiaire effectif est la ou les personnes physiques : 1\u00b0 Soit qui contr\u00f4lent en dernier lieu, directement ou indirectement, le client ; 2\u00b0 Soit pour laquelle une op\u00e9ration est ex\u00e9cut\u00e9e ou une activit\u00e9 exerc\u00e9e.\u201d<\/a> In company practice, that means the judges and the greffe look through every layer of shareholding until they find the human beings at the end of the chain.<\/p>\n<p>For a company, the threshold is precise. The regulation provides that a beneficial owner is <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036824564\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036824564\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cla ou les personnes physiques qui soit d\u00e9tiennent, directement ou indirectement, plus de 25 % du capital ou des droits de vote de la soci\u00e9t\u00e9, soit exercent, par tout autre moyen, un pouvoir de contr\u00f4le sur la soci\u00e9t\u00e9 au sens des 3\u00b0 et 4\u00b0 du I de l&#8217;article L. 233-3 du code de commerce\u201d<\/a>. Three consequences follow for a foreign owner. First, more than 25 percent of the capital or the voting rights, held directly or through intermediaries, makes you a beneficial owner even if you never visit France. Second, control by any other means also counts: the person who appoints the management, vetoes strategic decisions or directs the company through a shareholders&#8217; agreement is a beneficial owner at zero percent of the capital. Third, indirect holdings are added up through the chain, so a founder who owns 100 percent of a Delaware LLC that owns 30 percent of a Paris SAS is the beneficial owner of the SAS and must be declared as such, with the chain of ownership described.<\/p>\n<p>Equivalent rules exist for other vehicles: collective investment schemes have their own definition in <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036824571\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036824571\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article R. 561-2 of the Monetary and Financial Code<\/a>, and legal persons that are neither companies nor funds fall under <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000049914894\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000049914894\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article R. 561-3 of the same code<\/a>. If your French structure involves a trust, a fund or an association alongside the operating company, each layer must be analysed separately.<\/p>\n<p>The companies concerned are listed in <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000049462327\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000049462327\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L. 561-45-1 of the Monetary and Financial Code<\/a>: companies established on French territory, collective placements, associations, foundations, endowment funds and perpetual funds, with an exemption for companies whose shares are admitted to trading on a regulated market in France or in another EEA State or subject to equivalent transparency rules. A standard SAS, SARL or SASU with a foreign shareholder is therefore inside the system, and so is a French subsidiary of a foreign group. A listed parent is exempt at its own level, but its unlisted French subsidiary still declares the natural persons who ultimately control it.<\/p>\n<h3>B. How to file the RBE declaration from abroad: the INPI Single Window, the supporting documents and the 30-day update rule<\/h3>\n<p>The declaration is made to the RCS through the Single Window, and the whole procedure can be completed online from abroad: no trip to Paris is required. The statute states that the companies concerned <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051559441\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051559441\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cd\u00e9clarent au registre du commerce et des soci\u00e9t\u00e9s, par l&#8217;interm\u00e9diaire de l&#8217;organisme mentionn\u00e9 au deuxi\u00e8me alin\u00e9a de l&#8217;article L. 123-33 du code de commerce, les informations relatives aux b\u00e9n\u00e9ficiaires effectifs.\u201d<\/a> That intermediary body is the single portal created by <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L. 123-33 of the Commercial Code<\/a>, operated by the INPI: one electronic file, filed once, counts as the declaration to every recipient once it is complete. The contents of that single file are detailed in <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292222\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292222\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article R. 123-1 of the Commercial Code<\/a>, which expressly includes the beneficial-owner information required under article L. 561-46 of the Monetary and Financial Code.<\/p>\n<p>Timing matters twice. First, the declaration is filed with the application for registration: the regulation provides that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964090\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964090\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cLes informations relatives aux b\u00e9n\u00e9ficiaires effectifs mentionn\u00e9es au premier alin\u00e9a de l&#8217;article L. 561-46 sont d\u00e9clar\u00e9es au greffe du tribunal de commerce lors de la demande d&#8217;immatriculation au registre du commerce et des soci\u00e9t\u00e9s\u201d<\/a>. In practice your formation agent files the RBE section together with the articles, the lease and the deposit certificate. Second, every later change must be declared fast: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964090\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964090\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cLa soci\u00e9t\u00e9 ou l&#8217;entit\u00e9 immatricul\u00e9e demande une inscription modificative dans les trente jours suivant tout fait ou acte rendant n\u00e9cessaire la rectification ou le compl\u00e9ment des informations d\u00e9clar\u00e9es.\u201d<\/a> A sale of shares, a new investor crossing 25 percent, a change of control clause, a move changing your personal address, a marriage changing your usage name: each triggers a new filing within thirty days. The official service-public guide confirms that this corrective filing currently costs 35.36 euros and is done online by the legal representative through the company formalities window (see <a href=\"https:\/\/entreprendre.service-public.gouv.fr\/vosdroits\/F36703?lang=en\">the official English-language page on declaring beneficial owners<\/a> and the INPI resource page at <a href=\"https:\/\/www.inpi.fr\/ressources\/formalites-dentreprises\/beneficiaires-effectifs\">inpi.fr<\/a>).<\/p>\n<p>The content of the declaration is fixed by <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964081\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964081\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article R. 561-56 of the Monetary and Financial Code<\/a>: for the company, its name, legal form, registered-office address and RCS number; for each beneficial owner, surname, usage name, pseudonym, first names, date and place of birth, nationality and personal address, plus the nature and terms of the control exercised, the extent of that control, and the date on which the person became a beneficial owner. Prepare a passport, a proof of personal address and the full chain of holdings before you start: most rejections from abroad come from a missing link in that chain or from an address that no longer matches.<\/p>\n<p>Do not expect the greffe to wave the file through. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752588\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752588\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 561-47 of the Monetary and Financial Code<\/a> tasks the registrar with real control: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752588\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752588\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cLe greffier du tribunal de commerce v\u00e9rifie que les informations relatives au b\u00e9n\u00e9ficiaire effectif mentionn\u00e9es au premier alin\u00e9a de L. 561-46 sont compl\u00e8tes et conformes aux dispositions l\u00e9gislatives et r\u00e9glementaires, correspondent aux pi\u00e8ces justificatives et pi\u00e8ces d\u00e9pos\u00e9es en annexe et sont compatibles, dans le cas d&#8217;une demande de modification ou de radiation, avec l&#8217;\u00e9tat du dossier.\u201d<\/a> A file that is incomplete, inconsistent with the articles or with the previous filings, or unsupported by documents will be sent back, and the clock keeps running while you correct it.<\/p>\n<p>One reassurance about confidentiality: since the 2025 reform, the register is no longer public. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051552217\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051552217\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 561-46-2 of the Monetary and Financial Code<\/a> now reserves detailed personal data to persons who demonstrate a legitimate interest in preventing or fighting money laundering, its predicate offences or terrorist financing, and it presumes such an interest for journalists acting for those purposes, for non-profit organisations and academic researchers linked to that fight, for business counterparties checking the company they deal with, and for persons subject to anti-money-laundering duties in a non-EU State who show they need access. Your name and month and year of birth are therefore visible to the authorities, banks and justified requesters, not to the open internet.<\/p>\n<h2>II. My RBE Filing Is Missing or Wrong and I Face an Injunction or a Fine: How to Fix It and Challenge It From Abroad<\/h2>\n<p>This is where foreign owners discover that French compliance is not a polite reminder system. An undeclared or incorrect RBE triggers a graduated arsenal: a court injunction with a daily penalty, a forced strike-off from the register, and criminal fines that were toughened in 2026. The good news is that each weapon has strict procedural conditions, and the Cour de cassation has just spelled out, in two published rulings, which challenges succeed and which fail. Read this part as an emergency manual.<\/p>\n<h3>A. What the commercial court president, the prosecutor and the criminal court can do: injunctions, daily penalties, strike-off and the new criminal fines<\/h3>\n<p>The fastest weapon is the injunction of the president of the tribunal. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752575\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752575\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 561-48 of the Monetary and Financial Code<\/a> provides: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752575\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752575\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cLe pr\u00e9sident du tribunal, d&#8217;office ou sur requ\u00eate du procureur de la R\u00e9publique ou de toute personne justifiant y avoir int\u00e9r\u00eat, peut enjoindre, au besoin sous astreinte, \u00e0 toute soci\u00e9t\u00e9 ou entit\u00e9 juridique mentionn\u00e9e au premier alin\u00e9a de l&#8217;article L. 561-46 de proc\u00e9der ou faire proc\u00e9der soit aux d\u00e9clarations des informations relatives au b\u00e9n\u00e9ficiaire effectif, soit \u00e0 la rectification de ces informations lorsqu&#8217;elles sont inexactes ou incompl\u00e8tes.\u201d<\/a> Anyone with an interest can trigger it, the public prosecutor most often does, and the order can impose an astreinte, a daily financial penalty that accumulates until you comply. If you still do not comply, the same article organises the escalation: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752575\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752575\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cLorsque la personne ne d\u00e9f\u00e8re pas \u00e0 l&#8217;injonction d\u00e9livr\u00e9e par le pr\u00e9sident, le greffier en avise le procureur de la R\u00e9publique et lui adresse une exp\u00e9dition de la d\u00e9cision. Il peut proc\u00e9der \u00e0 la radiation d&#8217;office du registre du commerce et des soci\u00e9t\u00e9s de la soci\u00e9t\u00e9 ou de l&#8217;entit\u00e9, dans un d\u00e9lai de trois mois \u00e0 compter de la notification de la d\u00e9cision.\u201d<\/a> Strike-off (radiation d&#8217;office) means your company disappears from the RCS: no valid Kbis, no bank operations, no contracts signed in its name. The president can also appoint an agent (mandataire) to complete the filings for you, at your expense, and that agent can obtain all necessary information from your statutory auditor if you have one.<\/p>\n<p>The procedure around that injunction is codified in <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964052\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964052\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article R. 561-62 of the Monetary and Financial Code<\/a>: the president sets a compliance deadline and, where relevant, the rate of the daily penalty, and <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964052\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964052\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cElle n&#8217;est pas susceptible de recours.\u201d<\/a> The registrar notifies the order by registered letter with acknowledgement of receipt, and the letter must reproduce the rules on what happens next. Two practical traps for owners living abroad are written into the same article: if the letter comes back marked unclaimed, the registrar asks the applicant to serve the order formally (or serves it directly where the court acted on its own motion); if it comes back marked unknown at that address, the case is simply removed from the list and the public prosecutor is informed. An unmonitored Paris mailbox therefore does not protect you: it either leads to formal service or to the prosecutor being notified while your file stays irregular.<\/p>\n<p>If the injunction is ignored, <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964049\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964049\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article R. 561-63 of the Monetary and Financial Code<\/a> takes over: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964049\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964049\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cDans le cas contraire, le greffier constate l&#8217;inex\u00e9cution de l&#8217;injonction par proc\u00e8s-verbal. Le pr\u00e9sident du tribunal statue sur les mesures \u00e0 prendre et, s&#8217;il y a lieu, proc\u00e8de \u00e0 la liquidation de l&#8217;astreinte.\u201d<\/a> The president rules in last resort where the amount does not exceed the court&#8217;s last-resort threshold, the sum is recovered like a non-tax state claim and paid into the general state budget, and the decision is notified to your legal representative. In plain terms: the daily penalty becomes a concrete debt to the Treasury, collected like a tax.<\/p>\n<p>Alongside this administrative track runs the criminal track, and it became heavier on 28 May 2026. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054141234\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054141234\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 574-5 of the Monetary and Financial Code<\/a>, in force since that date, states: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054141234\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054141234\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cEst puni d&#8217;une amende de 200 000 euros le fait de ne pas fournir aux personnes mentionn\u00e9es \u00e0 l&#8217;article L. 561-2, dans le cadre des mesures de vigilance pr\u00e9vues \u00e0 la section 3 du chapitre Ier du titre VI, ou de ne pas d\u00e9clarer au registre du commerce et des soci\u00e9t\u00e9s ou, le cas \u00e9ch\u00e9ant, dans un registre mentionn\u00e9 \u00e0 l&#8217;article L. 561-46-1 les informations relatives aux b\u00e9n\u00e9ficiaires effectifs requises en application du premier alin\u00e9a de l&#8217;article L. 561-46 ou de l&#8217;article L. 561-46-1, ou de d\u00e9clarer des informations inexactes ou incompl\u00e8tes.\u201d<\/a> Convicted natural persons also face a management ban of up to fifteen years and a partial deprivation of civil and civic rights, while a convicted company faces a fine set under the rules for legal persons plus penalties ranging up to dissolution, five years of judicial supervision, closure of establishments, exclusion from public contracts and a ban on issuing cheques or using payment cards. The beneficial owner who personally refuses to hand over the information is caught too: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041572833\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041572833\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L. 574-6 of the same code<\/a> punishes with the same penalties <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041572833\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041572833\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">\u201cle fait pour le b\u00e9n\u00e9ficiaire effectif de ne pas transmettre \u00e0 la soci\u00e9t\u00e9 ou l&#8217;entit\u00e9 les informations requises\u201d<\/a> in time, or transmitting inaccurate or incomplete information. Note the historical shift, confirmed by the official service-public guide: before 28 May 2026 the regime meant a 7,500 euro fine and six months&#8217; imprisonment for the legal representative and a 37,500 euro fine for the company, whereas since that date the prison sentence is gone but the fines reach 200,000 euros for the individual and 1,000,000 euros for the company (see <a href=\"https:\/\/entreprendre.service-public.gouv.fr\/vosdroits\/F36703?lang=en\">the official English-language sanctions section<\/a>).<\/p>\n<p>A real case shows how the machine works. In <a href=\"https:\/\/www.courdecassation.fr\/decision\/66eab8d749e2d93736d98a6d\">Cass. com., 18 September 2024, No. 22-20.771 (ECLI:FR:CCASS:2024:CO00477, published in the Bulletin)<\/a>, the SAS It Outsourcing had been ordered by the president of the Nanterre commercial court, at the prosecutor&#8217;s request, to declare its beneficial owners under article L. 561-46, subject to a daily penalty. The registrar recorded non-compliance, and the president liquidated the penalty at 3,000 euros payable to the Treasury. The company attacked the whole mechanism, arguing a constitutional defect and a breach of the right of access to a court under article 6, section 1 of the European Convention on Human Rights. The Cour de cassation rejected both attacks, holding that the restrictions on access to a judge, justified by the needs of the proper administration of justice, are proportionate to the legitimate aim of fighting money laundering and terrorist financing and do not impair the substance of that right: <a href=\"https:\/\/www.courdecassation.fr\/decision\/66eab8d749e2d93736d98a6d\">\u201cLes limitations apport\u00e9es au droit d&#8217;acc\u00e8s au juge, justifi\u00e9es par les n\u00e9cessit\u00e9 d&#8217;une bonne administration de la justice, sont proportionn\u00e9es \u00e0 l&#8217;objectif l\u00e9gitime de la lutte contre le blanchiment de capitaux et le financement du terrorisme et n&#8217;atteignent pas ce droit dans sa substance m\u00eame.\u201d<\/a> But the company still won on procedure, as the next section explains.<\/p>\n<h3>B. How to challenge from abroad: ask for retraction, appeal the penalty, but never appeal the injunction itself<\/h3>\n<p>The single most important rule, confirmed at the highest level less than a year ago, is this: you cannot appeal the injunction order itself. In <a href=\"https:\/\/www.courdecassation.fr\/decision\/6942530c61c46255e1714d57\">Cass. com., 17 December 2025, No. 24-22.646 (ECLI:FR:CCASS:2025:CO00648, published in the Bulletin)<\/a>, the SARL Le Puits des foug\u00e8res had been ordered by a commercial court president on 24 June 2024 to declare its beneficial owners, and the Versailles Court of Appeal had declared its appeal inadmissible. The company argued before the Cour de cassation that ordering a company which was already compliant amounted to an excess of power. The Court restated the rule in these terms: <a href=\"https:\/\/www.courdecassation.fr\/decision\/6942530c61c46255e1714d57\">\u201cIl r\u00e9sulte de l&#8217;article R. 561-62 du code mon\u00e9taire et financier que la d\u00e9cision par laquelle le pr\u00e9sident d&#8217;un tribunal ordonne \u00e0 une soci\u00e9t\u00e9 de d\u00e9clarer au registre du commerce et des soci\u00e9t\u00e9s ses b\u00e9n\u00e9ficiaires effectifs n&#8217;est pas susceptible de recours. Il n&#8217;est d\u00e9rog\u00e9 \u00e0 cette r\u00e8gle, comme \u00e0 toute autre r\u00e8gle interdisant ou diff\u00e9rant un recours, qu&#8217;en cas d&#8217;exc\u00e8s de pouvoir.\u201d<\/a> And it added the decisive lock: <a href=\"https:\/\/www.courdecassation.fr\/decision\/6942530c61c46255e1714d57\">\u201cUn mal jug\u00e9 par erreur de droit ou de fait ne constitue pas un exc\u00e8s de pouvoir.\u201d<\/a> Even assuming the order rested on errors of law and fact because the company had already complied, there was no excess of power, so the appeal was rightly declared inadmissible and the pourvoi was rejected, with costs against the company. For a foreign owner, the lesson is brutal and clear: if you receive an injunction, do not waste months appealing it, even if you believe you already filed. Comply first, then use the remedies below.<\/p>\n<p>The remedies that do work are threefold. First, retraction by the very president who ordered the measure. The 2024 It Outsourcing ruling holds that the enjoined entities <a href=\"https:\/\/www.courdecassation.fr\/decision\/66eab8d749e2d93736d98a6d\">\u201cdisposent, en application des article 496, alin\u00e9a 2, et 497 du code de proc\u00e9dure civile, de la facult\u00e9 de demander au pr\u00e9sident du tribunal qui l&#8217;a rendue la r\u00e9tractation de son ordonnance.\u201d<\/a> Under <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006410770\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006410770\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article 496, paragraph 2 of the Code of Civil Procedure<\/a>, any interested party may refer the matter back to the judge who granted a request, and <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006410771\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006410771\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article 497 of the same code<\/a> lets the judge vary or retract the order. From abroad, this is your fastest lever: file the missing or corrected declaration through the Single Window, then petition the president for retraction with proof of filing, ideally through a French lawyer who can appear and receive notifications locally.<\/p>\n<p>Second, a genuine appeal lies against the decision that liquidates the daily penalty, as opposed to the injunction itself. The same ruling states that the companies <a href=\"https:\/\/www.courdecassation.fr\/decision\/66eab8d749e2d93736d98a6d\">\u201cpeuvent \u00e9galement, en application des articles R. 561-62 et R. 561-63 de ce code, exercer une voie de recours contre la d\u00e9cision liquidant l&#8217;astreinte prononc\u00e9e le cas \u00e9ch\u00e9ant, par la voie de l&#8217;appel, si le montant de cette astreinte est inf\u00e9rieur au taux de ressort, et par la voie d&#8217;un pourvoi en cassation, dans le cas contraire.\u201d<\/a> Challenge the amount, the calculation period and above all the regularity of notification: in It Outsourcing, the Cour de cassation quashed the 3,000 euro liquidation because the president had merely relied on the registrar&#8217;s report without checking whether the injunction had been regularly notified, recalling that <a href=\"https:\/\/www.courdecassation.fr\/decision\/66eab8d749e2d93736d98a6d\">\u201csi la lettre est retourn\u00e9e avec une mention pr\u00e9cisant que le destinataire est inconnu \u00e0 l&#8217;adresse indiqu\u00e9e, l&#8217;affaire est retir\u00e9e du r\u00f4le par le pr\u00e9sident qui en informe le minist\u00e8re public.\u201d<\/a> The case was sent back to the president of the Versailles commercial court, the Treasury bore the costs, and the company was awarded 3,000 euros under article 700 of the Code of Civil Procedure. If your si\u00e8ge address was outdated, if the letter was never claimed, or if service was skipped, the liquidation is vulnerable on exactly this ground.<\/p>\n<p>Third, the criminal sanction is defended like any criminal case: contest the failure itself, the accuracy of what was declared, the capacity in which you are prosecuted, and the date of the facts, since the lighter pre-28 May 2026 scale can still apply to earlier conduct where it favours the defendant. Never let a summons go unanswered because you live abroad: French criminal courts judge absent defendants and the 200,000 euro fine plus a fifteen-year management ban can be imposed in your absence.<\/p>\n<p>Practical checklist for the owner abroad. One, check today what is registered: order a Kbis, ask the greffe of your si\u00e8ge what RBE data it holds, and compare it with your real ownership chain. Two, file the corrective declaration through the INPI Single Window within days, and in any event within the thirty-day statutory window after any change. Three, monitor the si\u00e8ge mailbox or appoint a domiciliation provider that forwards court mail the same day; an unclaimed registered letter buys you nothing and can trigger formal service. Four, if an injunction arrives, comply immediately and petition for retraction with the filing receipt rather than appealing the order. Five, if a daily penalty is liquidated, appeal that liquidation decision and attack notification and computation. Six, if the prosecutor summons or the company faces strike-off, instruct counsel at once: radiation kills your Kbis, your bank access and your ability to sign, and rebuilding takes far longer than filing. If your registered office is in Paris, the competent court is the Paris commercial court and its greffe handles the file; the procedure is national and identical elsewhere in \u00cele-de-France, but Paris volumes mean registrars there check chains particularly closely, so file a clean, fully documented declaration the first time.<\/p>\n<h2>Conclusion<\/h2>\n<p>The beneficial-owner declaration is the cheapest filing in French company life and the most expensive to ignore. Identify every natural person above 25 percent or exercising control by other means, file through the Single Window at incorporation, update within thirty days of any change, and keep the supporting chain available for the greffe. If an injunction comes, comply first and seek retraction; if a daily penalty is liquidated, appeal that decision and scrutinise notification; if criminal proceedings start, defend them as you would any prosecution, because the new scale runs to 200,000 euros for the individual and 1,000,000 euros for the company plus a fifteen-year management ban. Two published rulings of the Cour de cassation now frame the whole battlefield: no appeal against the injunction itself short of an excess of power, full judicial control over the penalty that follows. Owners who live abroad are not excused, but they are not helpless either: the entire procedure runs online, the remedies are real, and a foreign founder who files early, monitors the si\u00e8ge and reacts within days keeps every option open.
