One practical question now dominates everything else: how do you, the director living abroad, lawfully take money out of that company, and which country&#8217;s social safety net bills you for it? Get the answer wrong and two unwelcome letters follow. The first comes from URSSAF, the French agency that collects social contributions, demanding back payment of charges on sums you thought were tax-free. The second comes from the foreign tax office or your own bank, asking why a French company keeps wiring you money with no payslip and no dividend voucher behind it.<\/p>\n<p>This guide answers the question end to end for foreign founders and foreign groups running a French SAS \u2014 the soci\u00e9t\u00e9 par actions simplifi\u00e9e, the flexible simplified joint-stock company most foreign founders choose \u2014 or a SARL \u2014 the soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e, the more rigid limited liability company. How a foreign director living abroad takes money out of a French company<\/h2>\n<p>French law gives a company director three lawful channels for extracting value: remuneration for the corporate office itself, dividends as a shareholder, and fees billed through another structure, typically a foreign company you also control. Each channel carries its own tax treatment, its own social charges and its own documentary discipline. Mixing them without paperwork is precisely what triggers reassessments, so each channel must be understood separately before any comparison makes sense.<\/p>\n<h3>A. Can you pay yourself a salary from France while living abroad, and what does it really cost?<\/h3>\n<p>Start with the legal basis of your power. In a SAS, &#8220;La soci\u00e9t\u00e9 est repr\u00e9sent\u00e9e \u00e0 l&#8217;\u00e9gard des tiers par un pr\u00e9sident d\u00e9sign\u00e9 dans les conditions pr\u00e9vues par les statuts.&#8221; The same <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006227034\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006227034\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L227-6 of the Commercial Code<\/a> adds: &#8220;Le pr\u00e9sident est investi des pouvoirs les plus \u00e9tendus pour agir en toute circonstance au nom de la soci\u00e9t\u00e9 dans la limite de l&#8217;objet social.&#8221; In a SARL, the rule is simpler: &#8220;La soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e est g\u00e9r\u00e9e par une ou plusieurs personnes physiques.&#8221; Those managers, called g\u00e9rants, are appointed by the shareholders: &#8220;Ils sont nomm\u00e9s par les associ\u00e9s, dans les statuts ou par un acte post\u00e9rieur&#8221;, under <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000031013015\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000031013015\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L223-18 of the Commercial Code<\/a>. Nothing in either text requires the director to live in France. A non-resident can lawfully preside over a SAS or manage a SARL from abroad, provided the articles of association allow the practicalities \u2014 remote decisions, electronic signature, a registered office that actually receives post \u2014 and provided regulated activities needing a French establishment are not involved.<\/p>\n<p>Paying yourself a salary means paying yourself remuneration for the corporate office, voted by the shareholders or fixed under the articles, then run through French payroll with payslips and a monthly nominative social declaration, the DSN. For a SAS president, often a foreign founder holding the presidency, there is no employment contract on top of the office for the same duties: the president is a corporate officer, not an employee, and takes remuneration decided collectively by the shareholders. Under <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051322706\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051322706\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L227-9 of the Commercial Code<\/a>, collective decisions of the shareholders cover the matters reserved to general meetings in public limited companies, and in practice the remuneration of the president is fixed by the articles or by a shareholders&#8217; resolution that you keep with the company records. From abroad, that resolution is your first line of defence: a monthly wire labelled &#8220;salary&#8221; with no voted remuneration behind it looks, to an inspector, like an undocumented drawing on company funds.<\/p>\n<p>What does the salary cost the company? Remuneration of a director affiliated to the general scheme bears full employee and employer social contributions, assessed on activity income: &#8220;Les cotisations de s\u00e9curit\u00e9 sociale dues au titre de l&#8217;affiliation au r\u00e9gime g\u00e9n\u00e9ral des personnes mentionn\u00e9es aux articles L. 311-2 et L. 311-3 sont assises sur les revenus d&#8217;activit\u00e9 tels qu&#8217;ils sont pris en compte pour la d\u00e9termination de l&#8217;assiette d\u00e9finie \u00e0 l&#8217;article L. 136-1-1&#8221;, per <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053282401\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053282401\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L242-1 of the Social Security Code<\/a>. The salary is deductible from the company&#8217;s corporate income tax, the IS, which softens the blow, and it buys the director French protection \u2014 health coverage, pension quarters, daily allowances \u2014 but only if the director is genuinely affiliated in France, a point examined in Part II. For a majority g\u00e9rant of a SARL, the scheme differs: contributions fall under the independent workers&#8217; rules, since &#8220;Les cotisations de s\u00e9curit\u00e9 sociale dues par les travailleurs ind\u00e9pendants non agricoles ne relevant pas du dispositif pr\u00e9vu \u00e0 l&#8217;article L. 613-7 sont assises sur l&#8217;assiette d\u00e9finie \u00e0 l&#8217;article L. 136-3&#8221;, per <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048683707\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048683707\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L131-6 of the Social Security Code<\/a>. Lower charges, weaker cover, and \u2014 a trap for newcomers \u2014 contributions assessed on profits even in a year you voted yourself no actual drawings.<\/p>\n<p>Living abroad adds a tax residence layer that payroll alone does not settle. A salary paid by a French company for duties genuinely performed on French soil is generally taxable in France first, with the treaty between France and your state of residence deciding whether your home country must grant a credit. A salary for duties performed entirely from your home office may be taxable only there, but then the French payroll position becomes hard to defend and the social security question resurfaces: why run French payslips for work done wholly abroad? Founders who split their time must keep travel records, board minutes and a calendar of where decisions were actually taken, because both the tax office and URSSAF will ask. One reassuring judicial data point: where the shareholders alone fix the remuneration, outside contributions paid elsewhere do not rewrite the deal. In a 2024 ruling the Second Civil Chamber of the Court of Cassation approved judges who had held that contributions paid in Belgium on the remuneration were irrelevant, the amount being &#8220;fix\u00e9 discr\u00e9tionnairement par l&#8217;assembl\u00e9e g\u00e9n\u00e9rale des actionnaires&#8221; \u2014 see <a href=\"https:\/\/www.courdecassation.fr\/decision\/6661515dbbc6ae00084dd4bb\">Cass. civ. 2, 6 June 2024, No. 21-23.396<\/a>. The lesson for a foreign director is symmetrical: pay voted at home is pay owed, but it is also pay assessable where the applicable scheme says so, and no certificate from another country automatically cancels the French analysis.<\/p>\n<p>Practical checklist before your first payslip from abroad: have the shareholders vote your remuneration in writing; register the company and yourself with the right bodies \u2014 URSSAF for an assimilated-employee president, the independent workers&#8217; counterpart for a majority g\u00e9rant; run real payslips through a French payroll provider even if you are the only name on it; and clarify your tax residence with an adviser before choosing the amounts, because the headline salary figure is never the final cost once both countries have applied their rules.<\/p>\n<h3>B. Are dividends or management fees billed from abroad the cheaper way to get paid?<\/h3>\n<p>Dividends seduce every foreign founder: no social charges, a flat tax, money wired to your personal account abroad. The seduction is partly honest. Dividends are defined by tax law as investment income \u2014 &#8220;Les dividendes, int\u00e9r\u00eats, arr\u00e9rages et tous autres produits des actions de toute nature&#8221;, in the words of <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038613483\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038613483\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article 120 of the General Tax Code<\/a> \u2014 and for a French-resident individual they bear a single flat levy: &#8220;Les personnes physiques fiscalement domicili\u00e9es en France au sens de l&#8217; article 4 B qui b\u00e9n\u00e9ficient de revenus distribu\u00e9s mentionn\u00e9s aux articles 108 \u00e0 117 bis et 120 \u00e0 123 bis sont assujetties \u00e0 un pr\u00e9l\u00e8vement au taux de 12,8 % .&#8221;, under <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036428175\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036428175\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article 117 quater of the General Tax Code<\/a>, on top of social levies, with the option of the progressive scale on request. But three conditions make dividends a discipline rather than a shortcut, and each one bites harder from abroad.<\/p>\n<p>First, dividends can only be voted from real, available profits. &#8220;Apr\u00e8s approbation des comptes annuels et constatation de l&#8217;existence de sommes distribuables, l&#8217;assembl\u00e9e g\u00e9n\u00e9rale d\u00e9termine la part attribu\u00e9e aux associ\u00e9s sous forme de dividendes.&#8221;, states <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229031\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229031\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L232-12 of the Commercial Code<\/a>. No approved accounts, no distributable sums, no lawful dividend \u2014 only an unlawful distribution that the company, a creditor or a liquidator can later claw back. A foreign sole shareholder who wires himself &#8220;advance dividends&#8221; in month three of the company&#8217;s existence, before any accounts exist, is not taking dividends at all. The mechanism is stated bluntly: investment income gives rise to withholding &#8220;lorsqu&#8217;ils b\u00e9n\u00e9ficient \u00e0 des personnes qui ont leur si\u00e8ge en France ou \u00e0 l&#8217;\u00e9tranger ou qui n&#8217;ont pas leur domicile fiscal en France&#8221;, per <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051218411\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051218411\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article 119 bis of the General Tax Code<\/a>, at the rate set by article 187, reduced or eliminated only where a tax treaty so provides and the paperwork \u2014 typically the 5000 series forms and a certificate of residence \u2014 is filed before payment. Within the European Union, the parent-subsidiary regime can exempt dividends paid to a qualifying EU parent, but the exemption is conditional on holding thresholds, holding duration and beneficial ownership, and French paying agents apply the full withholding by default when the file is incomplete. Founders resident outside the EU, in the Gulf states or the United States for example, must check their treaty rate before promising themselves a net figure: the treaty credit is real but slow, and the cash leaves France net of the levy on day one. Years of pure dividends leave a director with no French health coverage, no pension quarters and no daily allowances, a gap that hurts exactly when a founder falls ill or seeks a mortgage. The classic optimisation for a resident SAS president \u2014 a modest salary to open rights plus dividends for the surplus \u2014 works from abroad only if the salary leg is genuinely defensible where the work is done. There is no universal ratio, whatever social media slides promise; the right mix depends on your residence, your treaty, your need for French cover and the company&#8217;s cash position, and it must be re-voted and re-documented every year.<\/p>\n<p>Management fees are the third channel and the most dangerous. The pattern is familiar: you control a consulting company in your home country, it invoices the French SAS monthly &#8220;management fees&#8221; for your services, the French company deducts the invoices, and you pay yourself locally with no French payslip and no French affiliation. French inspectors know the pattern by heart. Where the invoiced services are really the exercise of the French corporate office \u2014 signing as president, hiring, directing staff in France \u2014 URSSAF reclassifies the fees as disguised remuneration and assesses contributions on the French company, while the tax office disallows the deduction and taxes the sums as salary. Defending the arrangement requires contemporaneous proof that the foreign company delivered distinct, real services beyond the office itself: engagement letters, timesheets, deliverables, evidence that the French board actually supervised and could terminate the contract, and fees priced as between strangers. A one-page monthly invoice for a round sum, signed by you on both sides, with no report attached, survives no control. Groups that second staff rather than directors face a parallel regime \u2014 prior SIPSI declaration and A1 certificates \u2014 described in our guide to <a href=\"https:\/\/kohenavocats.fr\/en\/2026\/09\/17\/foreign-company-france-post-employee-secondment-sipsi-a1-fines-abroad\/\">posting an employee to France<\/a>.<\/p>\n<p>The honest comparison, then: salary costs more in charges but is deductible, builds rights and matches a real presence in France; dividends cost less in levies but demand profits, accounts and treaty paperwork, and build nothing social; management fees look cheapest until the day they are reclassified, when they become the most expensive of the three with penalties on top. Foreign directors who combine all three without minutes, resolutions and contracts are not optimising. They are manufacturing the file of their future reassessment.<\/p>\n<h2>II. Which French social security applies to you, and how do you fight an URSSAF bill?<\/h2>\n<p>Social security is where foreign directors lose the most money through misunderstanding. The question is never &#8220;do I pay charges somewhere&#8221; \u2014 every system bills you \u2014 but which scheme claims you first, what document proves you belong elsewhere, and what happens when two systems claim you at once. France answers with a binary map, and your company form plus your shareholding decides your box before you ever set foot in the country.<\/p>\n<h3>A. Assimilated employee, self-employed or covered back home: which box are you in?<\/h3>\n<p>If you preside over a SAS, French law places you in the general scheme as a matter of principle: &#8220;23\u00b0 Les pr\u00e9sidents et dirigeants des soci\u00e9t\u00e9s par actions simplifi\u00e9es et des soci\u00e9t\u00e9s d&#8217;exercice lib\u00e9ral par actions simplifi\u00e9es ;&#8221;, in the list at <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051284232\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051284232\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L311-3 of the Social Security Code<\/a> of persons compulsorily affiliated to the r\u00e9gime g\u00e9n\u00e9ral, the general employee scheme, even without an employment contract. The affiliation follows paid office, not residence: a president who draws voted remuneration from a French SAS is, in the eyes of URSSAF, an assimilated employee owing contributions in France on that remuneration, whether he sleeps in Paris or in Singapore. A president who draws strictly nothing owes nothing \u2014 but accumulates no rights either, and a zero-remuneration president who in fact lives from opaque drawings is the profile inspectors select first.<\/p>\n<p>If you manage a SARL, the shareholding decides. Minority or equal-share managers join the same general scheme: &#8220;11\u00b0 Les g\u00e9rants de soci\u00e9t\u00e9s \u00e0 responsabilit\u00e9 limit\u00e9e et de soci\u00e9t\u00e9s d&#8217;exercice lib\u00e9ral \u00e0 responsabilit\u00e9 limit\u00e9e \u00e0 condition que lesdits g\u00e9rants ne poss\u00e8dent pas ensemble plus de la moiti\u00e9 du capital social&#8221;, with family holdings attributed to the manager, under the same <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051284232\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051284232\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L311-3 of the Social Security Code<\/a>. Majority managers fall instead into the independent workers&#8217; scheme, paying under <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048683707\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048683707\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L131-6 of the Social Security Code<\/a> on the wider base of article L136-3, which includes a share of dividends above a threshold \u2014 a detail that regularly blindsides foreign majority owners who chose dividends precisely to escape charges. Equal halves between two managers, family attribution of a spouse&#8217;s or minor children&#8217;s shares, a mid-year crossing of the fifty percent line after a transfer: each of these flips the scheme, and the flip applies with retroactive billing.<\/p>\n<p>Living abroad does not delete the French analysis, but European and treaty law can displace it. Inside the EU, the EEA and Switzerland, Regulation 883\/2004 coordinates rather than cumulates: one legislation at a time, designated by rules on the place of work, posting and pluriactivity, and proved by the A1 certificate issued by the competent institution. A director posted temporarily by his home-country employer keeps home affiliation with an A1; a director genuinely working in two states is affiliated where the substantial part is performed, under a determination the institutions make on request, not one the director declares to himself. Outside Europe, bilateral social security conventions decide \u2014 France has signed them with some forty states, including the United States, Canada, the United Kingdom since Brexit, Morocco and Israel among others \u2014 and where no convention exists, double affiliation is lawful and must simply be priced into the decision to take French remuneration at all. The symmetric trap is assuming the A1 is a shield you print yourself: it is a decision of the issuing institution, requested before the posting, describing real duties, and French judges verify its genuineness when fraud is alleged.<\/p>\n<p>The case law shows how literally courts take these boxes. In a 2025 ruling, the Second Civil Chamber upheld a reassessment built on a control covering 2014 to 2016, where URSSAF had notified &#8220;une lettre d&#8217;observations portant notamment sur la r\u00e9mun\u00e9ration vers\u00e9e au pr\u00e9sident de son conseil de surveillance, suivie d&#8217;une mise en demeure&#8221; \u2014 see <a href=\"https:\/\/www.courdecassation.fr\/decision\/68413096e38bf6a0491e1877\">Cass. civ. 2, 5 June 2025, No. 23-13.887<\/a>. The company&#8217;s argument was that a supervisory chairman does not direct; the courts answered that where the articles give that chairman prior approval over investments above a threshold and real management powers follow, the chairman is a de facto director affiliated to the general scheme. For a foreign founder the moral is direct: titles do not protect you, functions do. A &#8220;non-executive chairman&#8221; living abroad who approves every expense above a threshold, hires the Paris team and signs the bank orders is a dirigeant de fait, a de facto director, and will be billed as one, with no regard for the label on his business card.<\/p>\n<p>Three reflexes follow. First, align title, powers and pay before the first euro moves: if you want no French affiliation, vote no French remuneration and take only properly voted dividends once profits exist; if you want French cover, vote a salary and affiliate immediately rather than waiting for the control. Second, where Europe is involved, apply for the A1 determination early through the competent institution and carry the certificate plus the job description it covers. Third, keep the paper that proves who really decided what \u2014 articles, minutes, delegations, travel diaries \u2014 because the entire affiliation debate, in court, turns on functions, and functions are proved by documents, never by assertions.<\/p>\n<h3>B. URSSAF reassesses you or denies your cover: what are the deadlines, proof and remedies?<\/h3>\n<p>A French social control follows a ritualised sequence, and each step has a clock. The third is the territorial boundary: an A1 certificate genuinely obtained before the disputed work, covering the exact duties and period at issue, displaces French affiliation within its scope. But courts pierce paper shields. Build that bundle now: the competent court is the tribunal judiciaire de Paris, p\u00f4le social, for Paris-based companies, the file must show who decided what and where, and translation lead times mean a CRA deadline cannot be used for gathering evidence. Companies elsewhere in France follow the same procedure before their own regional URSSAF and local social court, but the Paris docket moves fast and rewards files that arrive complete.<\/p>\n<p>When the control also touches tax \u2014 disallowed management fees, reclassified dividends, challenged treaty relief \u2014 run the two disputes in parallel without confusing them. The social judge applies social affiliation rules; the tax judge applies deductibility and treaty rules; a victory on one front does not automatically win the other, but the same minutes and contracts feed both. File the CRA appeal and, separately, answer the tax adjustment proposal within its own deadline, and make sure counsel on each side holds the same consistent story about what you did, where, and under which hat. Contradictory defences \u2014 &#8220;I was not directing&#8221; for URSSAF, &#8220;I was directing from France&#8221; for the treaty credit \u2014 destroy credibility on both fronts.<\/p>\n<h2>Conclusion<\/h2>\n<p>A French company rewards the foreign director who chooses his channel deliberately: voted salary for presence and protection, voted dividends from real profits for the surplus, documented cross-border services only where the services are real and priced as between strangers. It punishes the director who wires first and documents later, through URSSAF reassessments, withheld dividends and reclassified fees. The affiliation follows your functions, proved by your papers: SAS president or minority manager in the general scheme, majority manager among the independents, European posting proved by a genuine A1, treaty positions proved by residence certificates filed on time.
