The Kbis, the company&#8217;s official identity card issued by the greffe, the registry office of the commercial court, finally arrived, the corporate bank account works, and now the business needs hands on the ground: a first employee in France. This hire looks like a simple signature from abroad, but French law treats it as the moment your company enters one of the strictest employment systems in Europe. Before the newcomer lifts a finger, you must file a nominative declaration with the social-security bodies, hand over a compliant contract within days, register as an employer with URSSAF, the agency that collects social contributions, and produce payslips whose mandatory entries are fixed by decree. Miss one formality and the contract changes nature by operation of law, or the hire is reclassified as concealed work with a flat-rate penalty of six months&#8217; salary. This article walks through the whole sequence with the statutes in force verified on 14 September 2026, three binding rulings of the Cour de cassation, the court at the top of the French judicial system, and the official URSSAF and service-public.fr procedures. It covers the French company owned from abroad that hires on French soil, explains every French acronym on first use, and closes each risk with the practical fix a distant founder can order this week.<\/p>\n<h2>I. How Does a Foreign Company Lawfully Hire Its First Employee in France?<\/h2>\n<h3>A. What the DPAE pre-hiring declaration requires and when to file it<\/h3>\n<p>The first rule surprises founders raised in hire-at-will systems: in France, employment legally starts with paperwork, not with work. The governing text states: &laquo; L&#8217;embauche d&#8217;un salari&eacute; ne peut intervenir qu&#8217;apr&egrave;s d&eacute;claration nominative accomplie par l&#8217;employeur aupr&egrave;s des organismes de protection sociale d&eacute;sign&eacute;s &agrave; cet effet. &raquo; That is <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006900849\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006900849\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 1221-10 of the Labour Code<\/a>, in force since 1 May 2008. No employee may start before the employer has filed the DPAE, the d&eacute;claration pr&eacute;alable &agrave; l&#8217;embauche, the pre-hiring declaration, naming that employee to the competent bodies. The declaration is filed with URSSAF for staff under the general social-security scheme, and the official URSSAF procedure confirms that the DPAE conditions the employer&#8217;s protection against the concealed-work qualification. The DPAE is the pre-hiring declaration itself. URSSAF, the unions for the collection of social-security and family-allowance contributions, is the agency that receives it and later collects monthly contributions. The DSN, the d&eacute;claration sociale nominative, is the single monthly electronic return through which you later declare pay and contributions. And the visiting card of the whole process is Net-entreprises, the official portal through which the DPAE is filed online.<\/p>\n<p>The declaration must be filed electronically as the default channel. Where the employer cannot use the electronic route, the fallback is strictly framed: &laquo; L&#8217;employeur adresse ce formulaire, sign&eacute; par lui, &agrave; l&#8217;organisme mentionn&eacute; &agrave; l&#8217;article R. 1221-3 par lettre recommand&eacute;e avec demande d&#8217;avis de r&eacute;ception envoy&eacute;e au plus tard le dernier jour ouvrable pr&eacute;c&eacute;dant l&#8217;embauche &raquo; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053220410\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053220410\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Labour Code, art. R. 1221-5<\/a>). In plain terms, the paper form goes by registered letter with acknowledgement of receipt no later than the last working day before the hire, the postmark counting as proof, and the employer keeps a copy with the postal receipt until URSSAF returns its acknowledgement. A founder managing from abroad should therefore never post the form from a foreign address at the last minute; file online through an authorised representative, typically the French accountant, the expert-comptable, who holds a mandate for the company&#8217;s social filings.<\/p>\n<p>The contents of the declaration are fixed and leave no room for approximation: &laquo; La d&eacute;claration pr&eacute;alable &agrave; l&#8217;embauche comporte les mentions suivantes : 1&deg; D&eacute;nomination sociale ou nom et pr&eacute;noms de l&#8217;employeur, code APE, adresse de l&#8217;employeur, num&eacute;ro du syst&egrave;me d&#8217;identification du r&eacute;pertoire des entreprises et de leurs &eacute;tablissements [&#8230;] ; 2&deg; Nom, pr&eacute;noms, sexe, date et lieu de naissance du salari&eacute; ainsi que son num&eacute;ro national d&#8217;identification s&#8217;il est d&eacute;j&agrave; immatricul&eacute; &agrave; la s&eacute;curit&eacute; sociale ; 3&deg; Date et heure d&#8217;embauche ; 4&deg; Nature, dur&eacute;e du contrat ainsi que dur&eacute;e de la p&eacute;riode d&#8217;essai &eacute;ventuelle &raquo; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000035492419\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000035492419\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Labour Code, art. R. 1221-1<\/a>). Note the third item: the declaration states the exact date and hour of hiring, which means the DPAE must be redone if the start date slips, and note the fourth: the contract type and any trial period are announced to URSSAF before the contract is even signed. A DPAE filed for a permanent contract, a CDI, contrat &agrave; dur&eacute;e ind&eacute;termin&eacute;e, followed by a fixed-term contract, a CDD, contrat &agrave; dur&eacute;e d&eacute;termin&eacute;e, creates an inconsistency an inspector will exploit, so decide the contract type before filing, not after.<\/p>\n<p>Filing the DPAE triggers three automatic downstream effects the foreign founder must organise from a distance. First, URSSAF returns an acknowledgement the employer keeps for inspections; labour inspectors ask for it first on every visit. Second, the declaration opens the employee&#8217;s social-security registration and informs the occupational health service, the service de sant&eacute; au travail, so the newcomer&#8217;s information and prevention visit can be scheduled. Third, the filing identifies your company as an employer, with monthly contribution payments and the DSN return to follow. Founders who hired through a foreign parent without a French entity face a different circuit, registration as a foreign firm employing in France, but once the French subsidiary exists with its Kbis and SIRET, the standard DPAE circuit above applies, and pretending the employee works for the foreign parent while sitting in Paris is precisely the arrangement URSSAF reclassifies, as our analysis of <a href=\"https:\/\/kohenavocats.fr\/en\/2026\/09\/12\/foreign-company-france-freelancer-reclassified-employee-urssaf-contest\/\">freelancer reclassification and URSSAF back charges<\/a> demonstrates.<\/p>\n<p>Order the sequence this way from abroad and the hire starts clean. Confirm the SIRET and the applicable collective agreement, the convention collective, the branch-level rulebook that sets notice, minima and trial-renewal conditions for your sector. Fix the contract type, start date and hour, and gross pay. Instruct the expert-comptable to file the DPAE electronically before that date and hour and to return the URSSAF acknowledgement. Only then let the employee start, with the written contract ready for signature within the deadlines examined below. Keep the acknowledgement, the contract and the first DSN in one file: that folder is your shield at the first inspection.<\/p>\n<h3>B. Which contract to give the first hire: permanent, fixed-term or trial terms<\/h3>\n<p>French law starts from a default foreign founders must absorb: permanent employment is the normal form, and every other form must justify itself. A full-time CDI needs no mandatory written form to exist, but putting it in writing remains essential from abroad, because the trial period, a renewal clause, the pay package, the job description and confidentiality or non-compete terms only bind the employee if written and signed. The fixed-term CDD is the mirror image: the statute commands writing and punishes its absence automatically. It states: &laquo; Le contrat de travail &agrave; dur&eacute;e d&eacute;termin&eacute;e est &eacute;tabli par &eacute;crit et comporte la d&eacute;finition pr&eacute;cise de son motif. A d&eacute;faut, il est r&eacute;put&eacute; conclu pour une dur&eacute;e ind&eacute;termin&eacute;e. &raquo; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006901206\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006901206\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Labour Code, art. L. 1242-12<\/a>). Without writing and a precise motive, the CDD is deemed a CDI by operation of law, with no need for the employee to prove anything else.<\/p>\n<p>The Cour de cassation applies that sanction literally, including against large employers with legal departments. In a ruling of 14 November 2018, appeal No. 16-19.038, the Social Chamber quashed an appeal judgment that had refused reclassification where fixed-term contracts bore no employer signature, holding that &laquo; faute de comporter la signature de l&#8217;une des parties, les contrats &agrave; dur&eacute;e d&eacute;termin&eacute;e ne pouvaient &ecirc;tre consid&eacute;r&eacute;s comme ayant &eacute;t&eacute; &eacute;tablis par &eacute;crit et qu&#8217;ils &eacute;taient, par suite, r&eacute;put&eacute;s conclus pour une dur&eacute;e ind&eacute;termin&eacute;e &raquo; (<a href=\"https:\/\/www.courdecassation.fr\/decision\/5fca80a7d739fc7044e50d8b\">Cass. soc., 14 Nov. 2018, No. 16-19.038<\/a>). A missing signature is a missing writing, and a missing writing is a CDI. For a founder signing from another country, the lesson is operational: circulate the contract for signature before the start date, use a qualified electronic signature both parties can evidence, and never let the employee start on a promise that the paperwork will follow.<\/p>\n<p>Even a signed CDD must state a lawful reason, because fixed-term hiring is closed to general convenience. The statute provides that &laquo; un contrat de travail &agrave; dur&eacute;e d&eacute;termin&eacute;e ne peut &ecirc;tre conclu que pour l&#8217;ex&eacute;cution d&#8217;une t&acirc;che pr&eacute;cise et temporaire, et seulement dans les cas suivants &raquo;, listing replacement of an absent employee and temporary increase in activity among the permitted cases (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000037312980\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000037312980\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Labour Code, art. L. 1242-2<\/a>). A first hire to hold a lasting sales or development post, the typical case for a new subsidiary, does not fit those boxes, so the CDI is usually the correct vehicle. The mandatory entries of the CDD, from the precise motive to the end date, the post, the applicable collective agreement, any trial period, the pay components and the pension bodies, are all listed in Article L. 1242-12 cited above, and each missing entry is a separate reclassification risk.<\/p>\n<p>Timing matters as much as content. The statute orders: &laquo; Le contrat de travail est transmis au salari&eacute;, au plus tard, dans les deux jours ouvrables suivant l&#8217;embauche. &raquo; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006901207\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006901207\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Labour Code, art. L. 1242-13<\/a>). The CDD must reach the employee within two working days of hiring, and late transmission alone reclassifies it as a CDI. Worse for the distant employer who discovers the defect months later, the limitation clock for the employee&#8217;s reclassification claim runs from that very deadline: &laquo; le d&eacute;lai de prescription d&#8217;une action en requalification d&#8217;un contrat de travail &agrave; dur&eacute;e d&eacute;termin&eacute;e en contrat &agrave; dur&eacute;e ind&eacute;termin&eacute;e court, lorsque cette action est fond&eacute;e sur l&#8217;absence d&#8217;&eacute;tablissement d&#8217;un &eacute;crit, &agrave; compter de l&#8217;expiration du d&eacute;lai de deux jours ouvrables imparti &agrave; l&#8217;employeur pour transmettre au salari&eacute; le contrat de travail &raquo; (<a href=\"https:\/\/www.courdecassation.fr\/decision\/645c944ae48085d0f84a3573\">Cass. soc., 11 May 2023, No. 20-22.472<\/a>). Every CDD file should therefore carry proof of the sending date, and a founder who learns a contract went out late should seek advice immediately rather than hoping the employee never noticed.<\/p>\n<p>The trial period, the p&eacute;riode d&#8217;essai, is where first hires most often explode, because founders assume the trial lets them part freely while the statute frames it tightly. Maximum initial durations are fixed by category: &laquo; Le contrat de travail &agrave; dur&eacute;e ind&eacute;termin&eacute;e peut comporter une p&eacute;riode d&#8217;essai dont la dur&eacute;e maximale est : 1&deg; Pour les ouvriers et les employ&eacute;s, de deux mois ; 2&deg; Pour les agents de ma&icirc;trise et les techniciens, de trois mois ; 3&deg; Pour les cadres, de quatre mois. &raquo; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071113\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071113\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Labour Code, art. L. 1221-19<\/a>). Your first hire&#8217;s classification, ouvrier or employ&eacute;, supervisor or technician, cadre executive, therefore sets the trial length, and the applicable convention collective may shorten it further, so check the branch text before drafting.<\/p>\n<p>Renewing the trial is possible only under three cumulative locks. The statute allows renewal once only if an extended branch agreement provides for it, and that agreement sets the conditions and durations: &laquo; La p&eacute;riode d&#8217;essai peut &ecirc;tre renouvel&eacute;e une fois si un accord de branche &eacute;tendu le pr&eacute;voit. Cet accord fixe les conditions et les dur&eacute;es de renouvellement. &raquo; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071109\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071109\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Labour Code, art. L. 1221-21<\/a>). The possibility must also be written into the engagement letter or contract, since &laquo; La p&eacute;riode d&#8217;essai et la possibilit&eacute; de la renouveler ne se pr&eacute;sument pas. Elles sont express&eacute;ment stipul&eacute;es dans la lettre d&#8217;engagement ou le contrat de travail. &raquo; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071102\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000019071102\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Labour Code, art. L. 1221-23<\/a>). And the employee&#8217;s agreement to the renewal must be a written, unequivocal consent given before the initial period expires. General HR commentary, from service-public.fr to private publishers like Legalstart, presents these three conditions as a checklist, but none of them manages the file from abroad the way a foreign founder must.<\/p>\n<p>The Cour de cassation showed in June 2025 how strictly judges test that consent. An employer had renewed a four-month trial, the employee had signed the bottom of a renewal letter that stated he acknowledged receipt, and he had returned it by email writing that he was sending back the signed renewal letter. The court of appeal treated the email as consent; the Social Chamber quashed, ruling: &laquo; En se d&eacute;terminant ainsi, par des motifs qui ne suffisent pas &agrave; caract&eacute;riser l&#8217;accord &eacute;crit non &eacute;quivoque du salari&eacute; au renouvellement de la p&eacute;riode d&#8217;essai, la cour d&#8217;appel a priv&eacute; sa d&eacute;cision de base l&eacute;gale. &raquo; (<a href=\"https:\/\/www.courdecassation.fr\/decision\/684912ab73d71a3e1cc31e0d\">Cass. soc., 11 June 2025, No. 23-21.128<\/a>). A signed acknowledgement of receipt plus a polite returning email does not equal an unequivocal written agreement. From another country, the safe practice is a short standalone amendment stating the renewal, its duration and its legal basis, signed by both sides before the initial trial ends, and never a mere countersigned information letter. Ending a trial also requires notice that grows with presence, from twenty-four hours to one month (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000029144958\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000029144958\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Labour Code, art. L. 1221-25<\/a>), and breaching that notice buys the employee compensatory pay, so calendar the notice before announcing the decision.<\/p>\n<h2>II. How Does the Foreign Employer Handle Pay, Payslips and a Missed Formality?<\/h2>\n<h3>A. What the first payslip, minimum wage and social registration must contain<\/h3>\n<p>Pay in France is a regulated act, not a private arrangement, and the first payslip must satisfy rules a foreign payroll provider will not guess. The statute commands: &laquo; Lors du paiement du salaire, l&#8217;employeur remet aux personnes mentionn&eacute;es &agrave; l&#8217;article L. 3243-1 une pi&egrave;ce justificative dite bulletin de paie. &raquo; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000033024092\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000033024092\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Labour Code, art. L. 3243-2<\/a>). Every payment of wages produces a payslip, the bulletin de paie, whose entries are set by decree of the Council of State: employer and employee identification, job category and classification, hours, gross, contributions, net, net social and net taxable amounts, and payment date. Since the 2018 simplified-payslip reform the layout is standardised, and a non-compliant slip draws both URSSAF adjustments and prud&#8217;homal, labour-court, damages. The slip may be electronic unless the employee objects, under integrity and confidentiality conditions, which suits remote management, but the objection right means the contract should ask the employee&#8217;s preference in writing at hiring.<\/p>\n<p>The floor under every figure is the SMIC, the salaire minimum interprofessionnel de croissance, the national minimum wage, whose legal purpose the statute defines as follows: &laquo; Le salaire minimum de croissance assure aux salari&eacute;s dont les r&eacute;mun&eacute;rations sont les plus faibles : 1&deg; La garantie de leur pouvoir d&#8217;achat ; 2&deg; Une participation au d&eacute;veloppement &eacute;conomique de la nation. &raquo; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006902832\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006902832\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Labour Code, art. L. 3231-2<\/a>). The SMIC is revalued mechanically each year and sets an hourly floor no contract may undercut, while the applicable convention collective usually imposes higher minima by classification. Quote pay in the contract as a gross annual or monthly figure for the stated hours, verify it against both the SMIC and the branch minimum for the hire&#8217;s category, and remember that thirteen-month bonuses, variable pay and benefits in kind each carry their own contribution treatment the expert-comptable must parameterise before the first DSN.<\/p>\n<p>Behind the payslip stands the affiliation principle that catches foreign employers off guard: whoever works in France joins the French system by that fact alone. The Social Security Code provides: &laquo; Sont affili&eacute;es obligatoirement aux assurances sociales du r&eacute;gime g&eacute;n&eacute;ral, quel que soit leur &acirc;ge et m&ecirc;me si elles sont titulaires d&#8217;une pension, toutes les personnes quelle que soit leur nationalit&eacute;, de l&#8217;un ou de l&#8217;autre sexe, salari&eacute;es ou travaillant &agrave; quelque titre ou en quelque lieu que ce soit, pour un ou plusieurs employeurs &raquo; (<a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000047452593\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000047452593\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Social Security Code, art. L. 311-2<\/a>). Nationality, age, pension status and contract validity are all irrelevant: work performed on French soil for your French company means French contributions, period. First, the conventional minimum: a salary above the SMIC can still underpay if the convention collective grants more for the classification, and the shortfall produces back pay plus damages. Second, working time: the payslip must reflect hours actually worked, and understated hours feed both overtime claims and the concealed-work presumption examined below.
