Instead of the Kbis, you received a refusal: file incomplete, supporting documents missing or non-compliant. Your passport copy carries no apostille, your parent company&#8217;s articles are in English with no certified French translation, the bank certificate names the wrong subscriber, and a fifteen-day correction clock is already running while your office lease, your first hire and your first invoices wait. For a foreign founder, this moment decides everything: without registration the company has no legal personality, no bank account in its own name, no VAT number and no capacity to contract. This guide covers the two battles every foreign filer must win: first, understanding why the greffe, the court clerk who checks each filing before registration, bounces foreign documents and which stamp or translation cures each defect; second, repairing the file inside the deadline, refiling correctly, and, if the clerk still refuses, challenging the refusal and protecting the contracts already signed in the company&#8217;s name. Why Does the Greffe Reject Foreign Documents: Apostille, Translation and the Incomplete File?<\/h2>\n<h3>A. Which Papers Does the Guichet Unique Require, and Why Is Your File Declared Incomplete?<\/h3>\n<p>French law channels every creation, modification or closure through one electronic file. Article L. 123-33 of the Commercial Code provides that each business carries out its declarations <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">par le d\u00e9p\u00f4t d&#8217;un seul dossier comportant les d\u00e9clarations qu&#8217;elle est tenue d&#8217;effectuer. One portal, but each recipient, the greffe for the RCS, the tax administration, the social bodies, judges completeness for itself. A file that looks finished on your screen can therefore be incomplete in the eyes of the greffe, and that single word, incomplete, stops the Kbis. The central receiving role belongs to the body described in Article R. 123-1, which states that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292222\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292222\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">L&#8217;organisme unique mentionn\u00e9 \u00e0 l&#8217;article L. 123-33 permet aux entreprises de r\u00e9aliser l&#8217;ensemble des formalit\u00e9s et proc\u00e9dures n\u00e9cessaires \u00e0 l&#8217;acc\u00e8s et \u00e0 l&#8217;exercice de leur activit\u00e9. Article R. 123-4 then details the identity information, legal form, registered office, contact details, purpose of the filing and activities of the business. For a foreign founder, three items in this list cause almost every rejection. First, identity and capacity documents issued abroad: passport, parent-company registry extract, board resolution authorising the French venture, power of attorney for the person signing in France. Second, the articles of the new French company and the subscriber list, which must match the capital deposit certificate to the euro. Third, the signature itself: Article R. 123-5 requires, where a signature is needed, an advanced electronic signature based on a qualified certificate, and a founder signing from abroad with a simple scanned signature or a foreign certificate the portal does not recognise will see the file stall before any human even reads it. When any of these pieces is missing, unauthenticated or unreadable in French, the greffe does not improvise: it applies Article R. 123-97 of the Commercial Code, which provides that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292333\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292333\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">le greffier proc\u00e8de \u00e0 l&#8217;inscription dans le d\u00e9lai d&#8217;un jour franc ouvrable apr\u00e8s r\u00e9ception de la demande<\/a>, and continues: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292333\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292333\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Toutefois, lorsque le dossier est incomplet, il r\u00e9clame dans ce d\u00e9lai, par l&#8217;interm\u00e9diaire de l&#8217;organisme unique et dans les m\u00eames conditions, les renseignements ou pi\u00e8ces manquants qui sont fournis dans un d\u00e9lai de quinze jours \u00e0 compter de cette r\u00e9clamation<\/a>. One clear working day to register a complete file, fifteen days for you to cure an incomplete one, and a reasoned refusal if you fail. That is the entire timetable of your filing, and foreign documents are what most often pushes a file from the first track to the second.<\/p>\n<p>The Bordeaux Court of Appeal showed on 14 January 2026, RG 24\/04716, how seriously judges take these filing timestamps. A financial holding company for liberal professions had transmitted its documents to the Angoul\u00eame commercial court greffe on 1 September 2023, proved it with the deposit receipt, the attestation de d\u00e9p\u00f4t, issued that day, and asked the court to correct its Kbis to show registration one clear day later, on 2 September 2023, instead of the later date the greffe had recorded after waiting for a bar registration. The court recalled that the production of the bar declaration at the greffe <a href=\"https:\/\/www.courdecassation.fr\/decision\/67875259fc8e837eda8a6262\">ne constitue plus, depuis le 1er janvier 2020, une condition pr\u00e9alable \u00e0 l&#8217;immatriculation<\/a>, held that the company was entitled to argue that its file had been complete from the deposit date, and then <a href=\"https:\/\/www.courdecassation.fr\/decision\/67875259fc8e837eda8a6262\">d&#8217;infirmer l&#8217;ordonnance du 9 avril 2024 rendue par le juge commis \u00e0 la surveillance du RCS de tribunal de commerce d&#8217;Angoul\u00eame en ce qu&#8217;elle refuse de modifier la date d&#8217;immatriculation de la soci\u00e9t\u00e9 FBDS et, statuant \u00e0 nouveau, d&#8217;ordonner la modification du registre du commerce et des soci\u00e9t\u00e9s afin de faire appara\u00eetre une date d&#8217;immatriculation de la soci\u00e9t\u00e9 FBDS au 2 septembre 2023<\/a>. Keep every receipt, every acknowledgment, every attestation: if the greffe misdates or wrongly refuses your registration, those papers are your evidence. Article L. 561-46 of the Monetary and Financial Code requires companies to declare to the RCS, through the single body, <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051559441\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051559441\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">les informations relatives aux b\u00e9n\u00e9ficiaires effectifs. Ces informations portent sur les \u00e9l\u00e9ments d&#8217;identification et le domicile personnel de ces b\u00e9n\u00e9ficiaires ainsi que sur les modalit\u00e9s du contr\u00f4le que ces derniers exercent sur la soci\u00e9t\u00e9 ou l&#8217;entit\u00e9<\/a>. A foreign parent that hides behind layers of holding companies and names only the direct shareholder will be flagged. The Cour de cassation illustrated the enforcement muscle on 18 September 2024, appeal 22-20.771, where, as the ruling records, <a href=\"https:\/\/www.courdecassation.fr\/decision\/66eab8d749e2d93736d98a6d\">la soci\u00e9t\u00e9 It Outsourcing a, \u00e0 la requ\u00eate du procureur de la R\u00e9publique, \u00e9t\u00e9 condamn\u00e9e, sous astreinte, \u00e0 proc\u00e9der \u00e0 la d\u00e9claration de ses b\u00e9n\u00e9ficiaires effectifs en application de l&#8217;article L. 561-46 du code mon\u00e9taire et financier<\/a>, before the penalty liquidation that followed travelled all the way to the high court. File the full ownership chain, with personal domiciles and control percentages, translated where needed, at creation: a greffe that cannot identify your beneficial owners treats the file as incomplete, and the prosecutor can force the filing under a daily penalty.<\/p>\n<h3>B. Apostille or Legalisation: Which Stamp Makes Your Home-Country Document Valid in France?<\/h3>\n<p>A French greffe cannot take a Delaware certificate of good standing, a London board minute or a New York power of attorney at face value: some authority must certify that the signature, the seal and the capacity of the signatory are genuine. For states party to the Hague Convention of 5 October 1961, that certification is the apostille, a single stamp that replaces the old chain legalisation. The First Civil Chamber of the Cour de cassation restated the principle on 13 June 2019, appeal 18-50.055, in these terms: <a href=\"https:\/\/www.courdecassation.fr\/decision\/5fca6d0a7e0ae057f1fa44ef\">La Convention de La Haye du 5 octobre 1961, entr\u00e9e en vigueur le 24 janvier 1965 en France et \u00e0 laquelle l&#8217;Afrique du Sud a adh\u00e9r\u00e9, a remplac\u00e9 la proc\u00e9dure de l\u00e9galisation des actes d&#8217;\u00e9tat civil \u00e9manant des Etats parties \u00e0 la Convention par la formalit\u00e9 de l&#8217;apostille<\/a>. The case concerned a South African birth certificate in a nationality dispute, but the rule it recalls is the general one the greffe applies to your corporate papers: a public document from a Convention state, bearing the apostille, may be produced before French authorities without further legalisation. Concretely, the parent-company extract, the resolution authorising the French subsidiary and the notarial documents from your home country each need an apostille issued by the designated authority of the issuing state, usually the same office that handles international judicial assistance, and the apostille must travel with the document, stapled, sealed and referenced, not as a loose scan in a separate file that the portal cannot connect to the original.<\/p>\n<p>For documents from states outside the Convention, the French administration requires legalisation, and the official service-public guidance states the starting point bluntly: <a href=\"https:\/\/www.service-public.gouv.fr\/particuliers\/vosdroits\/F1402\">La l\u00e9galisation d&#8217;un document \u00e9tranger peut \u00eatre exig\u00e9e pour faire une d\u00e9marche en France<\/a>. Company registration is exactly such a d\u00e9marche. The same page recalls that, under international custom, legalisation of a foreign act produced in France follows double legalisation in two steps: first the authorities of the issuing state certify the document, then the French consulate covering that district endorses it. Build three to six weeks for that circuit into your timetable, or restructure the filing so the sensitive documents come from a Convention state entity of your group where possible. Either way, never file the original by post to the greffe unless the portal expressly demands paper: Article R. 123-3 accepts digitised exhibits, and the greffe works from the Guichet unique file, so a crisp colour scan of the apostilled or legalised original, fully legible, with every seal readable, is what the clerk examines.<\/p>\n<p>Authentication is only half the battle; language is the other, and it strikes even founders whose documents are perfectly apostilled. Service-public answers the question whether a foreign document must be translated before legalisation with a yes that leaves no room for negotiation: <a href=\"https:\/\/www.service-public.gouv.fr\/particuliers\/vosdroits\/F1402\">Oui, un acte public r\u00e9dig\u00e9 en langue \u00e9trang\u00e8re doit \u00eatre accompagn\u00e9 d&#8217;une traduction en fran\u00e7ais faite par un traducteur habilit\u00e9<\/a>, adding that <a href=\"https:\/\/www.service-public.gouv.fr\/particuliers\/vosdroits\/F1402\">Cette traduction doit \u00eatre faite avant de commencer les d\u00e9marches de l\u00e9galisation<\/a>. A traducteur habilit\u00e9 is a sworn translator, traducteur asserment\u00e9, an expert registered with a French court of appeal, and the greffe checks the translator&#8217;s stamp, signature and court registration as carefully as the underlying document. The papers that trigger rejections in practice are the ones a foreign group produces in English without thinking: the parent company&#8217;s articles and registry extract, the board resolution approving the French investment and appointing the local representative, the power of attorney for the person signing the statutes and the Guichet unique forms, criminal-record declarations of foreign directors where required, and bank letters describing the deposit. Have each translated in full, including stamps and marginal notes, keep the translator&#8217;s certification physically attached to the source, and file the pair as one exhibit. A partial translation, a translation by an unregistered agency, or a translation completed after legalisation so that the consular stamp covers untranslated pages, sends the file straight back to incomplete status, and the fifteen-day clock does not pause while you find a sworn translator.<\/p>\n<p>One practical matrix closes this first part. If the issuing state is a Hague Convention party, order the apostille first, then the sworn translation of the apostilled set, then file. If it is not, order the sworn translation first, then run the two-step legalisation over the document plus its translation, then file. In both cases, verify the current party list for the issuing state on the day you file rather than trusting last year&#8217;s advice, because accessions continue and the greffe applies the law of the filing date. And keep the BODACC, the Bulletin officiel des annonces civiles et commerciales, the official gazette where your registration notice will be published, out of your worries at this stage: the legal announcement, annonce l\u00e9gale, attesting publication is a separate exhibit with its own formalities, and mixing its defects with your foreign-document defects only confuses the cure. Diagnose each rejection ground separately, cure the foreign-document ground with the right stamp in the right order, and the file moves.<\/p>\n<h2>II. How Do You Fix the Rejection, Refile and Get Your Kbis Without Losing Weeks?<\/h2>\n<h3>A. How Do You Correct the File Within Fifteen Days and Secure the Capital Deposit?<\/h3>\n<p>The fifteen-day cure period in Article R. 123-97 is short but workable if you treat the r\u00e9clamation, the clerk&#8217;s request for missing items, as a punch list rather than a verdict. Read each requested item literally: when the greffe writes that the power of attorney lacks legalisation, it wants the consular chain, not a new draft; when it writes that the parent-company extract is not translated, it wants the sworn translator&#8217;s full version, not a summary; when it writes that the subscriber list does not match the deposit certificate, it wants consistency between the statutes and the bank paper to the euro. Order the missing apostilles, legalisations and translations in parallel on day one, because the sworn translation must precede legalisation while the apostille must precede translation, and running the wrong sequence wastes the fortnight. Refile exclusively through the Guichet unique, never by direct mail or counter visit, since Article R. 123-6 routes all exchanges between the filer and the single body through the portal, with electronic acknowledgments that prove your filing date. Save every acknowledgment and every attestation de d\u00e9p\u00f4t: the Bordeaux FBDS ruling turned entirely on the deposit receipt proving the file had been complete on 1 September 2023, and your receipts play the same role if the registration date, and with it your personality, your VAT and your contracts, is disputed later.<\/p>\n<p>The signature block deserves a paragraph of its own because foreign founders lose days there without understanding why. Article R. 123-5 demands a qualified electronic signature for filings that require signing, and a founder equipped only with a foreign e-mail certificate or a scanned handwritten signature fails at the gate. Two cures exist. Either equip the signatory with a qualified certificate from a trusted provider recognised under the European eIDAS regulation before filing, or authorise a France-based proxy by a power of attorney that itself carries the apostille and the sworn translation, and let the proxy sign with a compliant certificate. Do not mix the two: a proxy whose mandate is unauthenticated infects every document he signs. Test the signature on a draft filing early, confirm the portal displays the signatory&#8217;s verified identity, and only then submit the paid file, because a signature defect discovered after payment restarts the examination while the fifteen-day clock keeps running on the substance.<\/p>\n<p>Then comes the money: the capital deposit, d\u00e9p\u00f4t des fonds, the certificate without which no company limited by shares or Simplified joint-stock structure registers. Article L. 225-5 of the Commercial Code requires that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006223432\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006223432\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Les fonds provenant des souscriptions en num\u00e9raire et la liste des souscripteurs avec l&#8217;indication des sommes vers\u00e9es par chacun d&#8217;eux font l&#8217;objet d&#8217;un d\u00e9p\u00f4t dans les conditions d\u00e9termin\u00e9es par d\u00e9cret en Conseil d&#8217;Etat<\/a>, and warns that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006223432\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006223432\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">nul ne peut d\u00e9tenir plus de huit jours les sommes recueillies pour le compte d&#8217;une soci\u00e9t\u00e9 en formation<\/a>. In plain terms, subscriber funds wired from abroad must be parked with an authorised depositary, a bank, a notary or the Caisse des d\u00e9p\u00f4ts, within eight days, and the depositary issues the certificate, certificat du d\u00e9positaire, naming each subscriber and each amount. That certificate must mirror the draft statutes exactly: same subscribers, same amounts, same currency, same spelling of foreign names. For a SARL, the limited liability company form, Article L. 223-7 adds that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006222923\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006222923\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Les parts repr\u00e9sentant des apports en num\u00e9raire doivent \u00eatre lib\u00e9r\u00e9es d&#8217;au moins un cinqui\u00e8me de leur montant. La lib\u00e9ration du surplus intervient en une ou plusieurs fois sur d\u00e9cision du g\u00e9rant, dans un d\u00e9lai qui ne peut exc\u00e9der cinq ans \u00e0 compter de l&#8217;immatriculation de la soci\u00e9t\u00e9 au registre du commerce et des soci\u00e9t\u00e9s<\/a>, while the SAS, the soci\u00e9t\u00e9 par actions simplifi\u00e9e, the simplified joint-stock company most foreign founders choose, follows its own chapter opened by Article L. 227-1, which provides that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048535177\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048535177\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Une soci\u00e9t\u00e9 par actions simplifi\u00e9e peut \u00eatre institu\u00e9e par une ou plusieurs personnes qui ne supportent les pertes qu&#8217;\u00e0 concurrence de leur apport<\/a>. Wire the funds early, obtain the certificate before filing, and reconcile it line by line with the statutes: a deposit in dollars converted at the wrong rate, a subscriber named in English on the certificate and in French in the statutes, or a missing subscriber routinely produces the very incompleteness notice this article teaches you to cure.
