The implementing regulation, <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053220874\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053220874\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article R. 243-59 of the Social Security Code<\/a>, states: &#8220;La p\u00e9riode contradictoire pr\u00e9vue \u00e0 l&#8217;article L. 243-7-1 A est engag\u00e9e \u00e0 compter de la r\u00e9ception de la lettre d&#8217;observations par la personne contr\u00f4l\u00e9e, qui dispose d&#8217;un d\u00e9lai de trente jours pour y r\u00e9pondre.&#8221; URSSAF&#8217;s own published procedure confirms the same 30-day period and allows you to request 30 additional days to gather the evidence for your reply, with the inspector obliged to answer. Ask for the extension systematically and in writing before the first deadline expires. Silence extends nothing, and an extension request sent late can simply be ignored. If the body does not answer your extension request, the extension is deemed accepted, which gives you a full sixty days to build the file.<\/p>\n<p>Use those days to answer point by point, head of adjustment by head of adjustment, with documents attached. An inspector who answers your ten-page reply with two generic paragraphs hands your lawyer a ready-made procedural argument for the court.<\/p>\n<p>At the end of this phase, URSSAF sends its decision: confirmation of guidance for the future, a formal warning if money is claimed, or a credit notice with a refund within one month if the balance favours you. Practical advice for directors abroad: never let the 30-day letter sit while you look for counsel. Instruct a French lawyer or payroll specialist the week the letter arrives, send the extension request immediately to buy time, and centralise every payslip, contract and bank proof in one file. Companies that answer thoroughly at this stage regularly see reassessments cut or dropped before any enforcement begins, while companies that ignore the letter discover that the rest of the procedure runs without them. The audit reply is where cases are won cheaply; everything after it costs more.<\/p>\n<h2>II. Stopping forced collection: the formal warning, the collection order and the 15-day court challenge<\/h2>\n<h3>A. The mise en demeure: one month to pay, and the nullity weapon hidden in its wording<\/h3>\n<p>If URSSAF still claims money after the adversarial phase, it must send a formal warning (mise en demeure) before any enforcement. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000037947880\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000037947880\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 244-2 of the Social Security Code<\/a> makes it the mandatory gateway: outside public-prosecutor cases, every action is preceded by a formal warning sent by registered letter or any means giving certain date of receipt, and &#8220;Le contenu de l&#8217;avertissement ou de la mise en demeure mentionn\u00e9s au premier alin\u00e9a doit \u00eatre pr\u00e9cis et motiv\u00e9, dans des conditions fix\u00e9es par d\u00e9cret en Conseil d&#8217;Etat.&#8221; The decree, <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053220402\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053220402\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article R. 244-1 of the Social Security Code<\/a>, spells out the minimum content: &#8220;L&#8217;avertissement ou la mise en demeure pr\u00e9cise la cause, la nature et le montant des sommes r\u00e9clam\u00e9es, les majorations et p\u00e9nalit\u00e9s qui s&#8217;y appliquent ainsi que la p\u00e9riode \u00e0 laquelle elles se rapportent.&#8221; For audit-based claims, the warning must also repeat, year by year, the amounts from the observations letter as corrected through the exchanges, with the reference and dates of that letter. You then have one full month from notification to pay or to act.<\/p>\n<p>The courts enforce these content requirements ruthlessly, and that is good news for employers. The Second Civil Chamber of the Court of Cassation, which hears all social-security collection appeals, holds that &#8220;la mise en demeure, qui constitue une invitation imp\u00e9rative adress\u00e9e au d\u00e9biteur d&#8217;avoir \u00e0 r\u00e9gulariser sa situation dans le d\u00e9lai imparti, doit permettre \u00e0 celui-ci d&#8217;avoir connaissance de la nature, de la cause et de l&#8217;\u00e9tendue de son obligation et pr\u00e9ciser \u00e0 cette fin, \u00e0 peine de nullit\u00e9, la nature et le montant des cotisations et contributions r\u00e9clam\u00e9es et la p\u00e9riode \u00e0 laquelle celles-ci se rapportent, sans que soit exig\u00e9e la preuve d&#8217;un pr\u00e9judice&#8221; (<a href=\"https:\/\/www.courdecassation.fr\/decision\/67f76971346c8e4db434754c\">Cass. 2nd civil chamber, 10 April 2025, no. 23-11.799<\/a>). Read that carefully: a warning that lumps everything under a generic label such as general scheme, without identifying which contributions are claimed, is void, and you do not even have to prove you suffered harm from the vagueness. Nullity is automatic. In that 2025 case the fund&#8217;s warning mentioned only the general scheme with a footnote sweeping in unemployment and wage-guarantee contributions, and the Court quashed the appeal ruling that had accepted it. For a foreign employer staring at a five-figure demand, the checklist is therefore mechanical: does the letter state the cause of each sum, the precise nature of each contribution, the exact amount, the surcharges, and the period concerned? If any element is missing or generic, your opposition should plead nullity of the warning first, because a void warning poisons everything built on it, including the later collection order.<\/p>\n<p>Within that one-month window you have three parallel options, and you can combine them. First, pay what is truly due, ideally with an explicit reservation letter stating that payment does not amount to acceptance of the disputed balance; paying the principal quickly also stops late surcharges from growing. Second, ask URSSAF in writing for a payment plan (d\u00e9lai de paiement) with a realistic monthly schedule and proof of temporary cash difficulty; a granted plan suspends enforcement while you comply, though it does not erase the debt. Third, challenge the merits through the fund&#8217;s internal appeals board (commission de recours amiable, the mandatory in-house review panel): <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000037595656\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000037595656\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article R. 142-1 of the Social Security Code<\/a> provides that &#8220;Cette commission doit \u00eatre saisie dans le d\u00e9lai de deux mois \u00e0 compter de la notification de la d\u00e9cision contre laquelle les int\u00e9ress\u00e9s entendent former une r\u00e9clamation.&#8221; File that internal appeal within two months of the warning even if you also negotiate, because missing it closes the court door later. From abroad, send everything by tracked means, keep proof of dispatch and receipt, and diary both deadlines, one month to pay and two months for the internal appeal, from the notification date shown on the letter, not from the day you happened to read it.<\/p>\n<h3>B. The contrainte and the 15-day opposition that freezes everything before the right court<\/h3>\n<p>If the formal warning stays unpaid after one month, the fund&#8217;s director may issue a collection order (contrainte). Do not underestimate this document: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054335368\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000054335368\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L. 244-9 of the Social Security Code<\/a> provides that &#8220;La contrainte d\u00e9cern\u00e9e par le directeur d&#8217;un organisme de s\u00e9curit\u00e9 sociale pour le recouvrement des cotisations et majorations de retard comporte, \u00e0 d\u00e9faut d&#8217;opposition du d\u00e9biteur devant le tribunal judiciaire sp\u00e9cialement d\u00e9sign\u00e9 en application de l&#8217;article L. 211-16 du code de l&#8217;organisation judiciaire, dans les d\u00e9lais et selon des conditions fix\u00e9s par d\u00e9cret, tous les effets d&#8217;un jugement et conf\u00e8re notamment le b\u00e9n\u00e9fice de l&#8217;hypoth\u00e8que judiciaire.&#8221; Without a challenge, the order becomes equivalent to a court judgment and can carry a judicial mortgage over your French assets. It is served by a bailiff (commissaire de justice, formerly huissier de justice) or notified by registered letter with acknowledgment of receipt, and the competent court is the specially designated judicial court (tribunal judiciaire, the ordinary civil court that now handles social-security disputes through dedicated divisions), identified by <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048700782\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048700782\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L. 211-16 of the Code of Judicial Organisation<\/a>. For debtors living abroad, the case goes to the court of the collecting body&#8217;s district, so a founder in Singapore whose company is audited by the Paris fund litigates in Paris, in French, which is one more reason to appoint French counsel early.<\/p>\n<p>The remedy is the opposition (opposition \u00e0 contrainte), and its deadline is brutally short. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000046176941\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000046176941\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 133-3 of the Social Security Code<\/a> states: &#8220;Le d\u00e9biteur peut former opposition par inscription au secr\u00e9tariat du tribunal comp\u00e9tent dans le ressort duquel il est domicili\u00e9 ou pour les d\u00e9biteurs domicili\u00e9s \u00e0 l&#8217;\u00e9tranger, au secr\u00e9tariat du tribunal comp\u00e9tent dans le ressort de l&#8217;organisme cr\u00e9ancier par lettre recommand\u00e9e avec demande d&#8217;avis de r\u00e9ception adress\u00e9e au secr\u00e9tariat dudit tribunal dans les quinze jours \u00e0 compter de la notification ou de la signification.&#8221; Fifteen days from service, by registered letter to the court clerk, for anyone domiciled abroad. And: &#8220;L&#8217;opposition doit \u00eatre motiv\u00e9e ; une copie de la contrainte contest\u00e9e doit lui \u00eatre jointe.&#8221; A bare letter saying I object, without reasons and without a copy of the order, fails the test. Your opposition should therefore state every ground at once: nullity of the warning for lack of precise reasons, nullity of the service for missing mandatory mentions, limitation, wrong contribution base, amounts already paid, and any internal appeal pending. You can refine arguments later in the proceedings, but an unmotivated filing risks being thrown out at the threshold.<\/p>\n<p>Here the case law gives foreign employers two powerful shields, both forged in disputes where URSSAF&#8217;s paperwork was sloppy. First, the service of the order must itself state the appeal route completely, otherwise the 15-day clock never starts. The Court of Cassation holds that &#8220;l&#8217;absence d&#8217;indication ou l&#8217;indication incompl\u00e8te ou erron\u00e9e dans l&#8217;acte de signification d&#8217;une contrainte d\u00e9cern\u00e9e par le directeur de l&#8217;organisme de recouvrement par acte d&#8217;huissier de justice ou par lettre recommand\u00e9e avec demande d&#8217;avis de r\u00e9ception, du d\u00e9lai dans lequel l&#8217;opposition doit \u00eatre form\u00e9e, de l&#8217;adresse du tribunal comp\u00e9tent ou des formes requises pour sa saisine, a pour effet de ne pas faire courir le d\u00e9lai de recours&#8221; (<a href=\"https:\/\/www.courdecassation.fr\/decision\/5fca8c271852847e77ac6782\">Cass. 2nd civil chamber, 21 June 2018, no. 17-16.441<\/a>). In that case the bailiff&#8217;s writ omitted the address of the competent court, the appeal judges declared the opposition late anyway, and the higher court quashed their ruling: no address in the service deed means no running deadline, even if the order itself mentions the court somewhere. Second, the service must warn that the opposition has to be reasoned on pain of inadmissibility. The Court states that &#8220;l&#8217;acte d&#8217;huissier de justice par lequel la contrainte est signifi\u00e9e au d\u00e9biteur mentionne, notamment, que l&#8217;opposition doit \u00eatre motiv\u00e9e \u00e0 peine d&#8217;irrecevabilit\u00e9&#8221; (<a href=\"https:\/\/www.courdecassation.fr\/decision\/679b207eb4b66853bd28e730\">Cass. 2nd civil chamber, 30 January 2025, no. 22-17.211<\/a>), and it quashed a ruling that had thrown out an unmotivated opposition where the service deed only said the opposition must be reasoned without adding the fatal words. The lesson is practical and immediate: when the bailiff&#8217;s papers arrive, photograph and preserve the service deed itself, not just the order, and check line by line whether it states the 15-day period, the court&#8217;s address, the method of referral, and the reasoned-on-pain-of-inadmissibility warning. Every missing mention is a live defence.<\/p>\n<p>Once a valid opposition is filed, the fund cannot simply seize your accounts under the order; the court examines the whole debt, and its judgment on the opposition is provisionally enforceable. Expect the timetable of a Paris social-security division to run many months, which is precisely why the opposition matters: it converts an imminent seizure into a supervised court case where the warning&#8217;s nullity, the calculation errors and the payments already made are all debated. Ask the court to order URSSAF to produce the full audit file, the observations letter, your reply and the inspector&#8217;s detailed response, because gaps in that chain often decide the case. And keep paying current contributions on time throughout the dispute. Courts distinguish firmly between the contested past and the undisputed present, and fresh arrears destroy your credibility and hand the fund new enforcement titles while you fight the old one.<\/p>\n<h2>Conclusion<\/h2>\n<p>A URSSAF demand is a four-step staircase, and each step has its own lock. The audit notice opens a 30-day dialogue that you can extend to 60 days and that forces the inspector to answer every detailed point you raise. The observations letter must justify each head of reassessment, and the inspector&#8217;s reply to your comments cannot invent new ones.
