Many missed-instalment cases are born in that gap between the accountant clicking file and the bank executing the transfer, especially when instructions travel across time zones and the signatory is abroad.<\/p>\n<p>Each instalment normally equals one quarter of the tax computed on the last known results, with a regularisation mechanism when a new financial year closes between two due dates. The Marseille court describes it precisely: the results used as the base are those of the previous year, and an instalment falling between the closing date and the filing deadline is computed provisionally on the older known results, then adjusted at the next payment. For a foreign shareholder this means the March instalment of year N very often rests on year N-2 figures and is corrected in June once year N-1 is declared. Underpaying March because the company looked dormant, then forgetting the June catch-up, is the single most common path to the penalties examined in Part II.<\/p>\n<h3>B. The Year-End Balance: Tax Return, Payment Slip, and Possible Refund Within Thirty Days<\/h3>\n<p>Once the financial year closes, the company declares its profit and settles the difference between the tax finally due and the four instalments already paid. A foreign founder facing both a missed instalment and a late annual declaration therefore faces two stacks of charges running on different legal bases, 5% plus monthly interest on the payment side and 10% rising to 40% on the filing side, which is why the fix must cover payment and filing together, as Part II explains.<\/p>\n<h2>II. What a Missed Instalment Costs and How a Foreign Founder Fixes It<\/h2>\n<h3>A. The 5% Surcharge and the Monthly Interest: Two Appeal Rulings Every Foreign Founder Should Read<\/h3>\n<p>Late payment of corporate tax triggers two charges at once: a flat surcharge and interest running month by month. Corporate tax falls into that residual category, so any late instalment draws the 5% increase on the amount paid late. On top of it runs late interest on every tax debt not paid by the legal deadline: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051213330\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051213330\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;Toute cr\u00e9ance de nature fiscale, dont l&#8217;\u00e9tablissement ou le recouvrement incombe aux administrations fiscales, qui n&#8217;a pas \u00e9t\u00e9 acquitt\u00e9e dans le d\u00e9lai l\u00e9gal donne lieu au versement d&#8217;un int\u00e9r\u00eat de retard.&#8221;<\/a> The rate is statutory and identical for every taxpayer: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051213330\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051213330\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;Le taux de l&#8217;int\u00e9r\u00eat de retard est de 0,20 % par mois.&#8221;<\/a> The clock starts <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051213330\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051213330\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;\u00e0 compter du premier jour du mois suivant celui au cours duquel l&#8217;imp\u00f4t devait \u00eatre acquitt\u00e9 jusqu&#8217;au dernier jour du mois du paiement&#8221;<\/a>, so a March instalment paid in May accrues interest from 1 April to 31 May, plus the 5% surcharge on the late amount.<\/p>\n<p>The first ruling to read is that of the administrative appeal court (<em>cour administrative d&#8217;appel<\/em>, CAA) of Marseille of 21 December 2018, number 18MA00667, concerning a company taxed at over one million euros for 2011 that had paid its four instalments in full by year end but short-paid the first two. The court reconstructed the arithmetic quarter by quarter and concluded: <a href=\"https:\/\/www.legifrance.gouv.fr\/ceta\/id\/CETATEXT000037996049\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/ceta\/id\/CETATEXT000037996049\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;c&#8217;est \u00e0 bon droit que l&#8217;administration fiscale a appliqu\u00e9 la majoration de 5 % pr\u00e9vue \u00e0 l&#8217;article 1731 du code g\u00e9n\u00e9ral des imp\u00f4ts et des int\u00e9r\u00eats de retard pr\u00e9vus \u00e0 l&#8217;article 1727 du m\u00eame code, au regard de l&#8217;insuffisance de deux premiers acomptes exigibles les 15 mars et 15 juin 2011.&#8221;<\/a> Paying everything by December did not erase the March and June shortfalls, the modulation defence failed because the company had not actually covered the full year&#8217;s liability when it skipped ahead, and the operative part is blunt: <a href=\"https:\/\/www.legifrance.gouv.fr\/ceta\/id\/CETATEXT000037996049\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/ceta\/id\/CETATEXT000037996049\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;La requ\u00eate de la SARL Promocom est rejet\u00e9e.&#8221;<\/a> For a foreign founder, the lesson is direct: each instalment deadline is judged on its own, catching up later stops the interest clock but never cancels the 5% already incurred, and invoking the stop-paying option only works when the instalments already made truly cover the whole year&#8217;s bill before credits.<\/p>\n<p>The second ruling is even more recent and destroys the most tempting excuse. On 7 January 2026 the Paris appeal court, number 24PA05225, decided the case of a well-known sports company reassessed for about 563,000 euros of corporate tax plus some 60,000 euros of late interest, which argued that its unused sponsorship reduction and competitiveness tax credit, larger than the reassessment, meant the Treasury had suffered no harm.
