It is making the notice, the signed statutes, the capital evidence, the registered-office file, the director\u2019s identity documents and the electronic filing tell exactly the same story. A mismatch in the company name, legal form, share capital, corporate purpose, address or representative can produce a request for correction at the moment when a commercial launch is already being planned. The notice is normally published after the other constitution steps have been completed and before the application is submitted through France\u2019s one-stop formalities portal. This guide explains what a foreign founder or overseas corporate shareholder must prepare, what the French terms mean, how the publication certificate fits into the registration file, and how to react when the notice or filing is wrong. It focuses on incorporating and operating a French company. Immigration questions belong to a different legal desk, property acquisitions are outside its scope, and French-language company-law content is addressed separately.<\/p>\n<h2>I. What must a foreign founder publish before filing?<\/h2>\n<h3>A. When does a French company legal notice have to be published?<\/h3>\n<p>The French expression <em>annonce l\u00e9gale<\/em> means a legal notice published in an authorised outlet. Its function is to make a prescribed corporate event publicly knowable. For a new commercial company, the notice records the constitution of the entity and gives third parties a first set of identifying information. It does not itself create the company. The decisive legal event is registration.<\/p>\n<p>The starting point is <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006222358\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006222358\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 210-6 of the French Commercial Code<\/a>, which states: <span lang=\"fr\">\u201cLes soci\u00e9t\u00e9s commerciales jouissent de la personnalit\u00e9 morale \u00e0 dater de leur immatriculation au registre du commerce et des soci\u00e9t\u00e9s.\u201d<\/span> In English, a commercial company acquires legal personality on registration with the <em>Registre du commerce et des soci\u00e9t\u00e9s<\/em>, or RCS, the Trade and Companies Register. That rule matters to a foreign founder who is negotiating a contract, opening a bank relationship or employing someone before the French entity exists as a legal person: the publication of a notice cannot be used as proof that the company is already registered.<\/p>\n<p>For the ordinary incorporation route, the notice follows the constitution work and precedes the filing handoff. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041564093\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041564093\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 210-3 of the French Commercial Code<\/a> provides: <span lang=\"fr\">\u201cLorsque les autres formalit\u00e9s de constitution de la soci\u00e9t\u00e9 ont \u00e9t\u00e9 accomplies, un avis est ins\u00e9r\u00e9 dans un support habilit\u00e9 \u00e0 recevoir les annonces l\u00e9gales dans le d\u00e9partement du si\u00e8ge social.\u201d<\/span> The key sequence is therefore practical:<\/p>\n<ol>\n<li>select the French legal form and finalise the corporate purpose;<\/li>\n<li>approve the company name, registered office, capital and management arrangements;<\/li>\n<li>sign the statutes and complete the capital-deposit step where the chosen form requires it;<\/li>\n<li>prepare the beneficial-owner and director information;<\/li>\n<li>publish the legal notice through an authorised support in the department of the registered office;<\/li>\n<li>obtain the publication certificate and attach it to the electronic incorporation file.<\/li>\n<\/ol>\n<p>This order is more reliable than publishing an early draft. A foreign founder may be working from a group chart, an English board resolution or a document prepared by an overseas adviser. None of those documents removes the need for a final French notice that matches the French statutes. The notice should be prepared from the version of the statutes that will actually be filed, not from a preliminary term sheet or a translation that has not been checked against the signed French instrument.<\/p>\n<p>The outlet must also be selected correctly. A foreign newspaper, a corporate website, a social-media post or an international press-release service is not automatically a French authorised legal-announcement outlet. The relevant category is a <em>support habilit\u00e9 \u00e0 recevoir les annonces l\u00e9gales<\/em>, abbreviated SHAL: an authorised medium for receiving legal announcements. The outlet may be a <em>journal d\u2019annonces l\u00e9gales<\/em>, or JAL, meaning a legal-announcement newspaper, or an authorised online press service, often described as a SPEL, meaning <em>service de presse en ligne<\/em>. The territorial point is the department of the French registered office. An outlet in another department may be commercially visible and still be the wrong publication channel for the constitution file.<\/p>\n<p>The official Service Public guidance on publishing a company-constitution notice confirms the operational sequence: the notice is generally published after the statutes have been signed and before the registration application, with the certificate then used in the formalities file. Its current practical guidance is available through <a href=\"https:\/\/entreprendre.service-public.gouv.fr\/vosdroits\/F35957?quest0=4\">the official Service Public page on a company constitution legal notice<\/a>. A foreign founder should check the current outlet and filing requirements on the official portal because tariffs, electronic forms and supporting-document instructions can change. The legal principle is stable, but the administrative interface is not a substitute for checking the current file.<\/p>\n<p>There is no universal promise that a notice will produce a Kbis within a particular number of hours. <em>Kbis<\/em> is the official extract proving a company\u2019s registration in the RCS. The practical timeline has several separate clocks: the time needed to finalise and sign the statutes, the outlet\u2019s publication and certificate delivery time, the preparation of the one-stop filing, the review of foreign documents and the processing time of the relevant registry office, known in French as the <em>greffe<\/em>. If one document is incomplete, the shortest publication timeline does not shorten the registry review.<\/p>\n<p>A foreign founder should therefore distinguish three dates in the internal project file: the date the statutes were signed, the date the notice was published and the date the company was registered. Those dates can be close, but they are not interchangeable. The notice may be evidence that a constitution step was completed. The Kbis, once issued, is evidence of RCS registration. The company\u2019s legal personality begins at the latter event under Article L. 210-6.<\/p>\n<p>Pre-registration acts create a second timing issue. A founder may have to reserve premises, order professional services, negotiate software or instruct an accountant before registration. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444136\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444136\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 1843 of the French Civil Code<\/a> states: <span lang=\"fr\">\u201cLa soci\u00e9t\u00e9 r\u00e9guli\u00e8rement immatricul\u00e9e peut reprendre les engagements souscrits, qui sont alors r\u00e9put\u00e9s avoir \u00e9t\u00e9 d\u00e8s l&#8217;origine contract\u00e9s par celle-ci.\u201d<\/span> The phrase means that a company, once properly registered, can take over commitments made during its formation period, with those commitments treated as having been contracted by the company from the beginning. The takeover must follow the applicable mechanism; it does not happen merely because a founder later sends an email saying that the company should replace them.<\/p>\n<p>The Commercial Code applies the same risk in a commercial setting: people who act for a company in formation can remain personally and jointly liable unless the properly constituted and registered company takes over the commitments. The consequence for a foreign founder is simple: a pre-registration contract should identify the company as \u201ccompany in formation\u201d in a legally coherent way, specify who signs and why, and be included in an act schedule or covered by a sufficiently precise mandate where that route is used. The notice is part of the incorporation sequence, but it is not the mechanism that transfers every pre-registration liability.<\/p>\n<p>The Court of Cassation has made the drafting risk concrete. In <a href=\"https:\/\/www.courdecassation.fr\/decision\/6566e2bb18106f8318ba9e7a\">Cass. com., 29 November 2023, no. 22-18.295<\/a>, the verified decision states: <span lang=\"fr\">\u201cCette solution a pour cons\u00e9quence que l&#8217;acte non express\u00e9ment souscrit \u00ab au nom \u00bb ou \u00ab pour le compte \u00bb d&#8217;une soci\u00e9t\u00e9 en formation est nul\u201d<\/span>. The point is not that every pre-registration transaction is impossible. It is that the document must clearly show the intended capacity in which the person signed. A legal notice cannot repair an ambiguous contract after the fact.<\/p>\n<p>For a French SAS, or <em>soci\u00e9t\u00e9 par actions simplifi\u00e9e<\/em> (simplified joint-stock company), the founder should coordinate the notice with the appointment of the president and any rules governing who may bind the company. For a SARL, or <em>soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e<\/em> (limited liability company), the manager and the partners\u2019 information must be checked with particular care. An SASU is a one-member SAS; an EURL is a one-member SARL. A branch of an overseas company is a different legal and filing route, so a domestic-company notice template should not be copied without checking the branch-specific requirements.<\/p>\n<p>Before pressing \u201cpublish\u201d, the responsible person should have one controlled pack containing the final statutes, the capital evidence, the registered-office document, the management appointment, the foreign shareholder\u2019s corporate extract if relevant, the beneficial-owner data and the notice draft. Each item should carry the same spelling, address format and legal-form description. That pack becomes the reference for both the publication and the Guichet unique filing.<\/p>\n<h3>B. Which founder, company and pre-registration details must be aligned?<\/h3>\n<p>The legal notice is short, but it is information-dense. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006260043\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006260043\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 210-4 of the French Commercial Code<\/a> begins with the rule that <span lang=\"fr\">\u201cL&#8217;avis mentionn\u00e9 \u00e0 l&#8217;article R. 210-3 contient les indications suivantes :\u201d<\/span> It then identifies the core fields: the corporate name and, where applicable, its acronym; the legal form; the share capital; the registered office; a summary of the corporate purpose; the company\u2019s duration; the names, usual first names and homes of partners with unlimited liability; the managers or directors; the persons with authority to bind the company; and the registry office where the company will be registered.<\/p>\n<p>The list is not a suggestion to improvise. It is a control map. A founder should compare each field in the notice with the signed statutes and the filing form. The purpose is described summarily in the notice, but \u201csummary\u201d does not mean vague or inconsistent. If the statutes describe consulting, software development and the sale of connected equipment, the notice should not reduce the activity to an unrelated phrase that could trigger questions about the company\u2019s real business or a regulated activity.<\/p>\n<p>Start with the company name. The name used in the notice should be the name adopted in the statutes, including accents, punctuation and the chosen acronym. A foreign group may use a trading name in English and a legal name in another language. The French subsidiary\u2019s legal name should be identified separately from the parent\u2019s brand. If the shareholder is a foreign company, its registered name, legal form and registered-office information should come from a current official corporate document. A translated brand description is not a replacement for the parent\u2019s legal identity.<\/p>\n<p>Next check the legal form and capital. \u201cSAS\u201d, \u201cSASU\u201d, \u201cSARL\u201d and \u201cEURL\u201d are not interchangeable labels. The choice affects management wording, the people named in the notice and the accompanying statutes. The capital amount must match the statutes and the capital-deposit certificate or equivalent evidence. If the capital is variable, the notice must reflect the relevant variable-capital information. A currency conversion made in a foreign spreadsheet should not silently alter the euro amount recorded in the French corporate documents.<\/p>\n<p>The registered office is a frequent source of avoidable conflict. The address in the notice must be the same address that is supported by the domiciliation agreement, lease, office-provider certificate or other accepted evidence. The municipality and department matter because they determine the territorial publication channel and the registry office. A virtual-office provider\u2019s commercial address, the group\u2019s foreign head-office address and the French company\u2019s legal seat must not be mixed together. If the company has several operational sites, the notice still needs the registered office that the statutes identify.<\/p>\n<p>The corporate purpose should be broad enough to describe the intended business and precise enough to be meaningful. A foreign founder should flag regulated activities, financial services, transport, health, security, construction and other sectors where a separate authorisation or professional condition may arise. The notice itself does not grant an authorisation. It also does not cure a filing that fails to provide the evidence required for a regulated activity. When a business model combines a regulated and an unregulated service, the final purpose and the filing documents should be reviewed together.<\/p>\n<p>The duration is usually stated in the statutes and reproduced in the notice. The normal long duration does not allow the field to be omitted if the applicable template requires it. The same applies to partners who are personally liable without limit in forms where that category exists. A founder accustomed to limited liability throughout a foreign group should not assume that every French form has identical disclosure language.<\/p>\n<p>Management details deserve a separate check. The notice should state the person or persons appointed under the chosen form and the capacity in which they act: president, manager or another legally relevant office. Use the person\u2019s official identity consistently. Compare the spelling on the passport or accepted identity document, the statutes, the appointment decision, the beneficial-owner declaration and the electronic form. A middle name omitted in one document can create a practical question even when the person is clearly identifiable to a human reader.<\/p>\n<p>For a foreign director, the file may contain a foreign address, a foreign identity document and evidence relating to eligibility or non-conviction, depending on the form and the current formalities requirements. The notice should contain what the applicable template requires, but it should not expose unnecessary passport numbers or private data. The right approach is not to publish every document detail. It is to provide the legally required identifying information and keep the supporting file ready for the registry.<\/p>\n<p>Authority to bind the company is especially important for a foreign-owned SAS. The statutes may provide for a president and one or more other officers, but third-party signing authority must be understood from the company\u2019s registered rules. If the notice states one representative while the appointment decision or filing names another, the inconsistency can delay the file or create a contract-risk question. A group power of attorney signed abroad does not automatically replace the French company\u2019s own appointment and delegation documents.<\/p>\n<p>Additional share-company clauses may need attention. The statutory framework includes information about conditions for admission to meetings and voting rights, approval provisions and, for variable-capital companies, the lower limit of capital. These are easy to miss when a foreign adviser uses a simplified sample notice. The correct content depends on the company form and the final statutes. The safe drafting method is to use the authorised outlet\u2019s form or checklist, then compare it with the legally required fields rather than deleting clauses because they are unfamiliar.<\/p>\n<p>Translation is a controlled issue, not a slogan. A foreign corporate extract, board resolution or power of attorney may need a French translation accepted by the relevant authority. Some documents may also require an apostille or legalisation, while others may be accepted through an applicable European or international mechanism. The requirement depends on the document, its country of origin, the competent authority and the purpose for which it is filed. A founder should verify the current instruction for the specific filing instead of applying a blanket rule that every document must be apostilled or that none must be translated.<\/p>\n<p>The notice\u2019s publication certificate is also a controlled document. It should show the final text or enough information to identify the published notice, the company and the publication date. Save the certificate, invoice and a PDF or stable copy of the notice in the incorporation file. If the outlet sends an email link that may expire, download the record while it is available. Keep the exact version used in the filing because a later correction can otherwise make it difficult to prove which wording was submitted.<\/p>\n<p>The outlet\u2019s proof is not a substitute for a registry extract. It proves publication of the notice; it does not prove that the registry accepted the incorporation. Conversely, the future Kbis does not prove that every sentence of an earlier notice was correctly drafted. Treat the notice, the certificate and the registration extract as three separate pieces of evidence with different purposes.<\/p>\n<p>A useful founder-side review can be organised as a short table, even if the final filing is electronic:<\/p>\n<ul>\n<li><strong>Identity:<\/strong> legal name, acronym, legal form and the identity of each named officer match the final statutes.<\/li>\n<li><strong>Money:<\/strong> capital, variable-capital wording and capital evidence match one another.<\/li>\n<li><strong>Place:<\/strong> registered office, municipality, department and registry office match the accepted address evidence.<\/li>\n<li><strong>Business:<\/strong> the summary purpose matches the statutes and identifies any regulated-activity issue for separate treatment.<\/li>\n<li><strong>Authority:<\/strong> the president, manager, directors and signing powers match the appointment and delegation documents.<\/li>\n<li><strong>Evidence:<\/strong> the publication certificate is saved and ready to attach to the one-stop filing.<\/li>\n<\/ul>\n<p>This six-line check is particularly valuable when an overseas parent supplies documents in several languages or when different advisers prepare the notice and the incorporation filing. It does not replace legal review of the statutes. It reduces the risk that an administrative mismatch is introduced at the last step.<\/p>\n<h2>II. How does the notice connect to registration and correction?<\/h2>\n<h3>A. How do you use the publication certificate in the INPI filing?<\/h3>\n<p>French company creation is now handled through a single electronic formalities route. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 123-33 of the French Commercial Code<\/a> states: <span lang=\"fr\">\u201cCe dossier est d\u00e9pos\u00e9 par voie \u00e9lectronique aupr\u00e8s d&#8217;un organisme unique d\u00e9sign\u00e9 \u00e0 cet effet.\u201d<\/span> The <em>Guichet unique<\/em> is that one-stop filing mechanism. The portal is operated within the national formalities system associated with the <em>Institut national de la propri\u00e9t\u00e9 industrielle<\/em>, or INPI, the French National Institute of Industrial Property. The practical entry point is the official <a href=\"https:\/\/formalites.entreprises.gouv.fr\/\">French business-formalities portal<\/a>.<\/p>\n<p>The single electronic dossier does not mean that the founder sends one document and the rest is inferred. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292222\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292222\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 123-1 of the French Commercial Code<\/a> explains that the one-stop body \u201creceives the single dossier\u201d and enables businesses to complete the procedures necessary to access and exercise their activity. The foreign founder still has to prepare a coherent package: signed statutes, capital evidence, registered-office evidence, officer appointments, identity and eligibility documents, beneficial-owner information, the legal-notice certificate and any foreign corporate documents or accepted translations required for the shareholder structure.<\/p>\n<p>For a company owned by an overseas corporation, the file may also need evidence of the parent\u2019s existence, authority for the person signing on its behalf and a clear description of the shareholding chain. The notice does not carry the whole beneficial-ownership analysis. A beneficial owner is the natural person who ultimately owns or controls the company under the applicable rules. The declaration is a separate filing component and should be consistent with the statutes, the shareholder register and the group chart. A parent company\u2019s name in the notice cannot be used to conceal or replace the natural-person information required elsewhere in the file.<\/p>\n<p>Assemble the filing in the order a reviewer will need it. First establish which French entity is being created: subsidiary, SAS, SASU, SARL or EURL. Then confirm who has authority to sign the statutes and the filing. Next match the registered office and the notice. Finally, upload the supporting evidence in the format and size accepted by the current portal. A scanned document can be perfectly legible to a person and still fail an upload requirement because it is incomplete, rotated, password-protected or missing a page. The foreign founder should keep an uncompressed source copy and a filing-ready copy.<\/p>\n<p>The notice certificate should be attached where the portal requests evidence of the publication. Do not attach only the invoice if the outlet issued a separate certificate. Do not assume that a URL to the notice will remain sufficient if the portal expects a file. Record the publication date and ensure that the company\u2019s final legal name and registered office in the certificate match the other documents. When the outlet reports a typographical correction, save both the original and the rectified proof and identify which document was used for the submission.<\/p>\n<p>The registration result generates several French identifiers and records that foreign founders often confuse. The <em>Registre national des entreprises<\/em>, or RNE, is the National Register of Enterprises. It is the national register of business entities and activities. The RCS is the commercial register for companies and commercial registrations. The <em>SIREN<\/em> is the nine-digit identifier for a French legal unit; the <em>SIRET<\/em> identifies a particular establishment and combines the SIREN with an establishment number. The Kbis is the official commercial-register extract for a company. These labels refer to related but different records.<\/p>\n<p>The <em>greffe<\/em> is the registry office attached to the competent commercial court. It reviews the company-registration data and issues or makes available the relevant registration evidence after the formalities have been accepted. A foreign founder should not call the publication certificate a Kbis, and should not call a SIREN number a complete registration extract. Banks, customers and platforms may ask for different documents, so provide the document that actually proves the requested fact.<\/p>\n<p>There is also the <em>Bulletin officiel des annonces civiles et commerciales<\/em>, or BODACC, the Official Bulletin of Civil and Commercial Announcements. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000020055516\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000020055516\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 123-155 of the French Commercial Code<\/a> provides: <span lang=\"fr\">\u201cToute immatriculation donne lieu \u00e0 l&#8217;insertion d&#8217;un avis au Bulletin officiel des annonces civiles et commerciales.\u201d<\/span> The BODACC publication is linked to registration and is not the incorporation notice that the founder purchases from the authorised legal-announcement outlet. It is another public record in the chain. The provision contains specific exceptions, including certain one-member companies managed or presided over personally by a natural-person sole member; a foreign corporate shareholder should not assume that an exception applies to its structure.<\/p>\n<p>The publication notice and BODACC entry can therefore be represented as two different points in the process:<\/p>\n<ul>\n<li>the legal notice is prepared and published before the incorporation file is submitted;<\/li>\n<li>the electronic filing is reviewed through the one-stop process;<\/li>\n<li>RCS registration gives the commercial company legal personality;<\/li>\n<li>the Kbis records the registration, while the BODACC publishes the official registration announcement where required.<\/li>\n<\/ul>\n<p>This distinction has immediate commercial value. A supplier asking whether the French entity exists may need the Kbis or registration data, not the notice certificate. A filing agent asking whether the publication step has been completed may need the certificate, not a draft Kbis. A bank\u2019s compliance team may ask for the Kbis, the statutes, the beneficial-owner declaration and identity evidence together. Giving the wrong document can make a completed step appear incomplete.<\/p>\n<p>The notice can also interact with the treatment of acts done during formation.
