The problem is common in a foreign holding chain: a French subsidiary is owned by a parent, the parent has several investors, voting rights differ from capital and no individual appears to cross the 25% threshold. The answer is not to enter the foreign parent as a person or to name the French president without analysis. The file must show how ownership and control were tested and which evidence supports each answer.<\/p>\n<p>In France, the beneficial owner is the natural person who ultimately owns or controls the company. The declaration is submitted through the <em>Guichet unique<\/em>, the one-stop portal for business formalities, and feeds the <em>Registre national des entreprises<\/em> (RNE, the National Register of Enterprises) and the <em>Registre du commerce et des soci\u00e9t\u00e9s<\/em> (RCS, the Commercial and Companies Register). The <em>Institut national de la propri\u00e9t\u00e9 industrielle<\/em> (INPI, the French National Institute of Industrial Property) operates the relevant formalities channel. This article focuses on a French subsidiary or operating company owned through foreign entities, not on an individual\u2019s move to France or a property acquisition.<\/p>\n<p>A defective filing can delay a Kbis, the official extract proving registration in the RCS, trigger a bank compliance question or lead to a formal notice from the commercial court registry. This guide tests ownership, other forms of control, the fallback for dispersed ownership and the route for correction or escalation. How do you identify the beneficial owner of a French company in a foreign holding chain?<\/h2>\n<h3>A. What does the 25% test mean for direct and indirect ownership?<\/h3>\n<p>The starting point is the legal concept, not the label used by a foreign registry. A beneficial owner is a natural person. A limited company, foundation, trust company or foreign parent may sit in the ownership chain, but that legal entity is not itself the final person to be reported as the beneficial owner of the French company. The analysis must pass through each entity until it reaches the individuals who own or control the structure, or until the law\u2019s fallback rule becomes applicable.<\/p>\n<p><a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000033517537\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000033517537\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 561-2-2 of the French Monetary and Financial Code<\/a> provides the statutory framework for the person who ultimately owns or controls the customer. For a company, <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036824564\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036824564\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 561-1<\/a> gives the operational test: a natural person is identified when he or she holds, directly or indirectly, <q lang=\"fr\">plus de 25 % du capital ou des droits de vote<\/q>, or exercises control by another means. \u201cMore than 25%\u201d is not the same as 25%. An individual who holds exactly 25% does not pass this ownership limb merely because the figure is close; another control route must be examined.<\/p>\n<p>Direct ownership is usually straightforward. If an individual owns 30% of the shares in the French company, that person must be examined as a beneficial owner. The same applies if the individual holds more than 25% of voting rights through a class of shares, a voting-right agreement or another arrangement recognised in the company\u2019s documents. Capital and voting rights should be recorded in separate columns. A cap table that shows 20% of capital cannot answer a question about 35% of voting rights, and a voting table cannot by itself establish the percentage of capital.<\/p>\n<p>Indirect ownership requires a chain analysis. Suppose Northbridge Ltd owns 80% of a French soci\u00e9t\u00e9 par actions simplifi\u00e9e (SAS, a simplified joint-stock company), and A owns 40% of Northbridge Ltd. A\u2019s economic route through the chain may correspond to 32% of the French company if the rights pass proportionately and no other instrument changes the result. If A owns 30% of Northbridge, the simple multiplication produces 24%, but that number does not end the analysis: A may still control Northbridge through voting arrangements or appointment rights and therefore control the French company through another means. Conversely, one must not inflate every upstream percentage into a French voting percentage without checking the intermediate rights.<\/p>\n<p>Where several paths lead to the French company, document them separately. An individual may own shares personally, hold an interest through a family company and possess voting rights under a shareholders\u2019 agreement. The file should state whether the routes are aggregated, whether the instruments create concerted action and whether the person has a right to appoint or remove the people who manage the French company. The objective is an auditable explanation, not a calculation designed to reach a preferred name.<\/p>\n<p>The control limb is broader than ownership. The cross-reference in Article R. 561-1 points to the control situations described by <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/section_lc\/LEGITEXT000005634379\/LEGISCTA000006146053\/2026-02-21\/\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/section_lc\/LEGITEXT000005634379\/LEGISCTA000006146053\/2026-02-21\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 233-3 of the French Commercial Code<\/a>. That provision addresses, among other situations, a majority of voting rights, a voting agreement giving one person the majority, the ability to determine decisions in practice and the power to appoint or remove a majority of the management, direction or supervisory body. A minority investor may therefore be reportable where a contractual right gives that investor decisive control.<\/p>\n<p>For example, a United States fund may own 18% of the French company but have the sole right to nominate four of seven directors. Another investor may own 35% of capital but have no right to nominate directors and be dispersed among a large shareholder base. The documents may point to the fund as the controlling person, the 35% investor as a person passing the ownership test, both, or neither if the rights are held by legal entities and no individual is identifiable without further analysis. The answer depends on the actual instruments and the individuals behind the entities.<\/p>\n<p>Read the articles of association together with the shareholders\u2019 agreement. Review preferred shares, double voting rights, non-voting shares, usufruct, pledges, options, veto provisions, reserved matters, board appointment clauses, proxy arrangements and any agreement to act together. A foreign corporate extract may confirm who is registered as a director, but it may not show who has a contractual veto over the French company. A group chart may show a percentage, but it may not show who can decide a general meeting or replace the management body.<\/p>\n<p>The declaration must also relate to the correct French entity. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051559441\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051559441\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 561-46 of the Monetary and Financial Code<\/a> requires the relevant companies and entities to declare beneficial-owner information to the RCS through the electronic formalities channel. The information includes the identification and personal address of the beneficial owner and the way in which that person controls the company. This is why the answer \u201cthe parent company owns us\u201d is incomplete: the declaration needs the natural person and the legal route by which that person ultimately owns or controls the French company.<\/p>\n<p>The information fields are detailed in <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964081\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964081\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 561-56<\/a>. For the company, the filing concerns its legal name, legal form, registered office and, when available, its unique identification number with the RCS reference and the town of the registry. For each natural person, the text covers the surname, usual name or pseudonym, first names, date and place of birth, nationality, personal address, the nature and extent of the control and the date on which that person became the beneficial owner. A foreign group should prepare those fields from current identity and corporate records instead of copying a director list from an old extract.<\/p>\n<p>The INPI describes the same logic in its guidance on <a href=\"https:\/\/www.inpi.fr\/ressources\/formalites-dentreprises\/beneficiaires-effectifs-dune-societe\">beneficial owners of a company<\/a>: a person may qualify through more than 25% of capital or voting rights, through another form of control or, if no person can be identified through those routes, as the legal representative. The INPI also warns that the total direct and indirect percentages entered for beneficial owners must remain coherent. Use the guidance to understand the portal fields, but use the Code to determine the legal conclusion.<\/p>\n<p>A foreign founder should build an ownership memorandum before opening the online form. The first page should identify the French company, the filing type, the effective date and the question to be answered. The next page should show every ownership layer with legal names, jurisdictions and registration numbers. A separate schedule should list the capital percentage and voting percentage at each level. A control schedule should identify appointment rights, veto rights, agreements and actual decision-making evidence. The final schedule should list every candidate natural person, the route by which he or she may qualify and the document that proves the route.<\/p>\n<p>Consider a chain with three entities. Alpine Holdings GmbH owns 60% of a French SAS. Alpine is owned 45% by B, 35% by C and 20% by a pension vehicle. B and C therefore do not automatically hold more than 25% of the French SAS through the simple chain: the figures are 27% and 21% respectively before examining voting and control rights. B may qualify because the shareholders\u2019 agreement gives B the right to appoint a majority of Alpine\u2019s management. C may not qualify through ownership, but may qualify if C controls the French company\u2019s board directly. The pension vehicle is not a natural person; its own control chain and governing documents must be reviewed.<\/p>\n<p>A second case is a dispersed shareholder base. Five individuals hold between 18% and 24% of the foreign parent, no one has a special voting right, no shareholder agreement gives decisive control and the board is elected proportionally. The correct question is not whether the company can find a person whose name will make the portal accept the form. The question is whether any person exercises control by another means. If the answer is genuinely no, the statutory fallback must be considered, with an explanation of the investigation made and the identity of the relevant legal representative.<\/p>\n<p>Do not confuse \u201cno individual owns more than 25%\u201d with \u201cthere is no beneficial owner\u201d. The first statement describes one failed threshold test. The second is a legal conclusion reached only after direct ownership, indirect ownership and other control rights have all been tested. The distinction matters to the bank as well as to the registry. A bank\u2019s anti-money-laundering review may ask for the same ownership chain, but it may apply its own customer <a href=\"https:\/\/kohenavocats.fr\/avocats-droit-affaires-paris\/avocat-due-diligence-juridique-paris\/\">due diligence<\/a> process and request documents beyond the RNE filing.<\/p>\n<h3>B. What changes when control is contractual, dispersed or held through a trust?<\/h3>\n<p>When no individual crosses 25% by capital or voting rights, move through the alternatives in an orderly way. First test control under Article L. 233-3: who can determine decisions, appoint or remove the majority of the management or use an agreement to obtain a majority? Second test contractual and practical arrangements that give one person decisive influence. Third examine special structures, including trusts, fiduciary arrangements and nominee holdings. Only after those steps should the legal-representative fallback be used.<\/p>\n<p>Control can be hidden in a document that does not use the word \u201ccontrol\u201d. A right to approve the annual budget, appoint the chief executive, nominate a majority of directors, block a change of business or direct a general meeting can be decisive when combined with the rest of the structure. A lender\u2019s ordinary protective covenant is not automatically a beneficial-owner right; a shareholder\u2019s power to dictate ordinary management may be. The file should distinguish a protection against default from a right to run the company.<\/p>\n<p>Acting in concert also needs attention. Two individuals may each hold 20%, but a signed agreement may allow them to determine decisions together. A board appointment right may be exercised by an investment committee rather than one person; the individuals who ultimately control that committee should be identified. If the committee has genuine independent decision-making rules and no individual controls it, the analysis may lead to the fallback. Do not turn a group label into a natural person without evidence.<\/p>\n<p>The fallback rule appears in Article R. 561-1. If no natural person can be identified through the ownership or control criteria, and the relevant regulated person has no suspicion of money laundering or terrorist financing concerning the customer, the beneficial owner is the legal representative or representatives specified by the text. The rule identifies different representatives depending on the legal form. For an SAS, it points to the president and, where applicable, the managing director. For a soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e (SARL, a private limited-liability company), it points to the manager or managers. If a representative named by the rule is itself a legal entity, the natural persons who legally represent that entity must be examined.<\/p>\n<p>This is a fallback, not a declaration of convenience. The company should retain a short written explanation showing the ownership percentages, the voting analysis, the control-right review, the persons considered and the reason none could be identified. The explanation need not be uploaded as an argumentative essay if the portal does not request it, but it should be available for the registry, bank, accountant or other obligated person that asks how the answer was reached.<\/p>\n<p>A trust or comparable foreign arrangement changes the questions. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036821239\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036821239\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 561-3-0 of the Monetary and Financial Code<\/a> applies where the customer acts through a French fiduciary arrangement or a comparable foreign legal arrangement. It includes people who have the status of settlor, trustee, beneficiary or protector; the official text describes one category as <q lang=\"fr\">Elle a la qualit\u00e9 de constituant, de fiduciaire, de b\u00e9n\u00e9ficiaire, de tiers protecteur<\/q>. It also addresses people holding or due to receive more than 25% of the relevant assets or rights, people in whose main interest the arrangement operates when beneficiaries are not yet designated, and people exercising control by other means.<\/p>\n<p>For a trust in a foreign holding chain, obtain the trust deed, amendments, letter of wishes when legally relevant, trustee or administrator details, beneficiary classes, protector powers and any distribution or appointment rights. Identify the individuals behind each role. A trustee\u2019s professional role does not automatically mean that the trustee is the person who benefits economically, but the role is legally relevant and should not be omitted. A beneficiary class that is not yet named may require a different description from a named beneficiary with a present entitlement.<\/p>\n<p>Nominee arrangements require the same discipline. The person listed as shareholder may hold the shares for another person, under a declaration of trust, mandate or nominee agreement. The registered holder does not end the investigation when evidence shows that another person gives instructions, receives the economic benefit or controls voting. At the same time, an allegation that someone is a nominee is not proof. Ask for the instrument, the source of funds, voting instructions and the rights actually exercised. The declaration should be based on evidence that can be produced to the registry or the bank.<\/p>\n<p>Foreign foundations, partnerships and investment vehicles can create a similar issue. A director may be a professional service provider with no independent ability to determine decisions. A general partner may control a limited partnership, while an investment committee or individual controls the general partner. Trace the rights until the chain reaches people or the evidence-based fallback. Record jurisdictional differences in terminology: a foreign \u201cdirector\u201d, \u201cmanager\u201d, \u201cmember\u201d or \u201cauthorized signatory\u201d may not perform the same legal function as a French president or manager.<\/p>\n<p>The filing date is part of the control analysis. A person may have become a beneficial owner when a share transfer completed, when a shareholders\u2019 agreement entered into force, when a board appointment occurred or when a trust amendment changed the rights. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964081\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964081\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 561-56<\/a> requires the date on which the person became the beneficial owner. A company that uses the date of incorporation for every person may create a documentary contradiction, especially where the foreign parent was reorganised later.<\/p>\n<p>Keep the RBE analysis separate from public-access questions. The <em>Registre des b\u00e9n\u00e9ficiaires effectifs<\/em> (RBE, the beneficial-owner register) contains personal data and control information. Current access rules distinguish the company, the declared person, authorities and people who meet the statutory conditions. The company still needs to provide accurate information to the relevant authorities even when some fields are not generally visible to the public. Privacy concerns do not justify entering a corporate entity instead of a natural person or omitting a required control route.<\/p>\n<p>Finally, do not force a trust analysis into an ordinary shareholding form without checking the portal\u2019s options and the authority\u2019s request. If the form cannot express the structure accurately, prepare the supporting explanation and request written guidance through the formalities channel. A portal limitation is evidence that more documentation is needed; it is not evidence that the legal representative can be substituted without analysis.<\/p>\n<h2>II. What should a foreign founder do when the INPI or bank rejects the filing?<\/h2>\n<h3>A. How should the RNE correction file be rebuilt and refiled?<\/h3>\n<p>Begin by identifying the procedural status. A filing pending regularisation remains open for a response to a stated irregularity. A rejected filing is closed and normally requires a new formalit\u00e9. An accepted company whose beneficial-owner information is wrong requires a modification or correction of the existing record. The INPI\u2019s guidance on <a href=\"https:\/\/www.inpi.fr\/faq\/56\">tracking and correcting a business formalit\u00e9<\/a> explains the difference between a request for regularisation and a rejection. Download the notice from the dashboard and preserve the filing reference, the status, the date of notification and the displayed deadline.<\/p>\n<p>Do not treat an email subject line as the whole decision. A French business formalit\u00e9 can pass through the Guichet unique while being reviewed by the competent commercial registry or another authority. Read the full reason, identify which field is challenged and separate substantive objections from technical upload problems. If the notice gives three reasons, produce three answers. A new identity document does not cure a missing ownership chain, and a new group chart does not cure an incorrect personal address.<\/p>\n<p>The filing route is electronic. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 123-33 of the Commercial Code<\/a> provides that the company submits one electronic file to the designated one-stop organisation and states that <q lang=\"fr\">Ce d\u00e9p\u00f4t vaut d\u00e9claration aupr\u00e8s du destinataire d\u00e8s lors que le dossier est r\u00e9gulier et complet<\/q>. \u201cRegular and complete\u201d is important. Uploading a document is not enough if it is unreadable, inconsistent with the form or insufficient to prove the answer requested.<\/p>\n<p>Build the correction file in four folders. Folder one is the French company: current articles of association, current share and voting table, any share register or equivalent, current registered-office evidence, the incorporation or modification receipt and the prior beneficial-owner filing. Folder two is the foreign chain: a recent official extract for every parent or intermediate entity, constitutional documents, shareholder registers where available and evidence of the signatory\u2019s authority. Folder three is control: shareholders\u2019 agreements, voting arrangements, appointment and removal rights, preferred-share terms, trust or nominee documents, board minutes and any instrument that changed the control position. Folder four is identity: passports or equivalent documents, full legal names, dates and places of birth, nationality and current personal addresses for each natural person reported or considered.<\/p>\n<p>Make an evidence index. Number every file, state the document date, identify its issuing authority and write one sentence explaining which field it proves. For example, \u201cDocument 7: foreign registry extract dated 15 July 2026; proves the legal existence and directors of Northbridge Ltd.\u201d \u201cDocument 11: shareholders\u2019 agreement clause 8; proves B\u2019s right to appoint four of seven directors.\u201d This index allows the registry to reconcile the form with the attachments and allows the bank to review the same chain without receiving a new, inconsistent explanation.<\/p>\n<p>Check names with unusual care. Foreign records may contain a transliteration, a middle name, a married name or a local order of surnames. Enter the person\u2019s name in the format requested by the French form and retain the identity document showing the connection. If a person has changed address or nationality, use current information and explain any difference from the historical documents. The same principle applies to the company: do not shorten the legal name, use a trading name in the legal-name field or confuse a branch with a separate subsidiary.<\/p>\n<p>Check the percentage mechanics twice. Prepare a capital table and a voting table as of the effective date. Recalculate each indirect route from the French company to the individual. Then read the instruments that may override the calculation. The INPI has a consistency check for direct and indirect interests: the total entries for the beneficial owners must not exceed the available rights. If the portal rejects the sum, do not simply reduce a percentage until it fits. Revisit whether the rights are direct, indirect, held through an indivision, attached to a different share class or not reportable in the way first selected.<\/p>\n<p>Check the control description. \u201cIndirect shareholder\u201d is not a complete description when the form asks for the nature and extent of control. State whether the person qualifies through capital, voting rights, appointment rights, a voting agreement, actual decision-making power or another defined route. Identify the relevant legal entity and the percentage or right. If the person is reported under the fallback, state that the ownership and control review did not identify another individual, and name the legal representative category that triggers the fallback.<\/p>\n<p>Translations and authentication must serve the proof. A French translation may be needed for a foreign registry document or corporate agreement, depending on what the authority requests and the origin of the document. An apostille or legalisation may authenticate a public document, but it does not prove that the percentages are correct. Supply the original or official electronic record, the translation where needed, the date and the link between the two. Do not upload a translation alone when the reviewer must verify the underlying extract.<\/p>\n<p>The deadline for a post-registration change is not the same as the portal\u2019s cure deadline. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964090\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964090\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 561-55<\/a> states that the beneficial-owner information is declared with the registration application and that the company must request a modifying registration within 30 days after an act or event requiring correction or completion. The text refers to <q lang=\"fr\">dans les trente jours suivant tout fait ou acte<\/q>. A rejected incorporation file may require a new filing immediately, while an accepted company that later changes its ownership or control has a 30-day modification period from the relevant event.<\/p>\n<p>Use the correct path for the status:<\/p>\n<ol>\n<li><strong>Pending regularisation:<\/strong> answer in the existing file, replace or add the requested documents, correct the disputed fields and save the submission receipt before the displayed deadline.<\/li>\n<li><strong>Rejected filing:<\/strong> download the rejection reasons, correct the facts rather than merely changing the file names and submit a new formalit\u00e9 with the complete ownership and identity pack.<\/li>\n<li><strong>Accepted but inaccurate record:<\/strong> submit a modifying filing within the legal period linked to the change, explain the effective date and preserve the prior record and the new receipt.<\/li>\n<li><strong>Portal error:<\/strong> preserve the error message, screenshot, date, time and filing number; contact the channel identified by the portal and ask for written confirmation of how to preserve the deadline.<\/li>\n<\/ol>\n<p>The wider business formalities should be kept consistent with the RBE correction. The official <a href=\"https:\/\/www.impots.gouv.fr\/professionnel\/questions\/quelles-sont-les-demarches-administratives-accomplir\">tax administration explanation of company creation formalities<\/a> notes that the creation filing communicates information to several bodies and that tax or social declarations may still be required separately. A beneficial-owner correction does not replace a tax registration, a VAT request, an employment declaration or a registered-office update. Conversely, a tax identifier or Kbis does not prove that the beneficial-owner data is accurate.<\/p>\n<p>Before resubmitting, perform a red-team review. Give the pack to someone who did not prepare the original filing and ask that person to identify the natural person at the end of every ownership line, the control right relied upon, the effective date and the document proving each point. If the reviewer cannot answer in five minutes from the index and diagram, the registry may struggle as well. Remove duplicate or obsolete documents, but keep them in the internal audit file with a note explaining why they were replaced.<\/p>\n<p>After submission, save the complete portal receipt, not only the confirmation page. Record the new filing number, the date, the status and the documents attached. Monitor the dashboard until the RNE entry is updated and obtain the RNE attestation or Kbis when available. If the company\u2019s bank is waiting, send a controlled copy of the new receipt and the ownership memorandum, while making clear which item is still pending. A transparent timeline is more useful than sending a series of contradictory PDFs.<\/p>\n<h3>B. How should the company respond to a divergence, injunction or banking block?<\/h3>\n<p>A bank block and a registry rejection are related but separate events. A bank performs customer due diligence, often called KYC (\u201cknow your customer\u201d), and may ask for proof of the people who ultimately own or control the company, the source of funds and the purpose of the account. The text uses the words <q lang=\"fr\">toute divergence qu&#8217;elles constatent<\/q>. The company should therefore ask the bank or other reporting person to identify the field or relationship that it cannot reconcile, while recognising that the reporting person may not disclose every internal source or risk assessment.<\/p>\n<p>Once a divergence is notified, the company should compare three versions of the facts: the RNE entry, the corporate documents in force on the relevant date and the evidence held by the bank or other regulated person. Identify whether the divergence is a wrong person, wrong percentage, wrong control route, wrong date, missing individual or missing filing. If the company\u2019s record is wrong, correct it promptly. If the record is correct but the bank has misunderstood an intermediate entity, provide a signed explanation and the underlying records. If both sides contain different dates, establish which act changed the rights and use that date in the modification filing.<\/p>\n<p>The current procedure gives the divergence a visible consequence. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964044\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053964044\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 561-64<\/a> provides that the clerk records the notified divergence and identifies the beneficial-owner information concerned; the entry is removed when the company has corrected the information. This means that a bank request should not be ignored merely because the company already has a Kbis. The RCS registration can exist while a divergence remains noted against the beneficial-owner information.<\/p>\n<p>The clerk\u2019s review is also defined by statute. Under <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752588\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051752588\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 561-47<\/a>, the clerk checks that the information is complete and compliant with the legislation and regulations, corresponds to the supporting documents and is compatible with the existing file when a modification or removal is requested. The required standard is documentary consistency. A well-presented answer that does not correspond to the articles, the foreign extract or the identity records remains vulnerable.<\/p>\n<p>If the company receives a formal notice, treat the date of receipt as a litigation date. The notice may require regularisation through the Guichet unique and may warn of the consequences of silence. Send the correction before the deadline, keep proof of delivery and explain any document that cannot yet be obtained. If an official foreign extract is delayed, say what has been ordered, provide the order or receipt, submit an available certified record and ask for a written extension or instruction. Do not let an internal promise to \u201cobtain the document soon\u201d replace a filed response.<\/p>\n<p>Article L. 561-47-1 provides for a three-month period after receipt of the formal notice before the clerk can proceed to an automatic removal from the RCS if the company has not regularised. This is not a safe waiting period. The company may suffer a blocked account, difficulty contracting or reputational harm before that point. The practical objective is to remove the divergence and obtain a clean record as soon as the evidence allows.<\/p>\n<p>For a continuing failure to declare or correct, <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041578263\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041578263\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 561-48<\/a> allows the president of the court, on his or her own initiative or on application by the public prosecutor or a person with a legitimate interest, to order the company to make or correct the declaration. The statute says that the president <q lang=\"fr\">peut enjoindre, au besoin sous astreinte<\/q>. It also allows a court-appointed agent to carry out the formalities and provides for possible removal from the RCS after notification of the order if the company does not comply. An injunction is therefore a procedural escalation, not a substitute for preparing the ownership analysis.<\/p>\n<p>The first response to an injunction is factual and immediate: read the order, identify the deadline and the information the court says is missing or inaccurate, and prepare the declaration that satisfies the order. If the company believes the order was made on an incomplete or wrong factual basis, obtain advice on the available procedure instead of assuming that an ordinary appeal is available. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041592429\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041592429\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 561-62<\/a> states that the order fixes the time for performance and any penalty, and that it is not subject to a normal appeal.<\/p>\n<p>The case law gives two important procedural points. In <a href=\"https:\/\/www.courdecassation.fr\/decision\/66eab8d749e2d93736d98a6d\">Cour de cassation, Commercial Chamber, 18 September 2024, no. 22-20.771<\/a>, the court held that a company ordered under Article L. 561-48 has <q lang=\"fr\">la facult\u00e9 de demander au pr\u00e9sident du tribunal qui l&#8217;a rendue la r\u00e9tractation de son ordonnance<\/q>, under the relevant provisions of the Code of Civil Procedure. That route is different from treating the order as an ordinary appeal. The company should preserve the service documents, the evidence available when the order was made and the proof of any correction already filed.<\/p>\n<p>In <a href=\"https:\/\/www.courdecassation.fr\/decision\/6942530c61c46255e1714d57\">Cour de cassation, Commercial Chamber, 17 December 2025, no. 24-22.646, published in the Bulletin<\/a>, the court addressed an order concerning a company that had already made a declaration and explained that <q lang=\"fr\">Un mal jug\u00e9 par erreur de droit ou de fait ne constitue pas un exc\u00e8s de pouvoir.<\/q> The decision is a warning against relying on a simple disagreement about the facts to reopen a procedure that the law makes difficult to challenge. If the order contains a genuine procedural or jurisdictional defect, the analysis may differ; an ordinary factual error does not automatically create that exception.<\/p>\n<p>A practical decision from the Tribunal des activit\u00e9s \u00e9conomiques de Paris, RG no. 2024023370, also illustrates the need to distinguish the direct shareholder from the person who ultimately controls the structure. The official decision page describes the beneficial owner as a person who <q lang=\"fr\">n&#8217;est pas n\u00e9cessairement le propri\u00e9taire direct, mais est le b\u00e9n\u00e9ficiaire ultime<\/q>. This is consistent with the statutory method: the corporate chart is a starting point, while the final declaration must identify the natural person and the route by which ownership or control reaches that person.<\/p>\n<p>When a bank refuses to activate the account, ask for a written list of missing or inconsistent items. Separate the bank\u2019s risk decision from the registry\u2019s legal correction. A bank may require a current foreign registry extract, certified copies, a trust deed, evidence of source of funds or an explanation of a director\u2019s role. Provide a single controlled pack with a cover letter that identifies what has already been filed at the RNE, what has been corrected and what remains under review. If the bank has reported a divergence, ask whether the bank can confirm that it has updated its file after receiving the correction; do not ask it to conceal a report or provide inaccurate information.<\/p>\n<p>If the company is already trading, protect the business while the formal correction runs. Explain the issue to the accountant, payment provider, directors and key counterparties who may rely on a current Kbis. Keep authority to sign contracts clear, maintain payroll and tax compliance separately, and avoid moving assets or changing the ownership chain merely to make a form easier. A real restructuring can create new beneficial-owner events and new deadlines. It should be undertaken for a business reason and documented before the corresponding modification is filed.<\/p>\n<p>Escalation should be proportionate. A missing passport page can be cured with a corrected identity file. A complex foreign chain may require a legal opinion, certified translations and a formal diagram. A divergence that remains after the company has filed a correction may require correspondence with the reporting institution and the registry. An injunction, an impending RCS removal or a bank block affecting payroll and essential operations requires prompt case-specific legal review. The documents, exact dates and procedural status will determine the available response.<\/p>\n<h2>Conclusion<\/h2>\n<p>No individual controlling more than 25% of a foreign holding chain is not the end of the French beneficial-owner analysis. It is the point at which the file must move from a percentage exercise to a control exercise. Trace direct and indirect ownership, voting rights, appointment powers, agreements, concerted action, trusts and nominee arrangements. If no natural person can be identified after that review, document the reasons and apply the statutory legal-representative fallback. Then submit a coherent declaration whose names, dates, percentages and control descriptions match the foreign records and the French company\u2019s documents.<\/p>\n<p>If the filing is rejected, identify the status, rebuild the evidence pack and use the correct regularisation or new-filing route. If a bank or another regulated person reports a divergence, compare the RNE record with the documents that generated the question and correct the precise field. If a formal notice or injunction has arrived, protect the deadline first and assess the procedural route with the order and service documents in hand.
