For a bank, that means a properly evidenced new president is not merely an internal employee. The bank must identify the person who now represents the account holder, while still completing its own security and compliance steps.<\/p>\n<p>That external representation rule does not eliminate the need to prove the internal decision. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051322706\/2026-04-28\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051322706\/2026-04-28\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L227-9<\/a> states that the articles determine which decisions must be taken collectively by the shareholders and the forms and conditions of those decisions. The article also reserves certain major operations, including changes affecting capital, merger, dissolution, transformation, statutory auditors, annual accounts, and profits, to collective action under the conditions set by the articles. A bank reviewing a replacement president will therefore look for the signed minutes, but it may also ask for the relevant pages of the articles to confirm who had authority to sign those minutes.<\/p>\n<p>A foreign shareholder should separate four dates in its file:<\/p>\n<ol>\n<li>the date on which the shareholders or competent body adopted the resolution;<\/li>\n<li>the effective date of the outgoing president\u2019s end of office and the incoming president\u2019s appointment;<\/li>\n<li>the date on which the change was filed through the Guichet unique, the online one-stop portal for French business formalities operated through the National Institute of Industrial Property, known as INPI; and<\/li>\n<li>the date on which the bank accepted the new mandate, online administrator, payment signatories, and contact details.<\/li>\n<\/ol>\n<p>These dates can be close but are not identical. That right does not automatically make the shareholder a bank signatory, an online banking administrator, or the company\u2019s representative. The shareholder can cause the company to act through the proper corporate decision, can authorise a representative where the articles permit it, and can seek judicial relief when governance has become impossible. The company\u2019s account remains an account of the legal entity, not of the shareholder personally.<\/p>\n<p>The distinction becomes critical when the former president is also a shareholder. What the bank needs to react to a foreign shareholder\u2019s file<\/h3>\n<p>A bank can treat a sudden change of president as a compliance event even where the shareholders acted regularly. The bank\u2019s concern may be legitimate, but a broad operational freeze can still endanger the company if it prevents payment of employees, tax liabilities, suppliers, rent, insurance, or social contributions.<\/p>\n<p>The first practical question is whether the bank has blocked the whole account or only a function. A company may still receive incoming transfers while outgoing payments, cards, online access, or international transfers are disabled. It may have access through a branch but not through its online platform. It may have lost the old president\u2019s credentials but not yet received a new authentication device. Each situation requires a different request. A letter that simply says \u201cplease unblock the account\u201d may produce a generic compliance response. The next pages should follow the authority chain. Every identity document should be legible and current. Every translation should be labelled. If a document is not yet available, the file should say what it is, why it is pending, and when it will be supplied. This reduces the risk that a compliance analyst sees contradictory versions of the same corporate history.<\/p>\n<p>The bank may ask for a Kbis even when the new president has already been validly appointed. That request is understandable as an operational verification, but it should not lead the company to wait silently if salary or tax deadlines are approaching. Send the signed minutes and filing receipt immediately, ask whether those documents allow a temporary mandate or a limited payment channel, and obtain a written answer. The new president can also request that the bank preserve statements and transaction history while access is reconstructed. A request for historic statements is important when the former president or a departing adviser controlled the online account.<\/p>\n<p>French banking case law illustrates why the bank\u2019s knowledge of a change in corporate leadership matters, although each case turns on its own contract and facts. In <a href=\"https:\/\/www.courdecassation.fr\/decision\/5fca77e456ce096590525f73\">Cass. com., 13 February 2019, no. 17-28.530<\/a>, the Court of cassation discussed payment orders carrying signatures connected with a company whose direction had changed. That passage should not be read as an automatic rule that every bank must accept every instruction after receiving a resolution. It does show the evidential importance of notifying the bank and giving it a usable specimen of the new authorised person\u2019s signature or authentication details.<\/p>\n<p>The bank\u2019s review of a governance change should also be distinguished from a decision to terminate the account relationship. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000044605348\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000044605348\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L312-1 of the French Monetary and Financial Code<\/a> gives a person domiciled in France, including a legal person, a right to request the opening of a deposit account if that person has no deposit account in France. The provision states in its first paragraph: \u201cA droit \u00e0 l&#8217;ouverture d&#8217;un compte de d\u00e9p\u00f4t dans l&#8217;\u00e9tablissement de cr\u00e9dit de son choix, sous r\u00e9serve d&#8217;\u00eatre d\u00e9pourvu d&#8217;un tel compte en France\u201d. The right-to-account procedure can be useful if the existing bank ends the relationship and the company genuinely has no other French deposit account. It is not an automatic right to restore online access to an account that is temporarily restricted, nor does it make the foreign shareholder personally entitled to operate the company\u2019s account.<\/p>\n<p>Termination has its own rules. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038614561\/2024-03-17\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038614561\/2024-03-17\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L312-1-1 of the French Monetary and Financial Code<\/a> provides, for an open-ended deposit-account agreement, that the credit institution terminates it with at least two months\u2019 notice on paper or another durable medium. The specific statutory regime and exceptions must be checked against the account contract, the reason for termination, and whether the account was opened through the right-to-account procedure. A bank\u2019s silence or temporary access freeze should not be described as a formal closure without a written notice confirming the bank\u2019s decision.<\/p>\n<p>Do not respond to a freeze by circulating the former president\u2019s credentials, asking staff to share a token, or instructing an employee to impersonate the new president. That can create evidence of poor internal control and make the bank\u2019s compliance concern worse. The correct request is for a new user profile, new authentication, new payment limits, and written confirmation that the former user\u2019s access has been removed or suspended. The company should also change its own internal password-management, email-forwarding, accounting, and payment-approval arrangements.<\/p>\n<p>There is a further distinction between an office and a mandate. The Civil Code provisions on mandate are not a complete substitute for the bank\u2019s contract, but they provide a useful legal framework for the company\u2019s instruction. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000020616163\/2026-07-21\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000020616163\/2026-07-21\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 2003 of the Civil Code<\/a> says: \u201cLe mandat finit : Par la r\u00e9vocation du mandataire\u201d. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006445302\/2026-07-12\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006445302\/2026-07-12\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 2004<\/a> adds: \u201cLe mandant peut r\u00e9voquer sa procuration quand bon lui semble\u201d. In a company context, the new president should ask the bank to record the revocation of any separate bank mandate and the appointment of new authorised users. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006445302\/2026-07-12\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006445302\/2026-07-12\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 2005<\/a> is also relevant to the practical risk: notification to the former agent alone may not protect the company against a third party who acted without knowledge of the revocation. That is why the bank, not only the former president, must receive a provable notice.<\/p>\n<p>The operational impact should be calculated rather than described in general terms. Make a table of every payment at risk: net salaries, payroll taxes, URSSAF contributions, income-tax withholding, corporate tax, VAT, rent, insurance, loan instalments, supplier invoices, and customer refunds. URSSAF means the network that collects French social-security contributions and related employment charges. If the company employs staff, a bank freeze can quickly become a labour and social-compliance crisis. The new president should ask the bank for a controlled payment solution while the full review continues, such as branch-initiated payments or a temporary dual-signature process, provided the bank agrees in writing.<\/p>\n<p>Finally, do not assume that the foreign shareholder can solve the issue by opening a personal French account and paying company liabilities without documentation. A shareholder\u2019s advance may be possible, but it should be recorded correctly as a shareholder loan, capital contribution, or other lawful funding operation, with accounting and tax treatment reviewed. A payment from the wrong person can create confusion about the debtor, deductibility, VAT evidence, and the company\u2019s books. The safer course is to preserve the company\u2019s account and create a documented contingency only when needed.<\/p>\n<h2>II. What a foreign shareholder should do when access remains frozen<\/h2>\n<h3>A. Build the evidence, notify, and restore operations<\/h3>\n<p>The response should run on three tracks at the same time: corporate proof, bank dialogue, and business continuity. Waiting for one track to finish before starting the next is a common source of avoidable loss. A foreign shareholder may be several time zones away, the new president may not yet have a French banking relationship, and the account manager may be unable to give a substantive answer because the file has moved to a compliance department. The company should nominate one contact, one deputy, and one lawyer or adviser authorised to transmit documents and receive procedural answers.<\/p>\n<p>The corporate proof track begins with the articles and the decision. Check the exact clause governing appointment and removal. Verify who chaired and signed the meeting, whether a conflict rule applied, whether a written consultation was permitted, whether notice was properly given, and whether the minutes record the result and effective date. If the outgoing president was removed for misconduct, keep the evidence separate from the bank\u2019s first request. The bank initially needs a clear authority file, not a complete shareholder dispute. If the validity of the decision is itself contested, obtain a legal assessment before making an assertion that could later be used against the company.<\/p>\n<p>The filing track should then be documented. Use the Guichet unique receipt, the INPI reference, any request for correction, the greffe message, and the updated Kbis or RNE extract when delivered. The official public guidance on changes to a company\u2019s manager should be checked for the company\u2019s form and the applicable filing. The company should preserve screenshots or PDFs of the submission, not merely the reference number in an email. If the filing is rejected or pending regularisation, answer the precise request and tell the bank exactly what has happened. A pending registry update is a reason to explain the sequence, not a reason to conceal it.<\/p>\n<p>The bank track should start with a written notice sent through every contractual channel that can produce proof: secure messaging, the account manager, the bank\u2019s registered office or customer service address, and, where appropriate, a formal letter. The notice should request confirmation of receipt and answer five questions:<\/p>\n<ol>\n<li>Is the account open, restricted, suspended, or formally terminated?<\/li>\n<li>Which payment, card, transfer, direct-debit, statement, and online functions are blocked?<\/li>\n<li>What documents or explanations are still required, and which department is reviewing them?<\/li>\n<li>Can the bank activate the new president under a temporary or limited mandate while the review continues?<\/li>\n<li>How can the company make time-critical payroll, tax, social-security, rent, and insurance payments?<\/li>\n<\/ol>\n<p>Ask for a reason, but recognise that anti-money-laundering rules may restrict what the bank can disclose about a suspicious-transaction review. A refusal to explain confidential compliance intelligence is not necessarily a refusal to identify the practical documents needed to restore an authorised user. The letter should therefore give the bank a constructive alternative: provide the requested corporate records, confirm the beneficial-owner chain, identify the new signatory, and ask what operational arrangement can be used pending completion.<\/p>\n<p>The evidence pack should also address the former president. The new president should sign an explicit instruction revoking access and bank mandates, identifying the outgoing user by name, role, email address, telephone number, card number if known, and date of removal. If the bank requires its own form, complete it even if the corporate minutes already contain a revocation. If the former president still holds a card, token, cheque book, or company telephone, record the demand for return and the date on which it was made. If there is a risk of unauthorised transfers, request transaction alerts, a temporary payment ceiling, and confirmation of the bank\u2019s fraud-reporting channel.<\/p>\n<p>Continuity planning must be concrete. Rank payments by legal and business urgency, contact employees and key suppliers before a missed deadline, and keep proof of every attempted payment. The company should not send duplicate transfers when the bank has not confirmed whether the first instruction is pending. For tax and social obligations, consult the accountant about lawful alternative payment methods and document any request for a payment arrangement. For employees, the new president should protect payslips, payroll records, and evidence that the employer attempted to pay. A bank freeze does not automatically excuse every unpaid obligation.<\/p>\n<p>A second bank account may be a prudent contingency for a company with no workable access, but it should be opened in the company\u2019s name and disclosed accurately in the compliance file. The right-to-account mechanism under <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000044605348\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000044605348\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L312-1 of the Monetary and Financial Code<\/a> should not be presented as a shortcut around an anti-money-laundering review. The bank designated through that procedure will also require identification, corporate documents, and information about the persons controlling or representing the company. The objective is lawful continuity, not concealment of the original account.<\/p>\n<p>Internal governance may also require attention.
