For a foreign founder, the problem is frequently practical rather than conceptual: the French portal, a foreign identity document, a translated corporate document and the registry\u2019s expectations must line up within a short period.<\/p>\n<p>The clock should be treated as a legal and operational deadline. The official tracking service states that the validation period is suspended while regularisation is awaited and that a filing may be automatically rejected if no action is taken after 15 days. Other official guidance refers to a period of 15 working days for completing a file. The notification displayed for your specific formalit\u00e9 is therefore the document to preserve and follow: record the date, the requested action and the deadline shown in the account. A \u201cKbis\u201d is the official extract proving registration in the French Trade and Companies Register; it is not issued merely because a draft was submitted. It also explains that the authority indicates the response deadline and that failure to respond may lead to rejection. The portal\u2019s \u201cfollow the progress\u201d page is not merely a progress bar: it is where the actionable notification and the route for adding documents should be found. A screenshot of the status alone is not enough. Download the notification, the summary of the filing and every message attached to the regularisation block.<\/p>\n<p>A foreign founder should first identify the actor and the precise object of the request. \u201cProvide a clearer identity document\u201d is different from \u201ccorrect the nationality in the form\u201d. \u201cUpload proof of registered office\u201d is different from \u201cexplain why the lease is held by the foreign parent\u201d. \u201cAdd the declaration of beneficial owners\u201d is different from \u201ccorrect the beneficial-owner chain\u201d. The response must answer the requested point, not simply add a large bundle of unrelated files. Unfocused uploads can create a new inconsistency and make it harder for the greffe to see that the original problem has been cured.<\/p>\n<p>The legal starting point is <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000038595879\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 123-33 of the French Commercial Code<\/a>. It provides that a business must file one electronic dossier with the designated one-stop organisation and states: \u201cCe d\u00e9p\u00f4t vaut d\u00e9claration aupr\u00e8s du destinataire d\u00e8s lors que le dossier est r\u00e9gulier et complet\u201d. In English, the electronic submission has the intended declaratory effect with the recipient only when the dossier is regular and complete for that recipient. Submission is therefore not the same event as completion. That distinction explains why a founder can have a filing number while still waiting for a registration decision.<\/p>\n<p>Do not infer that the French company already has its final registration from the fact that the portal accepted the credit-card payment or generated a receipt. Ask which formalit\u00e9 is still open, whether the request concerns the creation itself or a related declaration, and whether the notice gives a date expressed in days, working days or a calendar date. Save the portal\u2019s time zone and the email alert. The displayed deadline may matter if the last day falls on a weekend, a public holiday or a technical outage, but that should be assessed from the notification and the applicable procedure rather than assumed.<\/p>\n<h3>B. What remains legally unavailable before registration<\/h3>\n<p>The legal consequences of an incomplete creation filing are more serious than a temporary inconvenience. The company\u2019s legal personality begins at registration. A founder can prepare contracts and organise the launch, but the company should not be presented to a bank, customer or supplier as fully registered when the registration has not occurred. The name, registered office, directors and share capital should remain consistent with the incorporation documents and with the status actually shown by the registry.<\/p>\n<p>The same point was stated by the Cour de cassation, France\u2019s highest court for private-law matters, in its commercial chamber decision of 4 May 1981, no. 78-15.882: \u201cles soci\u00e9t\u00e9s ne jouissent de la personnalit\u00e9 morale qu\u2019\u00e0 dater de leur immatriculation\u201d. The decision is available on <a href=\"https:\/\/www.legifrance.gouv.fr\/juri\/id\/JURITEXT000007007927\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/juri\/id\/JURITEXT000007007927\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">L\u00e9gifrance<\/a>. The case is older, but the principle is now expressed in Article 1842. It matters to a foreign founder who has already signed a French lease, hired a service provider or opened a bank onboarding file. The signature may have been made for a company being formed, by a founder acting in that capacity, or for an existing foreign company. Those are different legal situations and should not be silently blended.<\/p>\n<p>The one-stop procedure is nevertheless the correct route for a French company formation. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000052131399\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000052131399\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 123-3 of the Commercial Code<\/a> requires the dossier to contain the information, declarations, authorisation requests and supporting documents needed for the relevant formalit\u00e9. It also addresses the electronic form, the documents attached to it and, where relevant, the payment of the fee. A foreign founder should read the dynamic checklist generated for the actual legal form and activity, because the list can differ for a simplified joint-stock company, known as a SAS, a limited liability company, known as a SARL, a branch or an entity carrying out a regulated activity.<\/p>\n<p>Personal identification is governed by more than a name typed into a form. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000046073347\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000046073347\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 123-4 of the Commercial Code<\/a> identifies information needed for a business filing, including the company name, legal form, registered office and the identity and contact details required for the persons concerned. The exact supporting document depends on the person and the formalit\u00e9. A passport from the founder\u2019s country, a residence permit, a certificate of address and a corporate registry extract may not be interchangeable. If the portal asks for a document in a particular format or asks for a French translation, comply with that request and keep the original file.<\/p>\n<p>Signature is another common source of failure. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000046813381\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000046813381\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 123-5 of the Commercial Code<\/a> sets rules for the electronic signature used in formalities and distinguishes the level of signature required for different declarations. A founder who signs a PDF outside the portal and uploads a scan may not have satisfied the final validation step. A request to sign again is not necessarily a request to rewrite the articles of association. It may mean that the portal requires the formal summary to be approved after a document was added or corrected.<\/p>\n<p>The portal\u2019s acknowledgement is legally useful evidence. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292204\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292204\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 123-6 of the Commercial Code<\/a> provides for an electronic acknowledgement and for information about the documents or information needed when an additional request is made. Keep the acknowledgement showing the filing number, the date and the recipient. If a representative or French lawyer handles the response, obtain a copy of the submission and the acknowledgement rather than relying on an informal statement that the file was \u201csent\u201d. A foreign founder who cannot log in should still have a complete evidence folder held by the person with portal access.<\/p>\n<p>The registered office must be treated as a legal fact, not as an address copied from an English-language business plan. A domiciliation contract, commercial lease, sublease, owner\u2019s consent or other proof may be requested depending on the situation. If the premises are occupied by a foreign parent, show the legal link and the right granted to the new French entity. If the address has changed after the articles were signed, correct the articles or the form as appropriate before answering. An inconsistent office address can delay the Kbis and can also create a problem with subsequent tax, banking and employment registrations.<\/p>\n<p>The formal notice may also concern the declaration of beneficial owners, meaning the natural persons who ultimately own or control the company. Do not assume that a foreign parent\u2019s registry extract alone answers that question. Prepare a clear ownership chart from the French company to the final individual owners, identify voting or control rights and explain any trust, nominee, shareholder agreement or intermediate company that affects the result. If the request only concerns a missing signature or a document date, do not replace the whole ownership structure with an unverified one. The objective is an accurate, internally consistent declaration.<\/p>\n<p>For a founder living outside France, immigration and company registration must be separated. A foreign national may create or own a French company, but the right to hold shares or be appointed as a director does not by itself settle the right to live and work in France. The company-formation response should therefore answer the registry\u2019s request without adding an unsupported statement about immigration status. If the portal asks for a French address for correspondence, provide the requested address or explain the mandate; do not use a personal French address that the founder cannot prove.<\/p>\n<p>Cross-border formalities have a further dimension. In a decision of 2 March 2021, no. 19-80.991, the criminal chamber of the Cour de cassation explained, in the context of an establishment of a company from another European Union member state, that \u201cla proc\u00e9dure d\u2019enregistrement d\u2019une soci\u00e9t\u00e9 dans un Etat membre d\u2019accueil est [&#8230;] r\u00e9gie par le droit de cet Etat\u201d. The decision is available on <a href=\"https:\/\/www.legifrance.gouv.fr\/juri\/id\/JURITEXT000043252975\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/juri\/id\/JURITEXT000043252975\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">L\u00e9gifrance<\/a>. The practical lesson is limited but important: a foreign company or foreign founder must respect the French host state\u2019s registration requirements for the French activity. A home-country certificate does not automatically replace the French form, translation or registration evidence requested by the French authority.<\/p>\n<h2>II. How to answer, protect the deadline and challenge a refusal<\/h2>\n<h3>A. The response workflow for the 15-day regularisation window<\/h3>\n<p>Start with a deadline table, not with a new upload. Record the filing number, the date the regularisation message was issued, the deadline displayed, the recipient, the exact wording of each request and the person responsible for answering. Add a column for the evidence that will prove completion. If the portal displays a button such as \u201cmodify the formalit\u00e9\u201d, \u201crespond to the regularisation\u201d or \u201cadd a document\u201d, capture the screen before opening it. The account may show a different checklist once the correction flow has started.<\/p>\n<ol>\n<li><strong>Download the notification.<\/strong> Preserve the original French text, the email alert, the portal screen, the filing summary and the acknowledgement. Use the filing number in every later message.<\/li>\n<li><strong>Translate the request into actions.<\/strong> For every sentence, write \u201cdocument\u201d, \u201cdata correction\u201d, \u201csignature\u201d, \u201cpayment\u201d or \u201cexplanation\u201d. Separate a missing file from a contradiction between two files.<\/li>\n<li><strong>Build a source pack.<\/strong> Use the signed articles, capital-deposit certificate, registered-office proof, legal notice, identity documents, declaration of non-conviction and parent-company documents only when they answer the stated request.<\/li>\n<li><strong>Check consistency.<\/strong> Compare the legal name, spelling of every person, nationality, date and place of birth, legal form, share capital, address, activity and appointment dates across the form, articles and supporting documents.<\/li>\n<li><strong>Upload through the regularisation workflow.<\/strong> Do not merely email files to a general INPI address if the portal requires a formal upload. Complete any new signature and payment step shown by the portal.<\/li>\n<li><strong>Confirm the result.<\/strong> Download the new receipt or acknowledgement, note the new status and verify that every requested line is marked as answered.<\/li>\n<\/ol>\n<p>The official <a href=\"https:\/\/formalites.entreprises.gouv.fr\/suivre.php\">Guichet unique tracking instructions<\/a> explain that a pending regularisation occurs when the recipient finds an incomplete file, a correction to make or an additional document to provide. They also state that the validation period is suspended while the correction is awaited and that the formalit\u00e9 may be automatically rejected when no action is taken after 15 days. That wording should be read with the individual notification. If the notice gives a calendar deadline, use it. If it refers to working days, count it carefully from the event identified in the notice. If the interface displays only a countdown, obtain written confirmation of the starting date from the competent recipient or a qualified adviser.<\/p>\n<p>Do not wait until the last evening to solve a translation or apostille problem. The portal\u2019s official <a href=\"https:\/\/formalites.entreprises.gouv.fr\/justificatifs.php\">supporting-documents guidance<\/a> explains that the documents required depend on the formalit\u00e9, that the portal indicates what must be attached and that the file cannot proceed while mandatory documents are missing. It also states that supporting documents are supplied electronically and may need to meet format and size conditions. Prepare a portable document format file, usually called a PDF, that is legible, complete and correctly oriented. Keep a version of the original foreign document and a separate version of any translation so the relationship between them is obvious.<\/p>\n<p>For a foreign individual, the basic source pack may include a valid identity document, a declaration of non-conviction and parentage where requested, evidence of the address or contact information required by the form, and the appointment decision. For a foreign legal-entity shareholder or director, the authority may request a recent registry certificate, the entity\u2019s constitutional documents, evidence of the representative\u2019s authority, and a translation of the relevant information. Do not label a translation as \u201ccertified\u201d unless the translator or process actually gives it that status. If the request mentions an apostille, legalisation or sworn translation, follow the words of the notice and check whether the document is one for which that formality is required.<\/p>\n<p>For the French company itself, compare the response pack against the list of documents normally used for a creation formalit\u00e9:<\/p>\n<ul>\n<li>the articles of association, signed in the required form;<\/li>\n<li>the proof of payment or deposit of the share capital, if required for the chosen structure;<\/li>\n<li>the proof of the registered office, with the legal name and address matching the form;<\/li>\n<li>the certificate or notice proving publication of the legal announcement, where required;<\/li>\n<li>the appointment decision and acceptance of office for the director or directors;<\/li>\n<li>the identity and, where requested, non-conviction documents for the relevant individuals;<\/li>\n<li>the beneficial-owner declaration and a chart explaining any foreign ownership chain;<\/li>\n<li>a mandate or authorisation if another person submits the filing; and<\/li>\n<li>any activity-specific licence, professional qualification or prior authorisation.<\/li>\n<\/ul>\n<p>The <a href=\"https:\/\/entreprendre.service-public.gouv.fr\/vosdroits\/F32886\">official company-creation checklist on Service-Public.fr<\/a> lists common elements such as identification, signed statutes, registered-office proof, a declaration relating to the manager, legal-notice evidence and the capital-deposit certificate. It is a useful preparation list, but it does not replace the personalised checklist generated by the Guichet unique. A regulated activity, a foreign corporate participant or a special address can add a requirement. Conversely, uploading every item on a generic list can obscure the answer if the greffe requested only one targeted correction.<\/p>\n<p>File names should make review easier. A practical pattern is \u201c01_identity_founder_surname.pdf\u201d, \u201c02_translation_identity_surname.pdf\u201d, \u201c03_registered_office_proof_company.pdf\u201d and \u201c04_ownership_chart_company.pdf\u201d. Avoid several files with names such as \u201cfinal\u201d, \u201cfinal2\u201d and \u201cnewfinal\u201d. Do not password-protect the files unless the portal accepts that format. Open every PDF after exporting it, verify that every page is present and check that the signature is visible where it should be. If the foreign document uses a different alphabet or date convention, add a short English explanation to the response while leaving the official document unchanged.<\/p>\n<p>An answer should be concise but legally intelligible. For example: \u201cThe requested registered-office proof is attached as file 03. The lease is signed by the French company\u2019s parent because the premises are made available under the attached authorisation. The French company is the occupant for its registered office. The legal name and address are identical in the articles, the form and the proof.\u201d If the requested correction changes the form, say exactly which field was corrected and why. If a requested document does not exist because the founder\u2019s home jurisdiction uses another document, explain the difference and attach the closest official equivalent. Silence leaves the reviewer with only an apparent omission.<\/p>\n<p>Article <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000052131399\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000052131399\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">R. 123-3 of the Commercial Code<\/a> is a useful legal checklist because it connects the form, declarations and supporting documents. It should not be used to argue that a document is unnecessary when the portal expressly requests it. The portal\u2019s request is the operational starting point; the legal text explains why the authority can insist on a complete dossier. If the request appears impossible or contradictory, answer before the deadline with the specific contradiction, attach evidence and ask for clarification through the channel identified in the notice.<\/p>\n<p>Use the acknowledgement regime as a proof system. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000031367338\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000031367338\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 112-3 of the Code of Relations between the Public and the Administration<\/a> states: \u201cToute demande adress\u00e9e \u00e0 l\u2019administration fait l\u2019objet d\u2019un accus\u00e9 de r\u00e9ception.\u201d That does not guarantee acceptance of an incomplete company filing, but it supports the importance of preserving evidence that a message or request was received. For an incomplete request, <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000031367402\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000031367402\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 114-5 of the same Code<\/a> requires the administration to identify missing information or documents and provides: \u201cElle fixe un d\u00e9lai pour la r\u00e9ception de ces pi\u00e8ces et informations.\u201d The exact notice and its deadline should therefore be stored with the response.<\/p>\n<p>If the portal fails technically, make a timed record. Note the date and time, the browser, the filing number, the screen message and the files that were ready. Take screenshots without exposing unrelated personal data. Retry only within a reasonable, documented period; do not assume that repeated clicks extended the deadline. Use the technical-support route identified by the portal and ask the recipient what evidence it accepts for an attempted response. A technical problem does not itself prove that the filing was regularised. The objective is to show that the founder acted promptly and to obtain a usable alternative route or a written extension if one is available.<\/p>\n<p>Once the answer is submitted, check whether the portal requires a second electronic signature. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292204\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000043292204\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article R. 123-6<\/a> makes the electronic acknowledgement and information about the next decision part of the procedure. A new upload that remains in \u201cdraft\u201d is not a completed response. Download the final receipt, save the time stamp, and send the evidence to the foreign founder, the bank and any representative who needs to know whether the French company is actually registered. Wait for validation before describing a Kbis as available.<\/p>\n<h3>B. What to do if the deadline has passed or the filing is rejected<\/h3>\n<p>First classify the event. A missed response may leave the filing in an expired, rejected or technically closed state. A rejection may be an automatic consequence of no response, a decision by the registry office after review, a refusal by another authority or a problem with a separate formalit\u00e9. Each event has a different next step. Download the decision and identify who issued it, the reason, the date, the filing number and any appeal or new-filing instruction. Do not treat an email saying \u201cyour dossier was refused\u201d as enough if the official portal contains a reasoned document.<\/p>\n<p>The INPI FAQ explains that when a formalit\u00e9 is rejected, continuing with the project normally requires a new formalit\u00e9. A new filing should not be a blind copy. Do not make the second filing before understanding whether it would create a duplicate company, a duplicate beneficial-owner declaration or conflicting applications. The registry may be able to link a new filing to the previous number, or it may require the old filing to be closed. The absence of an email is not necessarily proof that the portal did not issue the request. Record when the notice was first seen and why access failed. If a representative received it, obtain the transmission history. A request for discretionary reopening should be supported by documents and a clear explanation; it should not simply assert that the deadline was unfair. The potential appeal route and the authority\u2019s own correction channel must be considered separately.<\/p>\n<p>For a registry refusal, the response should be drafted as a short legal submission. If the issue concerns immigration, tax, banking, a regulated activity or an ownership structure outside the registry\u2019s request, obtain advice on that parallel risk without inserting unsupported material into the regularisation response.<\/p>\n<p>The evidence folder should remain available after registration. Keep the original notice, all versions of the form, every acknowledgement, the final articles, the corporate ownership chart, translations, registry certificates and the Kbis once issued. These documents may later be needed for a bank, investor, tax audit, employment registration, contract dispute or change of director. A clean file also makes the next French filing easier because the company can distinguish information that was accepted from information that was merely uploaded.<\/p>\n<p>After a successful response, confirm more than the word \u201cvalidated\u201d. Check that the French company appears under the expected legal name, legal form and registered office, that the director and beneficial-owner information is correct, and that the Kbis or equivalent registry extract can be obtained.
