In France, this type of transaction is known as a <em><a href=\"https:\/\/kohenavocats.fr\/avocat-vefa-paris\/\">vente en l&#8217;\u00e9tat futur d&#8217;ach\u00e8vement<\/a><\/em> (VEFA)\u2014literally, a &#8220;sale in the future state of completion.&#8221; It is more than a simple property purchase: it is a heavily regulated contractual mechanism that transfers ownership progressively as construction advances, accompanied by a dense network of mandatory guarantees designed to protect the buyer from the developer&#8217;s insolvency, delays, and construction defects. L. 261-10-1 CCH<\/cite><\/blockquote>\n\n\n\n<p class=\"wp-block-paragraph\">The completion guarantee means that a bank or insurance company undertakes to finance the completion of the building if the developer becomes unable to do so. The repayment guarantee, which is less common and generally reserved for smaller operations, ensures that all sums paid by the buyer are returned if the project is not completed. In practice, the completion guarantee is the standard, and in the event of the developer&#8217;s financial failure, the guarantor may appoint an <em>administrateur ad hoc<\/em>\u2014a court-appointed administrator who steps into the developer&#8217;s shoes as project owner to finish the construction.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The importance of this guarantee was illustrated, albeit indirectly, in a dispute that reached the Cour de cassation. In <a href=\"https:\/\/www.courdecassation.fr\/decision\/64a65d1dbbd03a05db964e39\">Cass. 3e civ., 6 July 2023, no. 22-12.741<\/a> (published in the Bulletin), several buyers had acquired units in a VEFA development for which a completion guarantee had been issued. When the developer was placed in liquidation before construction even started, some buyers sought the resolution of the sale and damages from the guarantor bank. The case illustrates the practical reality that even with a guarantee in place, litigation may be required to activate it\u2014and the outcome will depend on the specific terms of the guarantee and the nature of the fault alleged against the guarantor.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Three further mandatory protections deserve the foreign buyer&#8217;s attention. First, the contract must specify whether the price is fixed or revisable. Most VEFA contracts include an indexation clause that allows the developer to adjust the price in line with the <em>indice BT 01<\/em> (the French construction cost index). Second, the delivery date must be stated, and any delay beyond that date entitles the buyer to <em>p\u00e9nalit\u00e9s de retard<\/em> (late-delivery penalties), typically calculated as a percentage of the price per day of delay\u2014unless the delay results from <em>force majeure<\/em> or the buyer&#8217;s own default. Third, the buyer benefits from a statutory 10-day cooling-off period (<em>d\u00e9lai de r\u00e9tractation<\/em>) after receiving the preliminary contract (<em>contrat de r\u00e9servation<\/em>) by registered mail; during this period, no deposit may be demanded.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">II. The Buyer&#8217;s Legal Safeguards: From Signature to Delivery and Beyond<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">A. French law caps the proportion of the price that the developer may demand at each stage. For example, no more than 35% of the price may be called upon completion of the foundations, no more than 70% upon the building becoming watertight (<em>hors d&#8217;eau<\/em>), and the final 5% is payable only upon handover, provided all reservations noted at delivery have been resolved. This staged payment system means that the buyer is never significantly ahead of the construction in financial terms\u2014a crucial safeguard in a market where developer insolvencies, though rare, are not unknown.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Delivery itself, the <em>livraison<\/em>, is a formal procedure during which the buyer or the buyer&#8217;s representative inspects the property and records any visible defects or non-conformities in a <em>proc\u00e8s-verbal de livraison<\/em> (delivery report). It is strongly advisable for any buyer\u2014and indispensable for a non-resident buyer who cannot personally attend\u2014to engage a professional <em>expert en b\u00e2timent<\/em> (building surveyor) to assist with this inspection. Defects not noted at delivery may still be actionable, but the procedural path is narrower, as the Cour de cassation has repeatedly confirmed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The date of delivery also triggers the commencement of the various post-delivery guarantee periods. In a recent decision, <a href=\"https:\/\/www.courdecassation.fr\/decision\/6811bb4412a37cea68763cc8\">Cass. 3e civ., 30 April 2025, no. 23-21.499<\/a>, the Court reiterated that a contractual clause extending the delivery deadline in the VEFA contract between a professional developer and private buyers is subject to strict judicial scrutiny, particularly where the delay is invoked to exclude late-delivery penalties.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">B. After delivery: the warranty regime<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Once the property has been delivered, the buyer benefits from three successive tiers of warranty protection, each with its own scope and duration.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>The guarantee of apparent defects and conformity (garantie des vices apparents).<\/strong> Under <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000020466326\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000020466326\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 1642-1 of the Civil Code<\/a>, the seller of a building to be constructed cannot be discharged from liability for visible construction defects or non-conformities either before the <em>r\u00e9ception<\/em> of the works or before one month has elapsed from the buyer&#8217;s taking possession. Importantly, there will be no rescission of the sale or reduction of the price if the seller undertakes to repair the defect. The buyer must bring an action within one year from the date on which the seller may be discharged\u2014effectively, one year from the end of the one-month post-delivery period\u2014as stipulated in the second paragraph of <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000020466328\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000020466328\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 1648<\/a>:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\"><p>\u00ab L&#8217;action r\u00e9sultant des vices r\u00e9dhibitoires doit \u00eatre intent\u00e9e par l&#8217;acqu\u00e9reur dans un d\u00e9lai de deux ans \u00e0 compter de la d\u00e9couverte du vice. This guarantee fills the gap between the one-year apparent-defect guarantee and the ten-year structural warranty.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">For a foreign buyer who has purchased a VEFA property as an investment, these warranties are of considerable practical importance. An apartment in a newly built residence that develops a water-ingress problem three years after delivery is likely to be covered by the <em>garantie d\u00e9cennale<\/em>, but only if the problem compromises the building&#8217;s structural integrity or habitability. Conversely, a malfunctioning heating system eighteen months after delivery falls within the <em>garantie biennale<\/em>. Identifying the correct warranty and acting within the applicable deadline is essential\u2014and is considerably more complex for a non-resident owner who may not be in France to detect problems promptly.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Tax considerations for foreign VEFA buyers.<\/strong> While this article does not provide tax advice, foreign buyers should be aware of several tax dimensions specific to VEFA acquisitions. The notary&#8217;s fees (<em>frais de notaire<\/em>) on a VEFA purchase are significantly lower than on a resale\u2014typically around 2% to 3% of the price, compared with 7% to 8% for existing property\u2014because the VEFA is treated as a new-build sale subject to VAT rather than transfer duties. The VAT (currently 20%) is included in the purchase price stated in the contract, so there is no additional charge at completion. Non-resident buyers who rent out the property will be subject to French income tax on the rental income and, if the net value of their French real estate holdings exceeds \u20ac1.3 million, to the <em>imp\u00f4t sur la fortune immobili\u00e8re<\/em> (IFI, the French real estate wealth tax). Buyers who do not speak French should insist on a full translation of the preliminary contract and the deed of sale before signing. Engaging an independent French lawyer (<em>avocat<\/em>)\u2014distinct from the notary, who is a public officer acting for both parties\u2014is strongly advisable.
